Item 8.01 Other Events.
On March 12, 2026, 60 Degrees Pharmaceuticals, Inc. (the “Company”)
filed an updated legal opinion of counsel regarding the shares of common stock issued and sold under its “at-the-market” equity
offering program (the “ATM Program”) pursuant to the Sales Agreement, dated September 5, 2025, entered into by and between
the Company and HC Wainwright & Co., LLC. The updated opinion is attached hereto as Exhibit 5.1.
The updated legal opinion does not affect the terms of the ATM Program
but provides confirmation regarding the validity of the shares that may be sold under the program and certain matters related
to the offering of shares under applicable law.

and is qualified in its entirety by reference to the full text of the opinion filed as Exhibit 5.1 hereto.
