October 5, 2025, Frank E. Celli resigned from his role as a member of the Board of Directors of Titan Environmental Solutions, Inc. (the
“Company”). Mr. Celli’s resignation as a director is not the result of any disagreement with the Company or its management
on any matter relating to the Company’s operations, policies, or practices.
