A 424B covers the supplement that carries the terms of a priced offering, so if you follow TEVA and want that one kind of document rather than the whole filing history, this is the page to keep. The company's other filings, of every form, are on the full TEVA filings page.
Teva Pharmaceutical Industries Limited (TEVA), through its Dutch finance subsidiaries, is issuing an aggregate of approximately $4.9 billion (equivalent) in new senior notes across five tranches: €1.0 billion 4.250% notes due 2033, €500 million 4.625% notes due 2036, $1.0 billion 5.500% notes due 2034, $1.0 billion 5.750% notes due 2037 and $1.2 billion 5.250% notes due 2032. Net proceeds, together with cash on hand, are expected to be used primarily to redeem or partially redeem multiple higher-coupon existing notes (including 2027–2031 sustainability-linked and other senior notes) and pay related fees and expenses, with any remainder for general corporate purposes including repayment of other outstanding debt.

As of June 30, 2026, Teva had total assets of $39.9 billion, total liabilities of $32.1 billion, total equity of $7.8 billion and cash and cash equivalents of $3.7 billion. Capitalization data show the new notes and assumed $4.7 billion (equivalent) of redemptions primarily as a refinancing of existing debt rather than incremental leverage.
