Rhea-AI Filing Summary

Treasure Global Inc. (TGL) entered separate subscription agreements with three related persons: Executive Directors Chan Meng Chun and Teo Chong Chan, who is also Acting Chief Executive Officer, and Chief Financial Officer Pusparajan a/l Vadiveloo. Each agreed to purchase US$400,000 of common stock in two US$200,000 tranches, for US$1.2 million in total. Shares for each tranche are calculated by dividing its US$200,000 payment by the greater of $0.45 or the closing price on the Trading Day before completion; the per-share price also cannot be below the Nasdaq Minimum Price as of October 15, 2026. If all tranches are priced at $0.45 per share, TGL may issue approximately 2,666,666 shares.

Payments may be made in cash, by wire transfer and/or in USDT valued at US$1.00. TGL has no obligation to issue shares until it receives the full applicable payment and the investor’s representations and warranties are materially true and correct and the investor has performed its obligations. The shares are restricted securities subject to Rule 144 and Regulation S restrictions, including a six-month distribution compliance period.

Filing Explained

The three agreed subscriptions total US$1.2 million, but issuance depends on payment and investor conditions; separately, TGL’s June 30 cash of US$1,591,362 equaled 85.5 days of its last reported operating cash use, while any issued shares increase the share count and reduce existing holders’ percentage ownership.

Sources and calculations
  • Available liquidity against the last reported quarterly operating outflow, in days at that rate $1,591,362 / ($1,693,302 / 91) = 85.5 days

Distribution compliance period Six months A restriction applicable to the shares under Regulation S
Regulation S regulatory
"in reliance on Regulation S under the Securities Act"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.
Minimum Price regulatory
"not less than the “Minimum Price”"
The minimum price is the lowest allowable or acceptable price at which a security, share offering, product, or sale can be bought or sold. Think of it like the smallest tag on a store item that the seller will accept; for investors it sets a floor for entry or sale, affects potential returns and liquidity, and can influence demand by limiting purchases below that level.
Rule 144 regulatory
"subject to Rule 144"
Rule 144 is a U.S. securities regulation that sets conditions under which restricted or insider-held shares can be legally resold to the public, such as required holding periods, availability of public information, limits on how much can be sold at once, and certain filing requirements. For investors it matters because it determines when previously locked-up shares can enter the market — like a release valve that can increase supply, affect share price, and signal insider intent.
Execution Date Price financial
"$0.45 (the “Execution Date Price”)"
Completion Date Price financial
"the “Completion Date Price”"

Each Subscription Agreement contains customary representations and warranties by the Company regarding its organization, authority, approvals, valid issuance and absence of encumbrances, and by the applicable Investor regarding investment risks, compliance with applicable laws, independent advice, no reliance on other representations, and absence of material nonpublic information. Each Party agrees to indemnify and hold harmless the other Party for losses arising from its breach of warranties, misrepresentation or breach of the agreement; these indemnification obligations survive termination.

The Company may terminate a Subscription Agreement and cancel all Shares issued to the applicable Investor if that Investor fails to pay the Investment Amount. The applicable Investor may terminate its Subscription Agreement if the Company fails to transfer the Shares in accordance with the agreement. All Shares are restricted securities under the Securities Act and are subject to Rule 144, other applicable securities laws and Company policies, and the restrictions in Annex A, including the six-month distribution compliance period, the prohibition on directed selling efforts, the requirement that the Investor be a non-U.S. person acquiring for its own account, and restrictions on hedging and transfers.
