Rhea-AI Filing Summary

TKO Group Holdings, Inc. (TKO) announced pricing of an offering by its indirect subsidiary, TKO Worldwide Holdings, LLC, for $1.0 billion aggregate principal amount of 6.500% Senior Secured Notes due 2031. Closing is expected on or about November 13, 2026, subject to customary closing conditions.

TKO Worldwide expects to use net proceeds for general corporate purposes, which may include distributions to parent entities to fund share repurchases under TKO’s previously announced program, and to pay related fees and expenses. TKO Guarantor, LLC and TKO Worldwide’s existing and future wholly owned domestic restricted subsidiaries that guarantee obligations under its existing senior secured credit facilities will guarantee the notes. The notes will be secured by a first priority lien on the collateral securing those facilities. They rank equally with existing and future senior indebtedness and senior to unsecured debt or debt secured by junior priority liens, to the extent of collateral value. The notes were offered only to persons reasonably believed to be qualified institutional buyers and are unregistered under the Securities Act; U.S. offers or sales require registration or an applicable exemption.

Filing Explained

The priced $1.0 billion notes carry a 6.500% coupon, setting a stated interest cost if issued; closing is expected around November 13, 2026, subject to customary conditions.

Aggregate principal amount $1.0 billion Senior Secured Notes offering

Maturity 2031 Senior Secured Notes
Expected closing On or about November 13, 2026 Subject to customary closing conditions
aggregate principal amount financial
"of $1.0 billion in aggregate principal amount"
The aggregate principal amount is the total amount of money borrowed through a bond or loan that the borrower promises to repay. It’s like the original price tag on a loan or bond, showing how much money is involved in the deal. This number matters because it indicates the size of the debt and helps investors understand the scale of the borrowing.
first priority lien financial
"secured by a first priority lien on the collateral"
A first priority lien is a legal claim that gives one lender or creditor the top spot to be paid from specific assets if a borrower defaults or goes bankrupt. Think of it like holding the first place ticket in a line for a limited payout — that creditor gets paid before any others from the proceeds of the pledged assets. For investors, knowing who holds a first priority lien helps gauge how much money could realistically be recovered and how risky a company's debt or secured investment is.
qualified institutional buyers regulatory
"only to persons reasonably believed to be qualified institutional buyers"
Qualified institutional buyers are large organizations, like big investment firms or banks, that are allowed to buy certain types of investment opportunities not available to everyday investors. Their size and experience matter because it ensures they understand and can handle complex financial deals, making markets more efficient and secure.
net proceeds financial
"use the net proceeds from the Offering for general corporate purposes"
The amount of money a company actually keeps from a sale or fundraising after paying all direct costs and fees, similar to take-home pay after taxes and deductions. Investors care because net proceeds determine how much cash is available for things that affect value—paying debt, funding projects, buying assets, or returning money to shareholders—so it influences future growth potential and financial health.
