On August 14, 2025, Kartoon Studios, Inc., a Nevada
corporation, (the “Company”) issued a press release announcing its quarter ended June 30, 2025. A copy of the press release
is attached as Exhibit 99.1 to this Report on Form 8-K and is incorporated herein by reference.
