TORM plc - Update on Shareholder Engagement

Following the 2026 AGM

TORM plc (Nasdaq: TRMD or TRMD A (At the Annual General Meeting held on 15 April 2026, the Directors' Remuneration Report, the Directors' Remuneration Policy (the “Remuneration Resolutions”) and the off-market share buyback authority (Buyback Contract B) (the “Share Buyback resolution”) each received more than 20% votes against the Board's recommendation.

In accordance with Provision 4 of the UK Corporate Governance Code, the Board has undertaken a programme of shareholder consultation to better understand the reasons for the voting outcomes and to consider any actions that may be appropriate.

Engagement undertaken

Following the AGM, the Company engaged with shareholders representing a significant proportion of the votes cast against the relevant resolutions. The Company also considered feedback received from proxy advisers and shareholders prior to the AGM.

The shareholders who voted against the Remuneration Resolutions were largely different to the shareholders who had voted against the Buyback Resolution and the reasons for such votes were different. The results of the consultation in respect of these resolutions have therefore been set out separately below.

The Board was pleased to receive constructive and thoughtful feedback throughout the engagement process.

What we heard

Feedback received from shareholders on the Remuneration Resolutions was primarily focused on certain aspects of the Company's remuneration framework and governance arrangements rather than the performance of the Company, Executive Management or the overall level of remuneration paid.

In particular, shareholders highlighted the importance of:

·Clear and transparent remuneration structures.
·Appropriate limits and safeguards within incentive arrangements.
·Greater alignment with evolving UK corporate governance expectations.
·Continued transparency regarding governance, Board composition and remuneration matters.

Feedback on the Share Buyback Resolution was principally focused on governance, process and transparency considerations rather than opposition to shareholder returns of capital.

Board response

The Board acknowledges the feedback received and recognises the importance that shareholders place on strong corporate governance practices and clear remuneration frameworks.

The Board remains committed to maintaining high standards of corporate governance and has carefully considered the views expressed during the consultation process. While the Board believes that TORM's existing governance arrangements have served shareholders well, it also recognises the desirability of continuing to evolve its governance framework in line with shareholder expectations and market practice.

The Board intends to evaluate the approach to the CEO’s annual bonus. Any changes will be reflected in a revised Remuneration Policy to be submitted to shareholders for approval at the 2027 AGM.

Accordingly, the Board has determined that it is in the best interests of the Company and its shareholders to continue progressing towards fuller alignment with relevant governance principles over time, taking into account TORM's specific circumstances, business model and strategic objectives.

The Board will continue to evaluate potential enhancements to governance and remuneration arrangements and will engage with shareholders as these matters develop.

In respect of the Share Buyback Resolution, the Board notes that it provided feedback on this Resolution on 15 April 2026 following a question from a key shareholder and this response remains accurate.
