TotalEnergies SE files a Form 6-K summarizing a wide set of strategic, financial and operational developments. The Board is proposing a fiscal 2025 dividend of 3.40 €/share, a 5.6% increase over 3.22 €/share, with a final 0.85 €/share payment planned, plus an indicative 2026 dividend timetable.

technical cooperation

Paris / Kuwait City, February 3, 2026 – At the opening of the 5th Kuwait Oil & Gas Show and Conference (KOGS), TotalEnergies and Kuwait Oil Company (KOC) signed today a Memorandum of Understanding (MoU) to strengthen their cooperation, exchange expertise and conduct technical studies.
The signing ceremony took place in the presence of Patrick Pouyanné, Chairman and Chief Executive Officer of TotalEnergies, Sheikh Nawaf Saud Al-Sabah, CEO of Kuwait Petroleum Corporation, and Ahmad Jaber Al-Eidan, CEO of KOC.
The MoU notably includes studies related to new exploration opportunities in the country, for which TotalEnergies will mobilize its technical expertise.
“We are pleased to strengthen our cooperation with Kuwait Oil Company through this MoU, which reflects our shared ambition to contribute to Kuwait’s objectives in developing its resources. Capital Join
Forces to Develop Public Charging Networks in Belgium and
the Netherlands
Paris, February 4, 2026 – TotalEnergies and Tikehau Capital have announced the creation of a joint investment platform to promote the development of charging infrastructure for electric vehicles in urban public spaces in Belgium and the Netherlands. This partnership will support municipal authorities through the EV transition and consolidate TotalEnergies’ position as a leading player in public charging in Benelux.
The platform is equally owned by TotalEnergies and Tikehau Capital and aims to:

Europe: TotalEnergies to Supply Renewable Electricity to
Airbus in Germany and the United Kingdom
Paris, February 5, 2026 – TotalEnergies and Airbus, a leading aircraft manufacturer, have signed two clean firm power contracts to supply 3.3 TWh to all major Airbus sites located in Germany and the United Kingdom.
The electricity supplied to Airbus into the next decade will have a baseload profile and come from new renewable assets with a capacity of 200 MW. This supply will cover half of the electricity needs of the sites concerned, starting from 2027.
“Following last year’s announcement of our partnership in sustainable aviation fuel, we are pleased to sign these power purchase agreements with Airbus in Germany and the United Kingdom, two countries where TotalEnergies is growing quickly its production base and its sales,” said Stéphane Michel, President, Gas, Renewables & Power at TotalEnergies. “These new contracts illustrate TotalEnergies’ ability to deliver turnkey clean firm power solutions on multi-geographies to support our industrial customers in their energy transition. These contracts, which rely on our integrated power portfolio combining both renewable and flexible assets will contribute positively to the profitability of our electricity business”.

Namibia: TotalEnergies Expands its Exploration Portfolio as
Operator of PEL104 License
Paris, February 6, 2026 – TotalEnergies has signed agreements to acquire a 42.5% operated interest in PEL104 Exploration license, located offshore Namibia, from Eight Offshore Investments Holdings (“Eight”) and Maravilla Oil & Gas.
Upon completion of the transaction, TotalEnergies will be the operator of the license holding a 42.5% interest alongside Petrobras (42.5%), Namcor (10%) and Eight (5%).
Located in the Lüderitz basin, PEL104 license covers an area of around 11,000 km2 offshore Namibia.
“After the acquisition in December of a 40% operated interest in PEL83 license, TotalEnergies further strengthens its position in Namibia by entering this new exploration license as operator. While progressing towards the development of Venus and Mopane discoveries, we are very pleased to expand our portfolio and continue exploring the prolific resources of Namibia, in order to unlock further value that will benefit the country and all stakeholders”, stated Nicolas Terraz, President Exploration & Production at TotalEnergies.
Completion of the transaction is subject to customary third party approvals from the Namibian authorities and joint ventures partners.

States: TotalEnergies to Provide 1 GW of Solar Capacity
to Power Google’s Data Centers
in Texas for 15 Years
Paris/Houston, February 9, 2026 – TotalEnergies has signed two new long-term Power Purchase Agreements (PPA) to deliver 1 GW of solar capacity – equivalent to 28 TWh of renewable electricity over 15 years – to supply Google’s data centers in Texas. The power will be generated from TotalEnergies-owned sites currently under development in Texas: Wichita (805 MWp) and Mustang Creek (195 MWp), with construction scheduled to begin in Q2 2026.
Bringing reliable new power capacity for AI – now
These PPAs totaling 1 GW complement separate gross PPAs of 1.2 GW recently secured by Clearway, a California-based renewables company 50% owned by TotalEnergies, to support Google’s data centers across the ERCOT (Texas), PJM (Northeast), and SPP (Central) markets.
The Wichita and Mustang Creek solar farms will generate significant benefits for local communities. Several hundred jobs will be created during construction, and substantial tax revenues will help fund public services throughout the lifetime of the projects.
“We are pleased to sign these agreements to supply renewable electricity to Google in Texas, representing the largest renewable PPA volume ever signed by TotalEnergies in the United States”, said Marc-Antoine Pignon, Vice President Renewables U.S. for TotalEnergies. “This highlights TotalEnergies’ strategy to deliver tailored renewable energy solutions that support the decarbonization goals of digital players, particularly data centers. Through this PPA, TotalEnergies is also addressing the challenges of land availability and power supply for data centers by enabling large-scale colocation opportunities,” he added.
“Supporting a strong, stable, affordable grid is a top priority as we expand our infrastructure,” said Will Conkling, Director of Clean Energy and Power at Google. “Our agreement with TotalEnergies adds necessary new generation to the local system, boosting the amount of affordable and reliable power supply available to serve the entire region.”
TotalEnergies has a gross capacity portfolio of 10 GW of onshore solar, wind and battery storage assets in operation in the United States, including 400 MW in the PJM market in the Northeast of the country, and 5 GW in the ERCOT market in Texas.

to France’s energy sovereignty and transition
➢ We secure the country’s energy supply
With 3 refineries, 2 biorefineries, 6 gas-fired power stations, 13 biomethane plants, 420 solar and wind power facilities and 3 gas import terminals, we are helping establish the country’s energy security and its supply of gas, fuel and power.
We stand by the French people to provide them with the energies they need every day. In 2025, for example, TotalEnergies was responsible for 45% of France’s gas supply, 25% of fuels and 30% of aviation biofuels.
Since 2015, we have invested almost €1 billion in the modernization of our French refineries or their conversion to the production of biofuels, as at La Mède on the Mediterranean coast, Grandpuits near Paris, and our Gonfreville refinery in Normandy.
Ø Growth in power and renewables
In France, we have already reached 2 GW of installed renewable power, putting us in the country’s top three renewable power producers (wind and solar). We have become an integrated player in electricity: from production to flexible management, with our gas-fired power stations, and energy storage systems using batteries produced by our affiliate Saft.
We are very proud to have been awarded the country’s largest renewables project, in September 2025, following the call for tender for Centre Manche 2, an offshore wind facility that will supply green electricity to over a million homes from 2033. We are committed to creating jobs in the region, especially in Normandy, and we are implementing an EU-first policy for the main equipment, i.e. the wind turbines and cabling.
In 2025, the floating wind project Eolmed, in southwest France, entered its final construction phase before commissioning later this year. This pilot facility, in which we own 20%, will eventually produce enough power for 50,000 people.
Also in 2025, we acquired 50% of a flexible power production portfolio in Europe, including over 1 GW of batteries under construction or development in France. Through our Saft affiliate, we are developing energy storage, a vital technology for use with renewables, which are intermittent by nature, and 2025 saw the launch of EnerShift, a brand new energy storage system for industrial sites, already in operation at Saft’s site in Bordeaux.

and supply them with all energies
➢ Standing by 38 million French people to supply their fuel
Through our network of 3,200 service stations in every part of France, we support over a million customers every day, supplying 25% of the fuel sold in the country. Our refineries and distribution network are contributing to the country’s energy security and fuel supply for the almost 38 million combustion vehicles on French roads.
We are also renewing the commitment we made to motorists in 2023, with a €1.99 cap on a liter of diesel or gasoline for the whole of 2026. And since September 2024, TotalEnergies’

residential Electricity & Gas customers can apply a cap of €1.94 instead of €1.99 on all fuels sold in our service stations.
Since 2024, we have reopened over thirty rural service stations to maintain local services, and we are setting up partnerships to develop community cohesion and galvanize the local economy (fresh bread deliveries, automatic car washes, vehicle registration documents, shops, food services, repairs, etc). These reopenings reflect TotalEnergies’ ambition to expand its footprint throughout the country, so that nine out of ten people live within fifteen minutes of a service station. We have also recruited fuel pump attendants in 300 service stations for more human contact and to assist our customers.
We are France’s leading distributor of E85, a biofuel our customers can buy from over 950 service stations.
Ø Standing by France’s 1.5 million EV drivers
We are also standing by French EV drivers. Across France, we have almost 26,000 charge points (public and private sector, company cars, home charging, public parking lots and stations) all supplied with green electricity.
In 2025, we were ranked “leader in high-power EV charging on the French motorway network”, both in terms of the number of charge points operated (over 1,900) and installed power, according to the latest Gireve report (European interoperability platform). During the school holidays, 300 EV charging station attendants will be on hand to assist and advise EV users in around a hundred motorway service stations.
In 2025, TotalEnergies signed a partnership with the Banque des Territoires to stimulate EV development in municipal and regional authorities. We inaugurated our first service station equipped with charge points for heavy vehicles, at Plessis-Pâté near Paris. We are working with our trucking customers, and have announced a partnership with Scania France, Daimler Trucks France and Prologis, to offer them multi-energy solutions from the depot to the road.
Ø Standing by French people at home
We supply electricity and gas to over 4.2 million residential and business customers. We are proud to support French people in their everyday needs. For heating, for example, because there remain 12 million gas boilers, 2.4 million fuel oil boilers and 2 million wood pellet boilers in service in France.
Our residential customers can benefit from electricity deals at prices lower than the regulated tariff set by the government. In 2025, we introduced a 10% discount on the government tariff for one year. And for several years, our Charge’Heures package has offered super off-peak rates between 2:00 and 6:00 am at half the price of peak hours.
To help our customers manage their energy use, we launched Tous Acteurs, a program for the 2025-2026 winter which alerts participants to the grid’s busiest days, advises them on moving their energy use outside peak times and rewards them for their efforts. We also allow them to track their energy use with a monthly report called Zoom conso.
Customers in financial difficulty can ask for a community chat. After a telephone conversation with our experts, they receive a free, customized report to assist them. In 2025, there were over 4,500 community chats, with a satisfaction rate of 88%.

Proud to innovate and reduce emissions
Ø Innovating with artificial intelligence
In 2025, we announced our collaboration with the French company Mistral AI to set up a shared innovation lab focused on artificial intelligence to improve the performance of our activities, especially in low-carbon energies. The deal reflects our decision to leverage digital technology and artificial intelligence to improve our industrial facilities and support the transition.
Ø Innovating to create a new plastic recycling activity
In 2025, we launched France’s first advanced plastic recycling plant, at our Grandpuits platform. This plant represents the launch of a completely new activity in plastic recycling: producing feedstock from French plastics in sorted household waste that is hard to recycle and currently either sent to landfill or incinerated. To achieve this, we signed a deal in 2023 with Citeo and Paprec, two French partners, to secure the unit’s supply of plastic waste.
Ø Innovating to take the carbon out of our industrial sites
In France, we undertook in 2023 to halve the CO2 emissions from our refining and petrochemicals sites by 2030, compared to the 2015 baseline. Our sites have already cut their CO2 emissions by over 40% between 2015 and 2025. We are actively contributing to the country’s decarbonization goals.
In 2026, we will pursue our efforts to decarbonize our industrial sites thanks to the electrification of our facilities, the use of electricity and green hydrogen, and improved energy efficiency.
Ø Innovating to decarbonize the air industry
We are actively decarbonizing air transportation, producing and supplying sustainable aviation fuel (SAF) to our customers from three production sites in France: the biorefinery at La Mède and the Normandy complex since 2025 and, from 2026, the biorefinery at Grandpuits.
At the Le Bourget Air Show in 2025, we signed a deal with Quatra to secure the supply of feedstock to our French biorefineries, and another deal with Avril to jointly examine the feasibility of intermediate crops in France for the production of sustainable aviation fuels. These partnerships build on the deal announced in 2022 with Saria, which will supply most of the feedstock to Grandpuits.
At the same time, our affiliate Saft and Safran Electrical & Power jointly announced the signing of an exclusive partnership to develop a new high-voltage battery system for the air industry. This project takes a major step towards next-generation aircraft.
Ø Innovating to decarbonize other sectors of industry
We help leading French industrial groups decarbonize their activities. Our biorefinery at La Mède is the only source of French-produced HVO. This entirely renewable biodiesel fuel developed by TotalEnergies and produced from food waste requires no adaptation to existing engines and is distributed throughout France to decarbonize truck fleets, public transport, farming and construction machinery and other equipment such as snow groomers for ski resorts. In 2025, we had over 1,100 professional customers for HVO100 located throughout France.

In January 2025, we signed a contract with semiconducter leader STMicroelectronics for renewable power to supply their French sites.
In 2025, we also renewed our multi-energy partnership with Colas, to help decarbonize the construction industry by supplying biodiesel (HVO), batteries to supply power to building sites, EV charging infrastructure and solar power facilities.
Through our Saft affiliate, we sell innovative rail battery systems to 75% of subway systems and over 100 rail networks worldwide. In France, Saft has been chosen for the next-generation TGV, the TGV M, expected in 2026.
Proud to promote regional development
Ø We contribute to the public finances
Our contribution to France’s public finances should amount to over €2 billion for 2025. That includes all forms of tax and the social security contributions TotalEnergies pays on the salaries of our 35,000 French employees. It also includes the withholding tax on dividends paid to our foreign shareholders.
Ø We are investing in the overseas territories
With almost 90 wind, solar, hydro and battery facilities in operation, we are a major player in the generation of renewables in France’s overseas territories, supplying enough power for 200,000 people. In 2025, we inaugurated La Perrière, the new wind and solar farm at Sainte-Suzanne in Réunion.
We have a network of over 180 service stations across all overseas territories, regions and départements, and we are also contributing to the development of the EV sector by deploying charge points in those service stations and on our partners’ parking lots. In 2025, we installed the first very high-power charge points in Réunion.
Ø We partner with the farming sector
With 123 projects under development in France to deliver almost 1 GW of renewable power, we are proud to be a major player in agrivoltaics, allowing farmers to generate additional revenues and contribute to the sector’s transition.
In 2025, we signed a memorandum of cooperation with the young farmers’ union Jeunes Agriculteurs to support young farmers with the agricultural energy transition.
In 2025, our thirteen biogas units across France allowed us to recover waste from over 1,000 partners in the farming and food sector and then, in a local and circular process, to supply those partners with digestate, an organic fertilizer. Also in 2025, we commissioned BioNorrois in Normandy, our second-largest methanation unit, created in close collaboration with the sugar sector.
Ø Our innovations are helping to decarbonize our regions
In May 2025, we inaugurated the Le Havre Sud heat network, supplied by our Normandy complex. This project recovers the heat generated by our facility to provide heating to over 12,000 homes in Le Havre from cleaner energy, saving 16,000 tons of CO2 a year.

Ø We support small and medium-sized businesses
We are also supporting the French economy with almost €6 billion of goods and services bought from over 16,000 suppliers based in France in 2025.
We assist and provide financial support to projects for the creation, acquisition and development of French SMEs, creating jobs in French regions. In 2025, 166 unsecured interest-free loans were granted to support over 4,000 French jobs.
With our regional, national and international partners, we help French SMEs leverage our international reach for growth. In 2025, 150 businesses were supported with collective prospection in the energy sector and in decarbonization and the energy transition, or were hosted by our foreign affiliates free of charge.
Proud to support young people, heritage and sport
Ø We are helping the young generation
Every year, the TotalEnergies Foundation supports projects in France with over 100 partners and contributes to supporting over 100,000 young people aged 12 to 25, most of whom are in a socially or academically vulnerable situation.
Thanks to the partnership the Foundation signed in 2018 with the National Federation of Production Schools, we have helped set up 47 production schools and expand ten others. Industreet, our campus for new industrial roles, initiated and fully funded by the TotalEnergies Foundation, will celebrate its five-year anniversary in 2026. Over 430 young people were admitted in 2025, bringing the total number of students past and present to 1,460 since its creation in 2021. At the end of their course, 85% of students obtained a permanent contract or pursued further studies. Villastreet, the hall of residence, provides accomodation for 75 young people from all parts of France.
Ø We protect our national heritage
In 2026, our Foundation will mark the twenty-year anniversary of its partnership with the French heritage organization, the Fondation du patrimoine. Together, we are helping preserve our architectural heritage through restoration programs that offer young people the chance to train and find work. Over 330 programs have taken place since 2006 in over 70 départements throughout France.
Ø We support rugby and cycling!
In 2025, we secured our commitment to rugby and to everyone who breathes life into this sport all over France, to showcase its values of solidarity, performance and togetherness.
As a major partner for all French Rugby Union and Rugby Sevens teams, we also support the Top 14 and Pro D2 professional leagues every weekend of the season, as well as ninety amateur clubs.
Through the National City and Country Tournament, in 2025 TotalEnergies helped 27,000 young men and women from deprived urban and rural areas (Quartiers Prioritaires de la Ville and Zones de Revitalisation Rurale) to learn rugby and its civic values.
Because of its historic roots and activities in the Béarn region of southwest France, at the end of 2025 TotalEnergies announced that it was extending the partnership with the Section

Paloise Béarn Pyrénées, begun in 1988, to 2032, allowing the Top 14 club to consolidate an ambitious project and establish its place in the French rugby elite.
We also strengthened our commitment to French cycling, announcing the signing of an official partnership in the Energy category with the Tour de France, the Tour de France Femmes with Zwift and six other major professional events in France, including Paris-Nice, Paris-Roubaix and the Auvergne-Rhône-Alpes Tour. These are long-term partnerships, covering all seasons from 2026 to 2028.
In addition, TotalEnergies is the headline sponsor of a French cycling team, Team TotalEnergies until the end of 2026. In the summer of 2025, it joined the INEOS Grenadiers as jersey sponsor, recruiting three French riders for the 2026 season.

On the occasion, Patrick Pouyanné said: “With cash flow stable at $7.2 billion, TotalEnergies once again demonstrates its ability to offset lower hydrocarbon prices thanks to accretive growth in its Upstream production of 3.9% in 2025, exceeding the guidance of above 3%. For the year 2025, the Company reported adjusted net income of $15.6 billion and cash flow of $27.8 billion in an environment marked by a decline of 15% in oil prices. IFRS net income amounted to $13.1 billion, down 17%. Return on average capital employed stood at 12.6%, the best among the majors for the fourth consecutive year. | For the year 2025, Exploration & Production generated adjusted net operating income of $8.4 billion and cash flow of $15.6 billion. In 2025, TotalEnergies’ production growth benefited from the start‑up and ramp‑up of seven major projects (Mero‑2, Mero‑3 and Mero‑4 in Brazil, Anchor and Ballymore in the United States, Fenix in Argentina and Tyra in Denmark). Accretive upstream production growth helped offset $5/b of the $11/b price decline recorded over the year. The Company maintained operating costs at $5/b in 2025 and continued to reduce operated methane emissions by over 20% during the year. With a reserve replacement rate of 116% in 2025, TotalEnergies maintains proven reserves life above 12 years, while continuing to build its future project portfolio. The Company signed an agreement with Galp to acquire a 40% operated interest in the prolific PEL83 license, which includes the Mopane discovery. It also expanded its exploration portfolio by entering new licenses in Algeria, the United States, Nigeria, Malaysia, Indonesia, Guyana and Liberia. TotalEnergies pursued active management of its upstream portfolio, notably signing an agreement to merge its mature UK North Sea assets with NEO NEXT and selling interests in non‑operated projects in Nigeria and Brazil. Adjusted net operating income and cash flow for the Integrated LNG segment are stable compared to the third quarter of 2025, reaching $0.9 billion and $1.2 billion respectively. These results were supported by higher production (restart of Ichthys LNG) and LNG sales, offsetting a 5% decline in average LNG sales prices during the quarter. For full‑year 2025, Integrated LNG generated adjusted net operating income of $4.1 billion and cash flow of $4.7 billion. The Company continued to strengthen its integration along the US LNG value chain with the investment decision for Train 4 of the Rio Grande LNG project, including the purchase of 1.5 Mt/year of LNG and the acquisition of new upstream gas interests in the Anadarko Basin. In the fourth quarter, Integrated Power confirmed the strong performance of previous quarters with adjusted net operating income of $564 million and much higher cash flow of $788 million. For 2025, cash flow amounted to $2.6 billion, in line with the announced target. Return on average capital employed stood at 10%. Net electricity production reached 48 TWh, up 17% year‑on‑year, helping reduce the average carbon intensity of all energy products sold to customers (‑18.5% versus 2015). To accelerate its gas‑to‑power integration strategy in Europe, TotalEnergies signed an agreement with EPH to acquire 50% of a portfolio of flexible power generation assets with more than 14 GW of gross capacity. In 2025, TotalEnergies also recycled $2 billion of capital by selling 50% of a 2.7 GW gross capacity portfolio (United States, Portugal, Greece, France), in line with its renewables business model. Downstream delivered adjusted net operating income of $1.3 billion, up 26% in the quarter, and cash flow of $2.0 billion, up 19%, driven by more than a 30% increase in European refining margins. For 2025, Downstream adjusted net operating income reached $3.8 billion and cash flow $6.2 billion, with Refining & Chemicals capturing the margin improvement in the second half of the year and Marketing & Services benefiting from continued increases in unit margins. Given the Company’s strong cash‑flow generation and solid balance sheet despite uncertain environment, the Board of Directors will propose to the Annual Shareholders’ Meeting on May 29, 2026, the distribution of a final 2025 dividend of €0.85/share, bringing the full‑year 2025 dividend to €3.40/share, up 5.6% from the 2024 dividend, reflecting the share buybacks executed in 2025 ($7.5 billion for a 55% payout). Adjustment items to net income totaled -$0.9 billion in the fourth quarter of 2025, consisting mainly of: -$0.7 billion in impairments, in particular for the offshore wind activity within the Integrated Power segment, -$0.2 billion from inventory valuation effects. | 8. Outlook At the beginning of 2026, oil markets remain volatile in a constantly evolving geopolitical environment. Fundamentals, however, remain unchanged: global demand is expected to grow by around 0.9 million barrels per day (IEA – January 2026), driven by activity in non‑OECD countries and by petrochemical demand; at the same time, non‑OPEC supply growth is slowing, while OPEC+ has decided to maintain its quota policy at the beginning of 2026. European gas prices for the first quarter on forward markets are hovering around $11-12/MBtu, reflecting strong winter consumption and storage levels below the seasonal averages observed since 2022. In 2026, the Company intends to continue implementing its balanced and profitable transition strategy, anchored on its two growth pillars: hydrocarbons and electricity. The Company plans to increase its overall energy production (oil, gas and electricity) by 5% over the year while continuing to reduce emissions from its operations, with a target of achieving a 70% reduction in methane emissions in 2026 compared with 2020. For its first growth pillar, TotalEnergies expects to increase its oil and gas production by 3% in 2026, supported by the ramp‑up of projects started in 2025, the anticipated start‑ups in 2026 (notably Lapa in Brazil, Ratawi in Iraq, North Field East in Qatar, TFT II & South in Algeria, Tilenga in Uganda). These new barrels support a 7% increase in cash flow at $60/b, higher than production growth. The Company intends to maintain its competitive advantage by keeping production costs below $5/b through strong operational discipline. In the first quarter of 2026, hydrocarbon production is expected to be above 2.6 Mboe/d. At the start of the year, refining margins are hovering around $5/b in a context of volatile crude prices. The Company expects to benefit from the improved availability of certain units that underperformed in 2025 and therefore anticipates an increase in refinery utilization rates to around 88% in the first quarter of 2026, in the absence of major shutdowns. Integrated LNG is expected to continue its growth in 2026 with the start‑up of the North Field East project in Qatar (2 Mtpa of offtake) and Costa Azul on the North American Pacific coast (1.7 Mtpa of offtake). This growth, combined with LNG sales of over 44 Mt in 2026, should offset the expected decline in LNG prices and enable the segment to generate, at $60/b (Brent) and $10/MBtu (TTF), cash flow equivalent to that generated in 2025. Given recent oil and gas price trends and the lag effect on pricing formulas, TotalEnergies anticipates an average LNG sales price close to $8.5/MBtu in the first quarter of 2026. For its second growth pillar, TotalEnergies plans to increase its electricity production by around 25% in 2026 to exceed 60 TWh, considering in particular the completion of the EPH acquisition, expected mid‑2026, which will enable the Company to accelerate its gas‑to‑power integration strategy in Europe. For the year, Integrated Power cash flow is expected to exceed $3 billion for investments of $2.5-3 billion. In 2026, TotalEnergies expects net investments of around $15 billion, including about $3 billion dedicated to low‑carbon energies, mainly electricity. Reintegrating the annual equivalent of more than $1 billion over five years linked to the acquisition of EPH’s flexible power assets in shares, the planned investment effort in low‑carbon energies thus amounts to around $4 billion in 2026. The Company is implementing its multi‑year cash‑savings plan (Capex + Opex), now targeting $12.5 billion over 2026–2030, including $2.5 billion planned for 2026. Under a scenario of $60/b Brent, $10/MBtu TTF and $5/b ERM, the Company expects to generate cash flow above $26 billion, supported by accretive production growth, improved Downstream performance and growth in Integrated Power. In this environment, the Company should maintain an attractive shareholder return while preserving the strength of its balance sheet, with a targeted gearing ratio of around 15% at end‑2026. | In the replacement cost method, which approximates the Last-In, First-Out (LIFO) method, the variation of inventory values in the statement of income is, depending on the nature of the inventory, determined using either the month-end prices differential between one period and another or the average prices of the period rather than the historical value. The inventory valuation effect is the difference between the results under the FIFO and the replacement cost methods. (iii) Effect of changes in fair value The effect of changes in fair value presented as an adjustment item reflects, for trading inventories and storage contracts, differences between internal measures of performance used by TotalEnergies’ Executive Committee and the accounting for these transactions under IFRS. IFRS requires that trading inventories be recorded at their fair value using period-end spot prices. In order to best reflect the management of economic exposure through derivative transactions, internal indicators used to measure performance include valuations of trading inventories based on forward prices. TotalEnergies, in its trading activities, enters into storage contracts, whose future effects are recorded at fair value in TotalEnergies’ internal economic performance. IFRS precludes recognition of this fair value effect. Furthermore, TotalEnergies enters into derivative instruments to risk manage certain operational contracts or assets. Under IFRS, these derivatives are recorded at fair value while the underlying operational transactions are recorded as they occur. Internal indicators defer the fair value on derivatives to match with the transaction occurrence. proposes a dividend
of 3.40€/share for fiscal year 2025,
a 5.6% increase
Paris, February 11th, 2026 - The Board of Directors met on February 10, 2026, and decided to propose at the Shareholders’ Meeting to be held on May 29, 2026, the dividend distribution of 3.40 €/share for fiscal year 2025, a 5.6% increase compared to the dividend for fiscal year 2024 of 3.22 €/share.
The final dividend for fiscal year 2025 would be 0.85 €/share, identical to the three interim dividends for fiscal year 2025 previously decided by the Board of Directors.
Subject to the Shareholders’ Meeting approval, the final dividend will be detached and paid in cash, according to the following timetable:

United States: TotalEnergies Signs Agreement to Export
2 Mtpa of LNG
for 20 years from the Alaska LNG Project
Paris, February 26, 2026 – TotalEnergies has signed today a preliminary agreement (Letter of Intent) with Glenfarne, the lead developer of the Alaska LNG project, for the long-term offtake of 2 million tons per year (Mtpa) of liquefied natural gas (LNG) over 20 years, subject to the project’s final investment decision.
The future Alaska LNG project, located on the U.S. Pacific coast, is the only federally authorized LNG export terminal in this region. It plans a total capacity of 20 Mtpa, with direct access to Asia, the world’s largest LNG market, offering a reliable solution for Asia’s energy security and strengthening transpacific ties.
"We look forward to offtaking LNG from Glenfarne’s Alaska LNG project. The Alaska LNG project is indeed very well geographically positioned to better serve our Asian customers. It also illustrates TotalEnergies’ ambition to consolidate its position as a leading buyer of U.S. LNG, while diversifying its supply sources. TotalEnergies is indeed very proud to have been the number one exporter of U.S. LNG in 2025 with 19 Mt representing 18% of the whole U.S. production, out of which 14 Mt for Europe,” said Patrick Pouyanné, Chairman and CEO of TotalEnergies.
“TotalEnergies is one of the most sophisticated LNG market participants in the world,” said Glenfarne Chief Executive Officer and Founder Brendan Duval. “Alaska LNG offers a unique Pacific orientation that complements TotalEnergies’ supply strategy and provides Asian customers with direct access to U.S. gas. We are proud to add another partner of their caliber to the project.”
The Alaska LNG project has strong political and institutional support in the U.S. and aims to meet growing LNG demand from Asia, while offering logistical flexibility and enhanced competitiveness thanks to its location on the Pacific coast.
TotalEnergies’ LNG activities in North America
TotalEnergies is the number one exporter of U.S LNG with 19 million tons exported in 2025. The Company is integrated throughout the LNG value chain, with upstream gas production assets in Texas and Oklahoma and offshore U.S. Over the years, TotalEnergies has invested in a number of major LNG projects in North America, such as Cameron LNG and Rio Grande LNG in the US, Energia Costa Azul in Mexico, and Ksi Lisims LNG in Canada. TotalEnergies also offtakes LNG from major terminals in the US, such as Sabine Pass LNG, Freeport LNG, and Corpus Christi LNG.
