Rhea-AI Filing Summary

Valor Energy Inc agreed to sell up to 2,145,923 common shares at $2.33 per share in a private placement. Aggregate gross proceeds would be approximately $5,000,000 if all shares are sold. The offering is subject to closing conditions and will close upon their satisfaction or waiver.

Valor Energy plans to use net proceeds for AI data center project development, working capital and general corporate purposes. The shares are offered in reliance on a Regulation D exemption; assuming the investors’ representations and warranties are accurate, registration under the Securities Act is not required for this offer and sale. Investors represented that they are accredited or sophisticated investors and are acquiring the shares for their own accounts for investment purposes.

Filing Explained

Completing the agreed sale of new common shares would increase the share count and reduce existing holders’ percentage ownership; closing remains subject to conditions, so the filing does not establish that this dilution has occurred.

securities purchase agreement financial
"entered into a certain securities purchase agreement"
A securities purchase agreement is a written contract between a buyer and a seller outlining the terms for buying or selling financial assets such as stocks or bonds. It specifies details like the price, quantity, and conditions of the transaction, similar to a shopping list with agreed-upon terms. For investors, it provides clarity and legal protection when transferring ownership of these financial instruments.
Regulation D regulatory
"reliance on an exemption provided by Regulation D"
Regulation D is a set of rules that govern how companies can raise money from investors without going through the full process required for public stock offerings. It provides simplified options for private placements, making it easier for companies to seek investments from a smaller group of investors. For investors, it offers opportunities to invest in private companies, often with fewer restrictions, but also with different levels of risk and disclosure.
accredited investor regulatory
"an “accredited investor” as defined in Rule 501"
An accredited investor is an individual or entity that meets certain financial criteria, such as having a high income or significant net worth, allowing them to invest in private or less regulated investment opportunities. This status matters because it grants access to investments that are often riskier or less available to the general public, reflecting a higher level of financial knowledge or resources.
closing conditions financial
"subject to various closing conditions"
Closing conditions are specific requirements or steps that must be met before a financial deal or transaction can be finalized. They act like a checklist that ensures all necessary details are confirmed and agreed upon, giving both parties confidence that the deal is ready to be completed. Meeting these conditions is essential for the transaction to move forward smoothly and successfully.
