Insights
Deal structure is a private-equity-led cash merger with typical protections.
The Merger Agreement dated February 23, 2026 contemplates a cash-out at $19.00 per Share and contains standard no-solicitation, fiduciary-exception and termination-fee mechanics, including a $60,000,000 Company Termination Fee and a $140,000,000 Parent Termination Fee.
Closing is conditioned on stockholder approval and customary regulatory and accuracy covenants; appraisal rights are not available under applicable Maryland law. Timing references anticipate Closing in second quarter of 2026, subject to conditions.
Financing is committed as a mix of bridge debt and sponsor equity for a roughly $3.13 billion transaction.
Parent expects to fund the transaction with a bridge facility up to $2.08 billion and $1.07 billion of equity commitments (subject to a potential downward adjustment to $1.05 billion). Equity Commitment Letters and a Debt Commitment Letter were delivered on February 23, 2026.
There is no financing condition to Closing; funding depends on the committed facilities and satisfaction of customary closing conditions in the Debt and Equity Commitment Letters.
