Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Varex Imaging Corporation (VREX) reported preliminary results from its October 28, 2026 special meeting: stockholders approved the merger agreement with Teledyne Technologies Incorporated, with 32,425,422 votes for, 30,031 against and 77,671 abstentions. The advisory compensation proposal also passed, with 25,087,617 votes for, 7,406,846 against and 38,661 abstentions. A total of 32,533,124 shares were present or represented by proxy, approximately 77% of the 42,463,446 shares outstanding and entitled to vote as of September 16, 2026.

The agreement provides for Teledyne to acquire Varex through Detect Merger Sub, Inc., with Varex surviving as a wholly owned subsidiary. Completion remains subject to regulatory approvals and waiting-period expirations, the absence of a prohibiting governmental order or law, and other contractual conditions. Teledyne’s obligation also depends on no Company Material Adverse Effect having occurred since the agreement date. The adjournment proposal was not submitted because a quorum was present and enough votes supported adoption; Varex said it will provide final results in an amendment.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

quorum regulatory
"which constituted a quorum to conduct business"
A quorum is the minimum number of members needed to officially hold a meeting or make decisions. It ensures that decisions are made with enough participation to represent the group’s interests, much like a majority must be present for a vote to be valid. For investors, understanding quorum is important because it affects when and how important company or organization decisions can be legally made.
Hart-Scott-Rodino Antitrust Improvements Act regulatory
"waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976"
A U.S. law that requires companies planning large mergers or acquisitions to notify federal antitrust authorities and wait for review before completing the deal. Think of it like applying for a building permit: regulators check whether the combined business would unfairly hurt competition and can clear the deal, impose changes, or seek to stop it, so the process affects transaction timing, cost, and whether expected benefits reach investors.
representations and warranties regulatory
"accuracy of the other party’s representations and warranties"
Representations and warranties are statements one party makes to another in a legal agreement about facts or conditions that are true at signing or will be true in the future, like ownership, financial statements, or regulatory compliance. They matter to investors because they set the factual baseline for a deal—like guarantees in a car sale—and create legal remedies or payment adjustments if those statements turn out to be false, affecting value and risk.
Company Material Adverse Effect regulatory
"absence of any Company Material Adverse Effect"
A company material adverse effect is a significant, harmful change in a company’s business, financial condition, or operations that makes it much less valuable or viable. Investors care because this kind of change can trigger contract protections, delay or cancel deals, and often leads to a sharp re-evaluation of the stock — like discovering a serious health problem that suddenly changes future prospects and insurance coverage.

Item 5.07    Submission of Matters to a Vote of Security Holders
On October 28, 2026, Varex Imaging Corporation, a Delaware corporation (the “Company”), held a special meeting of stockholders (the “Special Meeting”) to consider certain proposals related to the Agreement and Plan of Merger, dated as of August 10, 2026 (the “Merger Agreement”), by and among the Company, Teledyne Technologies Incorporated, a Delaware corporation (“Parent”), and Detect Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”). The Merger Agreement provides for the acquisition of the Company by Parent by means of a merger of Merger Sub with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly owned subsidiary of Parent.
As of the close of business on September 16, 2026, the record date for the Special Meeting, there were 42,463,446 shares of the Company’s common stock, par value $0.01 per share (“Company Common Stock”), outstanding and entitled to vote at the Special Meeting, each of which was entitled to one vote per share with respect to each proposal voted on at the Special Meeting. Based on the preliminary voting results, a total of 32,533,124 shares of Company Common Stock were present or represented by proxy at the Special Meeting, representing approximately 77% of the outstanding shares of Company Common Stock entitled to vote, which constituted a quorum to conduct business at the Special Meeting.
At the Special Meeting, the Company’s stockholders considered the following proposals, each as described in the definitive proxy statement on Schedule 14A related to the Special Meeting that was filed by the Company with the Securities and Exchange Commission (the “SEC”) on September 21, 2026, as supplemented by the additional definitive proxy soliciting materials filed by the Company with the SEC on October 22, 2026: (1) to adopt the Merger Agreement, by and among the Company, Parent and Merger Sub; (2) to approve, on an advisory (non-binding) basis, the compensation that may be paid or become payable to the Company’s named executive officers that is based on or otherwise relates to the Merger Agreement and the transactions contemplated by the Merger Agreement (the “Compensation Proposal”); and (3) to adjourn the Special Meeting to a later date or dates, if necessary or appropriate, to solicit additional proxies if there are insufficient votes to adopt the Merger Agreement at the time of the Special Meeting (the “Adjournment Proposal”).
The preliminary voting results for the proposal to adopt the Merger Agreement and for the Compensation Proposal are described below and both proposals were approved. There were no recorded broker non-votes. The Adjournment Proposal was not submitted to the Company’s stockholders for approval at the Special Meeting because there was a quorum present at the Special Meeting and there were sufficient votes to approve the proposal to adopt the Merger Agreement. The Company will file an amendment to this Current Report on Form 8-K once the final voting results are available.
