Item 5.02Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 8, 2025, Tarang Sharma, Chief Accounting Officer of VSE Corporation (the “Company”), notified the Company of his decision to resign from his position with the Company, effective October 31, 2025, to pursue an opportunity outside of the Aviation industry. Following his employment period, Mr. Sharma is expected to serve in a transitional capacity through March 2026, providing consulting and advisory services to the Company. The Company and Mr. Sharma intend to enter into a consulting agreement to support these services. Mr. Sharma’s decision to resign is not the result of any disagreement with the Company on any matter relating to its operations, policies, practices, or financial reporting.
