Private Placement
On August 1, 2025, Top KingWin Limited (the “Company”)
entered into certain securities purchase agreement (the “Purchase Agreement”) with certain non-U.S. investors (the “Purchasers”)
pursuant to which the Company agreed to sell 26,136,363 of its class A ordinary shares, par value of $0.0025 each (“Ordinary Shares”),
for gross proceeds of approximately $11.5 million. The purchase price for each Ordinary Share is $0.44.
The Company currently intends to use the net proceeds
from the Offering for working capital and general corporate purposes. This offering closed on August 5, 2025.

attached hereto as Exhibit 99.1 and is incorporated herein by reference. The foregoing summary of the terms of the Purchase Agreement
is subject to, and qualified in its entirety by such document.
