Rhea-AI Filing Summary

Select Water Solutions, Inc. (WTTR) subsidiary Select Water Holdings LLC priced $900 million aggregate principal amount of 7.625% Senior Notes due 2034, up from an initial $800 million. The notes were priced at par and are expected to close October 21, 2026, subject to customary closing conditions; they mature November 1, 2034. Net proceeds are approximately $882.6 million after the initial purchasers’ discount and estimated offering expenses.

The issuer intends to use proceeds with cash on hand for part of the Pilot Water Solutions acquisition consideration, repay its term loan obligations in full and outstanding revolving loans plus accrued interest, pay related costs, and for general corporate purposes and working capital. The offering is not contingent on the acquisition. Interest is 7.625% per year, payable May 1 and November 1; the first payment is May 1, 2027.

If Pilot Water is not completed by March 1, 2027 (or an agreed extended outside date), or the issuer notifies the trustee before then that the acquisition agreement was terminated without closing or it will not pursue the acquisition, the issuer must redeem principal equal to notes issued in this offering less $450 million at 100% of issue price, plus accrued and unpaid interest to, but excluding, redemption date.

senior unsecured basis financial
"on a senior unsecured basis by the Issuer’s existing subsidiaries"
Debt issued on a senior unsecured basis is borrowing that ranks ahead of other unsecured or subordinated claims for repayment but is not backed by specific collateral. For investors it signals priority in the lender hierarchy—similar to being first in line at a buffet among unsecured creditors—and typically affects expected recovery in default and the interest rate the issuer must pay.
Rule 144A regulatory
"pursuant to Rule 144A and Regulation S under the Securities Act"
Rule 144A is a regulation that makes it easier for companies to sell private bonds to large investors without going through all the usual rules that apply to public sales. It matters because it helps companies raise money more quickly and privately, often attracting big investors looking for special deals.
Regulation S regulatory
"pursuant to Rule 144A and Regulation S under the Securities Act"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.
Outside Date financial
"the “Outside Date”"
An outside date is the final contractual deadline by which a planned deal—such as a merger, acquisition, or financing—must be completed; if the transaction hasn’t closed by that date, parties typically gain the right to walk away or trigger agreed remedies. It matters to investors because it sets a clear timetable for when uncertainty should end, and approaching or missing the outside date can raise the chance of deal failure, renegotiation, or changes to valuation.
redemption price financial
"at a redemption price equal to 100% of the issue price"
The redemption price is the amount of money a person receives when they sell or redeem a bond or investment before it matures. It’s important because it determines how much you get back and can affect your overall profit or loss on the investment. Think of it like the price you get when returning a gift card early—it's the value you receive at that time.
