Rhea-AI Filing Summary

XTI Aerospace, Inc. appointed Dr. Allan Evans a Class I director and Board chairman effective October 14, 2026, filling a vacancy; his term ends at the 2027 annual meeting. Jonathan G. Ornstein, formerly interim chairman, becomes vice chairman, returning the Board to five members.

Evans will receive a $50,000 annual cash retainer, payable quarterly in arrears, expense reimbursement, and annual stock options with a Black-Scholes-based fair market value equal to that retainer. Grants are scheduled within 90 days after each fiscal year-end or on another date approved by the Board or an authorized committee. XTI expects to enter a director services agreement.

Evans is CEO and a director of Unusual Machines, which purchased 25,000 shares of XTI’s Series 10 Convertible Preferred Stock for $25.0 million on November 12, 2025. After stockholder approval, the shares automatically converted on January 5, 2026 into 1,721,980 common shares and a pre-funded warrant to purchase 15,307,735 common shares. As of October 14, 2026, Unusual Machines beneficially owned approximately 4.99% of XTI’s outstanding common stock; the warrant carries the same 4.99% beneficial ownership limitation. Since November 10, 2025, Unusual Machines paid XTI subsidiary Drone Nerds approximately $1.1 million for parts and components on terms consistent with those offered to other customers.

pre-funded warrant financial
"a pre-funded warrant to purchase 15,307,735 common shares"
A pre-funded warrant is a financial instrument that gives the holder the right to buy shares of a company's stock at a set price, with most of the purchase cost already paid upfront. It functions like a nearly fully paid option, allowing investors to secure shares quickly while minimizing the amount of additional money they need to invest later. This helps investors gain ownership rights efficiently, often used to avoid certain regulatory restrictions or to prepare for future stock purchases.
beneficial ownership limitation regulatory
"the same 4.99% beneficial ownership limitation"
A beneficial ownership limitation is a rule that caps the percentage of a company’s shares an investor can be treated as owning or controlling for voting, regulatory or tax purposes. It matters to investors because it can restrict how many shares a person or group can buy or vote, affect takeover chances, and influence share liquidity and value — like a speed limit that prevents any single driver from taking over the whole road.
Black-Scholes option pricing model financial
"based on a Black-Scholes option pricing model"
The Black–Scholes option pricing model is a mathematical formula that estimates the fair price of an option by combining the current stock price, strike price, time until expiration, the expected size of price swings (volatility), and the prevailing safe interest rate. Investors use it like a weather forecast or recipe: it provides a consistent way to value option contracts so traders can compare prices, decide if an option is under- or over-priced, and manage risk.
quarterly in arrears financial
"payable quarterly in arrears"
Payment or settlement that is made after each three-month reporting period rather than in advance; it means money owed for a quarter is paid at the end of that quarter or shortly thereafter. For investors, this affects the timing of cash flows and accounting records—similar to receiving rent at the end of a month instead of at the start—so revenues, expenses, and reported cash balances may lag the activity they relate to.
Series 10 Convertible Preferred Stock financial
"shares of XTI’s Series 10 Convertible Preferred Stock"
A Series 10 convertible preferred stock is a specific class of corporate shares that pays priority dividends and has a higher claim on assets than common stock, while carrying a built-in option to convert into common shares at a predetermined rate. Think of it as a hybrid between a bond and ordinary stock: it offers more steady payout and downside protection but can be turned into common shares, which matters to investors because conversion affects potential income, ownership percentage and dilution of common shareholders.
