Rhea-AI Filing Summary

Xtend AI Robotics, Inc. said its subsidiary XTEND Reality Expansion Ltd. and Chief Operating Officer Amir Ofri entered an agreement providing for his resignation effective October 31, 2026. His salary and benefits continue through December 31, 2026; the agreement provides for a termination payment equal to three times his monthly salary on that date, a one-time NIS 30,000 payment (approximately $9,636) in lieu of a vehicle allowance, and accrued amounts due under Israeli law.

Amendments for Aviv Shapira, Tal Horesh, Reuven Liani and Matteo Shapira provide for a 15% salary reduction effective December 1, 2026, until a compensation committee determination of sufficient share-price improvement or sufficient debt or equity financing having closed. Restoration takes effect the first day of the following month, subject to continued employment; stated annual salaries are $425,000 for Aviv Shapira, $340,000 for Tal Horesh and $327,250 each for Reuven Liani and Matteo Shapira. For all five amended executives, outstanding unvested RSUs vest immediately before, subject to consummation of a Change in Control. Mor Swiel received 570,000 RSUs, vesting monthly over 36 months beginning September 3, 2026, in three 190,000-unit tranches; the second and third tranches require performance targets by March 1 and September 1, 2027.

Filing Explained

Four executives retain the unreduced salary basis for specified separation benefits before restoration; Ofri’s equity awards continue vesting under their terms after departure.

The signed amendments for Aviv Shapira, Tal Horesh, Reuven Liani and Matteo Shapira preserve their unreduced salaries as the basis for salary-linked severance, notice pay or other termination benefits if the company terminates them without cause or they resign for good reason before salary restoration.

The agreement provides that Amir Ofri’s equity awards continue vesting under their existing terms following his October 31 resignation, and that non-solicitation, nondisclosure and nondisparagement obligations apply after December 31.

restricted stock units (RSUs) financial
"unvested restricted stock units (“RSUs”)"
Restricted stock units (RSUs) are a type of company promise to give employees shares of stock in the future, usually after certain conditions like working for a set time. They are like a gift promised today that you receive later, which can become valuable if the company's stock price goes up. RSUs matter because they are a way companies reward employees and can be a significant part of compensation.
Change in Control technical
"consummation of a Change in Control"
A "change in control" occurs when the ownership or management of a company shifts significantly, such as through a merger, acquisition, or sale of a large part of its assets. This change can impact how the company is run and may influence its future direction. For investors, it matters because it can affect the company's stability, strategy, and value, often signaling potential changes in investment risk or opportunity.
key performance indicators technical
"achievement of the key performance indicators"
Key performance indicators are specific measurements used to track how well a person, team, or organization is achieving its goals. Amendments to Employment Agreements

On October 24, 2026, each of Messrs. A. Shapira, Horesh, Liani, M. Shapira and Swiel entered into amendments (collectively, the “Amendments”) to their employment agreements executed on September 3, 2026 (collectively, the “Initial Agreements”), as further described below. A copy of each Amendment is attached hereto as Exhibits 10.2, 10.3, 10.4, 10.5 and 10.6, respectively. The summaries of the terms of these Amendments included in this Current Report on Form 8-K are not complete descriptions thereof and are qualified in their entirety by the full text thereof.

Pursuant to the terms of the Amendments, all of the then-outstanding an unvested restricted stock units (“RSUs”) held by each of Messrs. A. Shapira, Horesh, Liani, M. Further, pursuant to the terms of Messrs. A. Shapira, Horesh, Liani, and M. Shapira’s Amendments, effective December 1, 2026, their salary shall be reduced by 15% of their then-current salary (the “Base Salary”); provided, however, that that such reduction shall be temporary and shall remain in effect only until the Compensation Committee of the Board of Directors determines there has been sufficient improvement in the share price or that a sufficient debt or equity financing has been closed by the Company (a “Restoration Determination”), and, effective as of the first day of the calendar month following the closing of a Restoration Determination, the annual salary shall automatically be restored to the Base Salary, subject to each of Messrs.
