How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Adjusted EBITDA financial
"targeting Adjusted EBITDA breakeven in 2027"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
Drone as a Service (DaaS) technical
"DaaS revenue"
Drone as a Service (DaaS) is a business model where companies provide drone hardware, software, pilots, maintenance and the data those drones collect on a subscription or pay-per-use basis, so customers can get aerial capabilities without buying and operating drones themselves; think of it like renting a car or using a cloud service for flight and data. Investors care because DaaS can create predictable, recurring revenue and rapid customer scale while reducing capital needs for clients, but it also brings regulatory, safety and technology adoption risks that affect profitability and growth.
LiDAR technical

ZenaTech Extends Use of Tillerstack’s Orsa+ AI Software and Plans Healthcare Teaching Applications Combined with Stacklens™ Smart Glasses

Existing industrial software use supports planned hands-free AI applications across field service and healthcare education

Vancouver, British Columbia, (October 15, 2026) — ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) (“ZenaTech” or the “Company”), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, today highlighted the use of Onsite Remote Assist (Orsa+) AI software, developed by its subsidiary Tillerstack. Orsa+ is remote software used for AI assistance for field technicians. It is designed to work with the Company’s recently unveiled Stacklens™ AI smart glasses and live access to off-site experts in the field. Today ZenaTech outlined plans to extend this solution to healthcare teaching applications and its intention to work toward medical device certification.

“Our vision is to bring practical AI assistance directly into the worker’s field of view,” said Shaun Passley, Ph.D., ZenaTech CEO. “Multiple industrial companies already use Orsa+ to support their field operations, and that existing use gives us a foundation for developing additional hands-free applications that connect workers with technical information, AI assistance, and human expertise. Combining Orsa+ with Stacklens could extend that support across industrial and field applications and healthcare education, where seeing a task from the learner’s perspective can help instructors provide more relevant guidance.”

Orsa+ is designed to combine remote visual support with access to field-service information, and its AI assistant is being developed to use the technician’s visual perspective to support the task at hand. Applications include manufacturing and industrial machinery, utilities and energy, telecommunications, HVAC and building services, and transportation and logistics, where it can provide troubleshooting, maintenance guidance, and access to technical documentation. The technology is intended to give less experienced technicians handsfree access to specialist knowledge, helping organizations shorten troubleshooting times, reduce specialist travel, and improve service documentation.

ZenaTech believes there is significant potential for Orsa+ integrated with Stacklens as a teaching aid in healthcare. The planned combination would allow an AI assistant and remote instructors to see what the wearer sees, supporting instruction from the learner’s perspective while keeping their hands available for practical tasks. Potential applications include clinical simulation, nursing and allied health education, medical equipment instruction and maintenance training, and the Company intends to explore these opportunities with healthcare and education organizations.

The planned Stacklens line is intended to complement Orsa+ software by bringing hands-free camera, audio, and AI capabilities into safety eyewear designed for field environments. As announced on October 9, 2026, Stacklens remains at the prototype and testing stage, with customer pilots expected to begin in 2027, and existing Orsa+ AI software use is separate from these planned pilots. ZenaTech intends to work toward medical device certification for Stacklens and will provide further updates as it reaches additional development, certification, and pilot program milestones.

ZenaTech Details ZenaWorx Drone-Based Construction Intelligence Platform Targeting AI Data Center Development

Drone-captured LiDAR, 3D progress monitoring and digital terrain modeling are designed to support construction visibility and recurring service relationships from earthworks through structural development

Vancouver, British Columbia (October 20, 2026) — ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) (“ZenaTech” or the “Company”), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, today outlined the capabilities and commercial strategy behind ZenaWorx, its drone-based construction monitoring software targeting AI data centers, infrastructure and public works projects. The ZenaWorx construction monitoring software combines aerial data collection with software-based site modeling and analysis to help construction teams understand conditions on the ground, track changes over time and compare construction progress against project plans. The platform is being developed through collaboration between ZenaTech’s enterprise SaaS and Drone as a Service (DaaS) divisions.

“AI infrastructure is built in the physical world, and every phase of that build depends on accurate, repeatable measurement,” said Shaun Passley, Ph.D., CEO of ZenaTech. “With ZenaWorx, we are combining our Drone as a Service field locations network with drone data and software to give customers a consistent view of their projects from earthworks through structural development. That turns what has traditionally been a one-time survey visit into an ongoing relationship that can span the full life of a multi-year project, and we believe it could be a meaningful recurring revenue opportunity as we focus on adding customers and scaling this service across our network.”

ZenaWorx is designed to function as construction progress monitoring software, turning drone-captured LiDAR (Light Detection and Ranging) data into three-dimensional representations of construction sites. By collecting data at successive stages of construction, the platform is intended to help project teams identify differences between measured conditions and planned designs.

Its planned capabilities and applications support the work of surveyors, engineers and construction managers by providing additional measured site information such as:

·3D construction progress monitoring: Creating digital site models that help teams review structural and site development over time

·Digital terrain modeling: Representing ground elevations and surface conditions to support earthworks planning and monitoring

·Cut-and-fill measurement: Measuring the volumes of material removed or added during site preparation

·Grading assessment: Comparing measured elevations and slopes with engineering plans

·Drainage assessment support: Providing terrain information that helps qualified project professionals evaluate drainage conditions

·Repeat site comparisons: Using successive surveys to document changes and support standardized progress reporting

AI data center campuses can involve substantial land preparation, grading, drainage and phased construction, and ZenaWorx is being designed to give project teams visibility into each stage through repeat aerial data collection and software-based reporting. During initial earthworks, terrain models can support assessment of site elevations and material movement. As construction advances, updated 3D models are intended to help teams track physical progress and compare measured conditions against project plans. Underpinning this approach is a continuing record of site development, with customers able to access updated information at agreed intervals throughout a project.

ZenaWorx is being offered through ZenaTech’s Drone as a Service network, allowing customers to access drone construction monitoring services without purchasing and operating their own drone fleets. The service is designed to be subscription-based for repeat-service arrangements spanning the life of construction projects, and the platform’s terrain modeling and progress-monitoring capabilities are also intended to address commercial construction, and public works needs, including landfill earthworks and municipal infrastructure projects.

ZenaWorx was introduced in May 2026, and in August 2026 the Company announced its first paying customer for AI data center construction monitoring and the addition of beta-stage digital terrain modeling. Additional updates will be provided as ZenaWorx service and product advancements and customer milestones are achieved.

ZenaTech Unveils its Proprietary AI Software Suite Designed to Accelerate Land Survey Delivery for Drone as a Service Commercial, Municipal and Infrastructure Clients

Planned integration of automated LiDAR point cloud classification and feature extraction across ZenaTech’s Drone as a Service locations is designed to cut survey post-processing time and support scalable, recurring revenue

Vancouver, British Columbia (October 22, 2026) — ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) (“ZenaTech” or the “Company”), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, today unveiled its proprietary artificial intelligence software suite and planed integration across its DaaS land survey operations. By pairing ZenaDrone high-density LiDAR (Light Detection and Ranging) data acquisition with the automated feature extraction and point cloud classification, ZenaTech plans to accelerate survey-grade data delivery time from days to as little as minutes across commercial land surveying, municipal and infrastructure projects for DaaS clients across North America and around the world. The combined platform is currently in the development and testing stage.

“Land survey delivery has traditionally been limited by manual post-processing, which caps how many projects a survey team can complete,” said Shaun Passley, Ph.D., CEO of ZenaTech. “By integrating our AI software directly into ZenaDrone DaaS operations, we aim to automate the heavily manual work of point cloud classification and CAD linework generation, so the same crews and drones can deliver turn-key, actionable intelligence to clients faster and with consistent quality. As we apply our AI suite across our AI tools growing network of DaaS subsidiaries, we believe it can improve operating efficiency and support the scalable, recurring revenue model at the center of our DaaS strategy.”

The combined platform is designed to bridge hardware data collection with AI-driven point cloud processing. A ZenaDrone land survey drone equipped with high-density LiDAR captures a site as a point cloud, a dataset that can contain billions of individual 3D measurement points. ZenaAI is then intended to run automated geospatial workflows on that data, classifying each point by what it represents, converting the classified data into terrain models and vector drawings, removing noise, tagging infrastructure assets and exporting the results in formats that survey and engineering teams can use directly. Its key planned capabilities include:

·Automated Point Cloud Classification: Designed to use deep learning neural networks to rapidly parse billions of 3D LiDAR points, separating ground returns from dense canopy, buildings, utility lines and surface vegetation to generate true Digital Terrain Models (DTM);

·Automated Feature Extraction and Linework: Computer vision algorithms are intended to detect and vectorize critical planimetric features, including curb lines, pavement edges, retaining walls and structures, and export them directly into CAD and BIM (Building Information Modeling) formats;

·Rapid DaaS Turnaround: By replacing manual point-picking and heuristic scripting, the AI software suite is being designed to reduce post-processing workflows by as much as 80% and shorten survey turnaround time, allowing DaaS survey teams to deliver fully classified datasets within hours of flight completion;

·Smart Noise Filtering and Asset Tagging: Automated artifact suppression is intended to clean airborne noise, multipath errors and scan overlap, while semantic tagging logs discrete infrastructure assets, such as manholes, hydrants and utility poles, with millimeter-level precision.

Point cloud classification and linework have traditionally required skilled technicians to work through by hand, which can take days and limits how many projects a survey team can complete. ZenaTech believes that automating these steps could raise surveying productivity, allowing the same drones and crews to deliver more projects faster and potentially improving margins over time. As proprietary software, the AI suite is also intended to add a scalable SaaS layer to the Company’s acquisition-led DaaS strategy, applying a consistent processing workflow across the surveying businesses it acquires and supporting its recurring revenue model for commercial, municipal and infrastructure clients that rely on timely data for planning, design and construction.

The AI-powered LiDAR processing is currently in development with testing across DaaS land surveying, infrastructure monitoring and utility inspection projects expected next year. The Company will provide updates on launch and rollout as milestones are achieved.

ZenaTech’s Drone as a Service (DaaS) division provides on-demand turnkey drone piloting, data capture, and data processing services to commercial, government, and infrastructure customers, allowing them to access aerial data and automation without owning or operating their own drone fleets. The division is being built through an acquisition-led strategy that combines local low-tech service providers into a global network, creating a scalable platform for delivering recurring revenue aerial and data services such as surveying, inspections, power washing and construction progress monitoring.

ZenaTech Targets Adjusted EBITDA Breakeven in 2027 Following 425% First-Half Revenue Growth

Preliminary Q3 2026 revenue estimate of C$13.4–C$14.8 million (US$9.5–US$10.5 million), representing 44%–59% sequential growth, as management balances breakeven target with strategic growth opportunities

Vancouver, British Columbia, (October 26, 2026) — ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) (“ZenaTech” or the “Company”), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, announces that management is targeting 2027 as a potential breakeven year based on an adjusted EBITDA (a non-IFRS measure defined below). This operational target is supported by revenue growth, expansion of its DaaS operations, and anticipated operating efficiencies. In the first half of 2026, the Company reported revenue of C$17.7 million (approximately US$12.6 million). For the third quarter of 2026, the Company announced preliminary revenue estimates of C$13.4 million to C$14.8 million (approximately US$9.5 million to US$10.5 million), while retaining flexibility to pursue strategic growth opportunities.

“We believe ZenaTech is entering an important phase in its development,” said Shaun Passley, Ph.D., CEO of ZenaTech. “During the first half of 2026, we generated more revenue than during all of 2025, and our preliminary third-quarter estimates indicate that our growth trajectory will continue. We believe this expanding revenue base, together with operational efficiencies and acquisition integration, creates an opportunity for operational breakeven during 2027.”

The Company intends to maintain flexibility to invest in acquisitions, defense technologies, international operations, and emerging commercial opportunities that could defer breakeven while potentially generating greater long-term shareholder value.

Second-Quarter and First-Half 2026 Financial Results

Metric

Q2 2026

First Half 2026

Total Revenue

C$9.33 million (US$6.6 million)

C$17.73 million (US$12.6 million)

Year-over-year revenue growth

316%

425%

DaaS revenue

C$8.63 million (US$6.1 million)

C$16.44 million (US$11.7 million)

Net loss

C$22.54 million (US$16.0 million)

C$49.09 million (US$34.8 million)

Operating expenses

C$31.24 million (US$22.1 million)

C$61.21 million (US$43.4 million)

US$ approximate conversions at US$0.709 per C$1.00, except where previously announced by the Company.

First-half revenue exceeded the Company’s reported C$12.9 million (US$9.1 million) of revenue for all of 2025 by approximately 37%. DaaS operations accounted for 93% of first-half 2026 revenue. At June 30, 2026, the Company reported C$34.6 million (US$24.5 million) in cash and marketable securities, C$149.3 million (US$105.9 million) in total assets, and C$91.4 million (US$64.8 million) in shareholders’ equity.

Management recognizes that sustained revenue growth must translate into improved operating efficiency and financial performance. Reported net losses underscore the importance of controlling costs and assessing the returns on future investments.

“Our focus is increasingly on translating revenue growth into improved operating performance while building a technology platform capable of supporting a significantly larger business,” continued Dr. Passley.

Preliminary Third -Quarter 2026 Revenue Estimates

ZenaTech previously announced preliminary, unaudited third -quarter 2026 revenue estimates of C$13.4 million to C$14.8 million. Compared with second -quarter revenue, this implies approximately 44% to 59% sequential revenue growth. Combined with reported first -half results, estimated revenue for the first nine months of 2026 would be approximately C$31.1 million to C$32.5 million (US$22.1 million to US$23.0 million).

These estimates are preliminary, unaudited, and subject to quarter-end close and reporting procedures. The Company also previously reported average organic revenue growth of 27.1% across approximately 20 DaaS locations acquired in 2025, excluding 2026 acquisitions.

Maintaining Flexibility to Capture Growth Opportunities

While management has established 2027 as a target year for breakeven, ZenaTech does not intend to limit strategically attractive investments solely to achieve profitability within a predetermined period. Potential opportunities include:

·Acquisitions of complementary Drone as a Service and technology businesses

·Government and defense drone programs, including testing, certification, and production capabilities

·Expansion into additional international markets

·Commercialization of autonomous drone technologies and AI-driven enterprise SaaS platforms

·Development of new drone-enabled services, analytics, and automation applications

“Achieving breakeven is an important objective, but we are not building ZenaTech for a single financial reporting period,” continued Dr. Passley. “If opportunities emerge to significantly accelerate our growth through acquisitions, government and defense programs, or new technology investments, we may choose to deploy additional capital even if doing so delays our breakeven timeline.

“We believe the appropriate measure of our success will be our ability to create a larger, stronger, and more sustainable business over time. Our capital allocation decisions will be guided by expected long-term returns, financial discipline, and shareholder value creation,” concluded Dr. Passley.

2027 Financial Target Considerations

Management expects to focus on increasing revenue from existing operations, improving operating efficiencies, integrating acquisitions, and expanding technology-enabled services. Management’s ability to achieve Adjusted EBITDA breakeven in 2027 remains subject to assumptions and operational variables, including top-line execution, the pace and cost of M&A integration, supply chain conditions, operating expenditure controls, and market acceptance of new commercial technologies. This target represents an internal management planning goal and does not constitute a projection, forecast, or guarantee of future financial performance.

Non-IFRS / Non-GAAP Financial Measures

This press release refers to Adjusted EBITDA, a financial measure not recognized under International Financial Reporting Standards (IFRS) or U.S. GAAP. The Company defines EBITDA as net income or loss before interest expense, income taxes, depreciation, and amortization. Adjusted EBITDA further excludes non-cash stock-based compensation, acquisition-related transaction and integration expenses, fair-value adjustments on financial instruments, restructuring costs, and other non-recurring or unusual items as disclosed in the Company's periodic financial filings.

Management uses Adjusted EBITDA to assess core operating performance, evaluate underlying business trends, and establish internal budgetary targets. It is believed this measure provides investors with supplemental insight into operational results by removing items that are non-operational, non-cash, or non-recurring.

Adjusted EBITDA should not be considered in isolation or as a substitute for, or superior to, IFRS net loss, operating profit, or cash flows from operating activities. Other companies may calculate Adjusted EBITDA differently, limiting its comparability.

Reconciliation Limitation: The Company has not provided a forward-looking quantitative reconciliation of targeted 2027 Adjusted EBITDA to the most directly comparable IFRS measure (Net Income/Loss) because items that reconcile these metrics—including future share-based compensation, tax provisions, transaction-related fair value adjustments, and potential impairment charges—are dependent on future events, volatile, and inherently difficult to predict with reasonable accuracy without unreasonable effort. Consequently, such reconciling information is unavailable at this time, though these items could have a significant and potentially unpredictable impact on future IFRS results.
