(Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) (“ZenaTech”), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, announces that it has completed the acquisition of Dayton, Ohio-based BA Land Professionals LLC, a surveying firm licensed to operate in Ohio, Kentucky, Tennessee and North Carolina. The acquisition marks ZenaTech's 26th Drone as a Service acquisition to date and first location in Ohio, also further expanding the Company's U.S. footprint to 12 states covering the construction, infrastructure, energy and public works sectors.

BA Land Professionals is a full-service Professional Land Surveying Firm with deep customer relationships in the building and construction, energy, industrial and government sectors. They specialize in land surveying, construction layout, topographic and boundary surveys, ALTA/NSPS surveys, drone and LiDAR mapping, and GPS control services utilizing a variety of the most efficient technologies including robotic total stations, GNSS equipment, drones and scanning technologies.

ZenaTech’s ZenaDrone Begins Testing Phase for Interceptor P-1 Counter-UAS Drone Platform

Low-cost VTOL autonomous interceptor advances company’s integrated Counter-UAS portfolio and defense system.

VANCOUVER, British Columbia, (July 28, 2026) — ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) (“ZenaTech”), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, today announces that its ZenaDrone subsidiary has commenced the initial flight testing phase of its Interceptor P-1, the Company’s low-cost, one-way autonomous counter-drone platform designed to physically intercept hostile unmanned aerial systems (UAS).

The commencement of testing represents a significant step in expanding the Company’s Counter-UAS drone portfolio and integrated defense system. The Interceptor P-1 is designed as a vertical takeoff and landing (VTOL), one-way autonomous interceptor intended to provide an affordable alternative to traditional missile-based drone defense systems and asymmetric warfare combatting drone swarms with multi-million-dollar missiles.

“Our engineering team has reached an important milestone as we begin flight testing of the Interceptor P-1,” said Shaun Passley, Ph.D., CEO of ZenaTech. “This program is focused on validating the aircraft’s flight characteristics, autonomous capabilities, and system reliability before advancing to increasingly complex interception exercises. We believe the demand for affordable counter-drone solutions continues to grow globally as military organizations and critical infrastructure operators seek cost-effective methods to defend against rapidly evolving drone threats.”

The initial flight test campaign, to be conducted by the ZenaDrone engineering team at the company’s testing range near its Mesa, Arizona facility, will evaluate vertical takeoff and landing performance, high-speed maneuverability, target acquisition and tracking algorithms, guidance controls, and communications reliability. Subsequent phases are expected to include autonomous target pursuit, moving-target intercept exercises, multi-drone operational scenarios, and integration with the Company's Zena AI Counter-UAS command software.

The Interceptor P-1 prototype was first disclosed in March 2026 which included a target selling price of under $5,000 USD, positioning it as a significantly lower-cost alternative to traditional missile-based and laser-based intercept systems for modern asymmetric drone warfare. In April 2026, ZenaTech provided a further update on its expanding defense manufacturing footprint, announcing the registration of Phoenix Aero LLC, a Ukrainian entity based in Lviv, which is being established to support future manufacturing and testing of the Interceptor P-1 and other counter-UAS systems as part of the Company’s EMEA operations. ZenaTech is in the process of setting up this office.

The Company believes that low-cost autonomous interceptors will play an increasingly important role in defending military bases, in maritime situations, at airports, energy facilities, government infrastructure, ports, border operations, and other critical assets against hostile drones and drone swarm attacks.

The Interceptor P-1 is being engineered to operate as part of ZenaTech’s broader Counter-UAS ecosystem, integrating with the Company’s AI-powered threat detection, classification, and autonomous swarm command software. The complete architecture is intended to enable a single operator to monitor, identify, prioritize, and respond to multiple airborne threats simultaneously using coordinated autonomous interceptor drones.

ZenaTech expects to continue expanding the testing program throughout 2026 as development progresses toward future operational demonstrations and customer evaluations. Further updates will be provided as additional milestones are reached.

In July 2026, ZenaTech completed the acquisition of Velocity Geomatics, known as the Velocity Group, based in Grande Prairie, Alberta. (the "Issuer") on April 24, 2026 that diluted the holdings of the Acquiror and Dr. Shaun Passley, the CEO of the Acquiror, below 10% of the Issuer's outstanding common shares (the "Common Shares"), (i) effective July 8, 2026, the Acquiror acquired an additional 1,626,311 Common Shares at $0.05 per share over the TSX Venture Exchange (the "TSXV") representing approximately 1.44% of the outstanding Common Shares at the time, and (ii) on July 31, 2026, the Acquiror acquired an additional 15,000,000 units (the "Units") of the Issuer at a price of $0.05 per Unit from the Issuer in a private placement (the "Private Placement"), with each Unit consisting of one Common Share and one Common Share purchase warrant (each, a "Warrant"), with each Warrant exercisable to acquire a Common Share at a price of $0.06 per share.

Prior to the purchases, the Acquiror owned approximately 7,635,000 Common Shares. Following the acquisitions, the Acquiror owns an aggregate of 24,261,311 Common Shares representing approximately 16.94% of the outstanding Common Shares on a non-diluted basis and, assuming the exercise of the Warrants acquired in the Private Placement, owns an aggregate of 39,261,311 Common Shares representing approximately 24.81% of the outstanding Common Shares on a partially-diluted basis. The Acquiror has agreed to a blocker restricting the exercise of any Warrants that would result in the Acquiror owning more than 19.9% of the outstanding Common Shares. Prior to the purchases described above, Dr. Passley owned less than 1% of the Issuer's outstanding Common Shares, some of which were sold at approximately $0.038 per share in July 2026 and, as a result, Dr. Passley currently owns only 160,000 Common Shares. Dr. Passley plans to dispose of these Common Shares and will not be acting jointly with the Acquiror going forward.

Each of the Acquiror and Dr. Passley acquired the Common Shares for investment purposes. These soundwave-based fire management solutions, when mounted onto the ZenaDrone 1000 drone platform, are designed to support rapid initial attack and enhance emergency response capabilities as an additional tool alongside traditional ground firefighting.

"Wildfires are one of the most urgent and costly natural threats facing communities today and we believe autonomous aerial drone technology has an important role to play in how they're detected, contained, and extinguished," said Shaun Passley, Ph.D., CEO of ZenaTech. Acoustic fire suppression is a new technology that uses low-frequency sound --rather than water, foam, or chemicals -- to disrupt a flame at its source. Because nothing is sprayed or discharged, it works where conventional suppression can't, such as for electrical substations, data centers, archives, battery storage, and home ember defense, with room to expand into areas like aviation, marine, and industrial fire safety. As wildfires continue to intensify and utilities as well as insurers seek cleaner alternatives, acoustic fire suppression could potentially fill a gap. ZenaTech management believes the science is proven and the opportunity now is engineering it to work at real-world range and scale.  Further, the company believes whoever solves that first could potentially gain a first-mover position in a largely untapped category.

ZenaTech Closes 27th Drone as a Service Acquisition Expanding into Idaho, Strengthening Drone-Based Surveying and Civil Engineering Services for Government and Construction Customers

Vancouver, British Columbia, (August 6, 2026) — ZenaTech, Inc. (Nasdaq: ZENA) (FSE: 49Q) (BMV: ZENA) (“ZenaTech”), a technology solution provider specializing in AI (Artificial Intelligence) drone, Drone as a Service (DaaS), enterprise SaaS, and Quantum Computing solutions, announces that it has completed the acquisition of Ketchum, Idaho-based Benchmark Partners LLC, doing business as Galena-Benchmark Engineering. The acquired company is a full-service professional civil engineering and land surveying firm with a long history of providing civil engineering, land planning, and land information systems services to an established roster of commercial and government customers. The acquisition marks ZenaTech's 27th Drone as a Service acquisition to date and its first location in Idaho.

Galena-Benchmark Engineering is a full-service, multi-discipline firm with a 30-year background, providing professional services in civil engineering, land planning, surveying, and land information systems in multiple counties across central and southern Idaho. They serve a diversified customer base including municipal and government customers, construction companies, and builders supporting the area's rapid growth in the public works, tourism and agriculture sectors.
