Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Summary

Robo.ai (AIIO) plans a 1-for-25 reverse stock split of both ordinary share classes on November 6, 2026, subject to shareholder approval.

The split would take effect at 9:30 a.m. U.S. Eastern time, with Class B shares beginning split-adjusted trading that day. Class A shares outstanding would move from 13,817,501 to 552,701, and Class B shares from 222,116,290 to 8,884,684. Options, warrants and applicable convertible securities would be adjusted proportionately under their terms.

Shareholders will consider the proposals at an October 26, 2026 extraordinary general meeting. A separate proposal would increase post-consolidation authorized shares from 80,000,000 to 385,000,000, comprising 35,000,000 Class A and 350,000,000 Class B shares. Shareholders will also vote on replacement constitutional documents, conditional on the consolidation and authorized-capital increase taking effect.

News Explained

The split mechanically adjusts share count and per-share price, but Robo.ai does not assure the Class B price will reach twenty-five times its pre-split level.

If shareholders approve the proposals at the October 26, 2026 meeting, Robo.ai plans the consolidation for November 6, 2026; the company says percentage ownership will remain unchanged apart from fractional-share adjustments, whose treatment the release states inconsistently.

The release gives two different fractional-share rules: its general explanation says a holder owed a fraction receives a full share, while resolution 1c says fractions will not be issued and may be sold for the company's benefit.

A reverse split consolidates the share count and proportionally raises the per-share price without changing company value by itself; Robo.ai expects a proportionate Class B price increase but says it cannot assure a price at least 25 times the pre-split level.

reverse stock split financial
"the Company will implement a 1 for 25 reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
cusip technical
"The new CUSIP number of the Company's Class B ordinary shares"
A CUSIP is a nine-character alphanumeric code that uniquely identifies a U.S. or Canadian financial security—such as a stock, bond, or fund share—like a Social Security number for an investment. It matters to investors because brokers, exchanges and record-keepers use the CUSIP to match trades, track ownership, settle transactions and pull accurate records, reducing errors and ensuring money and securities go to the right place.
View in glossary
pari passu financial
"ranking pari passu in all respects with each other"
An instruction that different claims, securities, or creditors are treated equally and share rights or payments on the same priority level. For investors, it means their position will be paid or have voting power alongside others in the same class rather than being favored or subordinated—think of several people standing in one bus line who all get on together rather than some cutting ahead. That parity affects expected recovery in reorganizations, dividend order, and relative risk.

DUBAI, UAE, October 16, 2026 /PRNewswire/ -- Robo.ai Inc. (Nasdaq: AIIO) (the "Company"), a UAE-based, U.S.-listed company, today announced that, subject to shareholder approval, the Company will implement a 1 for 25 reverse stock split of all classes of the Company's ordinary shares, including the Class A ordinary shares and the publicly traded Class B ordinary shares, effective at 9:30 am, U.S. Eastern time, on November 6, 2026. Before the reverse stock split, there were 13,817,501 Class A ordinary shares and 222,116,290 Class B ordinary shares issued and outstanding. After the reverse stock split, there will be 552,701 Class A ordinary shares and 8,884,684 Class B ordinary shares issued and outstanding. The Company's Class B ordinary shares will begin trading on an adjusted basis giving effect to the reverse stock split at the opening of market, U.S. Eastern time, on November 6, 2026 under the existing ticker symbol "AIIO." The new CUSIP number of the Company's Class B ordinary shares will be G6693P130.

As a result of the reverse stock split, the trading price of the Class B ordinary shares is expected to increase proportionately after the effectiveness of the reverse stock split, although the Company can give no assurance that the trading price of the Class B ordinary shares after the reverse stock split will be equal to or greater than twenty-five (25) times the trading price before the reverse stock split.

The reverse stock split affects all shareholders uniformly and will not alter any shareholder's percentage interest in the Company's outstanding share capital, except for adjustments that may result from the treatment of fractional shares.

Outstanding Company options, warrants, and other applicable convertible securities will be proportionately adjusted in accordance with their respective terms. No fractional shares will be issued in connection with the reverse stock split. Shareholders otherwise entitled to receive a fractional ordinary share as a result of the reverse share split will receive a full ordinary share in lieu of such fractional ordinary share.

In connection with the proposed reverse stock split, the Company will hold an extraordinary general meeting of shareholders (the "EGM") at 8:30 am, U.S. Eastern Time (4:30 pm, Dubai local time) on October 26, 2026 at Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates. Shareholders can also participate in the EGM, vote, and submit questions via live webcast by visiting www.proxydocs.com/aiio.

Holders of ordinary shares of record at the close of business on October 14, 2026 (the "Record Date") or their proxy holders are entitled to vote at the EGM or any adjournment or postponements thereof. As of the Record Date, each Class A ordinary share is entitled to twenty-five votes, and each Class B ordinary share is entitled to one vote.
