partnership acquisition

BCE (BCE) announced a proposed partnership under which La Caisse will acquire a 49.9% stake in Bell's wireless tower infrastructure company.

BCE intends to use the proceeds to strengthen its balance sheet, invest in growth and deliver total returns to shareholders while continuing to operate its wireless network. TowerCo's mandate covers the development, operation and long-term growth of wireless tower infrastructure across Canada. The partnership envisages making tower infrastructure available to different service providers and supporting future network deployment.

Bell expects TowerCo to have no financial debt at closing. Completion remains subject to regulatory approvals and customary closing conditions; the transaction is proposed, not completed.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

4 terms
net debt leverage ratio financial
"Net debt leverage ratio is a capital management measure"
Net debt leverage ratio measures how many years of a company’s core earnings would be needed to pay off its debt after accounting for cash on hand, calculated by dividing net debt (total debt minus cash) by annual operating earnings. Investors use it like a household debt-to-income check: a lower number means the company is in a stronger position to handle obligations and take risks, while a higher number signals greater financial strain and vulnerability to shocks.
non-gaap financial measure financial
"Net debt used in the calculation of the net debt leverage ratio is a non-GAAP financial measure"
A non-GAAP financial measure is a way companies present their financial results that excludes certain expenses or income to show how they believe their core business is performing. It matters because it can give a clearer picture of how the company is really doing, but it can also be used to make results look better than they actually are.
ifrs accounting standards financial
"does not have any standardized meaning under IFRS Accounting Standards"
International Financial Reporting Standards (IFRS) are a set of common rules for preparing company financial reports so numbers like profit, assets and debt are presented consistently across countries. Think of them as a standardized recipe or blueprint that helps investors compare businesses the same way they would compare cars using the same list of features; consistent reporting reduces surprises and makes it easier to assess value, risk and performance.
safe harbour regulatory
"made pursuant to the "safe harbour" provisions of applicable Canadian securities laws"
A statutory or regulatory provision that protects a person or company from legal liability or penalties when they meet specified conditions or follow prescribed procedures; in securities contexts it commonly refers to rules that shield companies for making forward-looking statements if those statements are identified as such and are accompanied by meaningful cautionary language. The protection applies only so long as the listed requirements are satisfied and does not create blanket immunity for unrelated misconduct or omissions.

MONTREAL, Oct. 27, 2026 /PRNewswire/ -- BCE Inc. (NYSE: BCE) TSX: BCE), Canada's largest communications company1, announced today that its wholly owned subsidiary Bell Canada ("Bell") has entered into a definitive agreement with global investment group La Caisse, which will acquire a 49.9% stake in a newly formed wireless tower infrastructure company for a purchase price of CAD $2.45 billion, subject to customary adjustments. The transaction values the tower company at approximately $4.91 billion and surfaces significant value in BCE's infrastructure.

The partial monetization of Bell's passive wireless infrastructure assets is consistent with BCE's long-term capital allocation strategy set out at Investor Day 2025, including its commitment to a net debt leverage ratio of 3.5x2 by the end of 2027 and its flexibility to fund key growth areas, including AI-powered solutions.

The new wireless tower infrastructure company, "TowerCo", will own and operate Bell's portfolio of wireless infrastructure assets, making it Canada's largest dedicated tower company with more than 5,000 sites across the country. The Montréal-headquartered company will focus on growing the business through new site builds, site densification and third-party colocation.

Under the terms of the agreement, TowerCo will lease capacity on the transferred towers to Bell. Bell will retain a 50.1% controlling equity interest in TowerCo, with La Caisse holding the remaining 49.9%. TowerCo is expected to have no financial debt at closing and its financial results will be consolidated by Bell into its financial statements.

Bell will retain full ownership and control of its spectrum, all active network equipment and owned land. Bell will maintain access to existing sites through long-term agreements and TowerCo will develop new sites for Bell as needed, ensuring continued delivery of high-quality, reliable wireless services to Canadians.

The transaction is expected to close in the first quarter of 2027, following receipt of regulatory approvals and satisfaction of other customary closing conditions.

Quotes
"This partnership unlocks the significant value embedded in our infrastructure assets while continuing to operate the award-winning wireless network our customers rely on every day. As we have consistently communicated since early 2025, our approach is to strengthen our balance sheet, invest in growth and deliver total returns to shareholders. This transaction is in keeping with that approach, and the proceeds will be used to execute against this very clear strategy."

- Mirko Bibic, President and CEO of BCE and Bell Canada

"A telecom tower can carry more than one network. By making this infrastructure available to different service providers, we can strengthen coverage, improve overall system efficiency, hence helping more people access the connectivity they rely on every day. Bell's extensive footprint and La Caisse's global digital infrastructure expertise will give this new platform the focus and long-term perspective to grow."

- Emmanuel Jaclot, Executive Vice-President and Head of Infrastructure and Sustainability at La Caisse

"At TowerCo, we're building a dedicated team exclusively focused on the development, operation and long-term growth of premier wireless tower infrastructure across Canada. By partnering with La Caisse on a clear mandate, we are well positioned to grow this infrastructure portfolio and support future network deployment to provide the connectivity that matters most to Canadians."

- J. Bruce Furlong, CEO, TowerCo

Non-GAAP and Other Financial Measures

BCE uses various financial measures to assess its business performance. Certain of these measures are calculated in accordance with IFRS Accounting Standards or GAAP while certain other measures do not have a standardized meaning under GAAP. We believe that our GAAP financial measures, read together with adjusted non-GAAP and other financial measures, provide readers with a better understanding of how management assesses BCE's performance. National Instrument 52-112, Non-GAAP and Other Financial Measures Disclosure (NI 52-112), prescribes disclosure requirements that apply to the following specified financial measures: (i) non-GAAP financial measures; (ii) non-GAAP ratios; (iii) total of segments measures; (iv) capital management measures; and (v) supplementary financial measures. This section provides a description and classification of the specified financial measures contemplated by NI 52-112 that we use in this news release to explain our financial results except that, for supplementary financial measures, an explanation of such measures is provided where they are first referred to in this news release if the supplementary financial measures' labelling is not sufficiently descriptive.

Net debt leverage ratio is a capital management measure and represents net debt divided by adjusted EBITDA. Net debt used in the calculation of the net debt leverage ratio is a non-GAAP financial measure. Net debt is a non-GAAP financial measure and it does not have any standardized meaning under IFRS Accounting Standards. Therefore, it is unlikely to be comparable to similar measures presented by other issuers. Refer to section 11.1, Non-GAAP financial measures — Net debt, of BCE's 2025 Annual MD&A dated March 5, 2026, which is incorporated by reference herein, for more information concerning this measure, including a reconciliation to long-term debt, being the most directly comparable financial measure under IFRS Accounting Standards. For the purposes of calculating our net debt leverage ratio, adjusted EBITDA is twelve-month trailing adjusted EBITDA. We use, and believe that certain investors and analysts use, the net debt leverage ratio as a measure of financial leverage.
