DMB Stockholders Vote to Support Board Nominees and Against Board Declassification in Preliminary Results of 2026 Annual Stockholder Meeting
The preliminary voting results follow recommendations from proxy advisory firms, Glass Lewis and Egan-Jones, that stockholders of the Fund vote in favor of the Fund’s three incumbent nominees ahead of the Fund’s annual stockholders meeting. In making their recommendations, Glass Lewis and Egan-Jones rejected the dissident’s nominee, noting that a review of performance for the Fund had shown that a compelling case for change had not been made.
Stockholders of the Fund also decisively voted against a proposal to amend the Fund’s charter in order to declassify the Fund’s Board of Directors. The inclusion of this proposal on the Fund’s proxy statement was the result of a non-binding proposal submitted by Saba last year.
