Positive

  • Completed approvals for 1-for-16 reverse split by stockholders and board
  • Fractional share entitlements rounded up at participant level
  • Par value and authorized share counts remain unchanged post-split

Negative

  • Outstanding common share count reduced by a factor of 16
  • Potential reduction in share float and trading liquidity after reverse split

News Explained

The 1-for-16 reverse stock split is a proportional consolidation of share count and per-share price, not a change to company value by itself; because the release leaves authorized share totals unchanged, it describes a capital-structure adjustment rather than new funding.

4 terms
reverse stock split financial
"announced today that it will effect a reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
cusip number financial
"The new CUSIP number for the Company’s common stock"
A CUSIP number is a nine-character code that uniquely identifies a specific U.S. or Canadian stock, bond, or other security, similar to a barcode or a social-security number for a financial instrument. It matters to investors because it removes confusion between similar securities, ensures trades and settlements are applied to the correct issue, and helps locate official documents and transaction records quickly.
exchange agent financial
"appointed Equiniti Trust Company, LLC as the exchange agent"
An exchange agent is a third party appointed to handle the practical steps when securities are being swapped, such as during mergers, tender offers, or restructurings. Think of it as a trusted post office that collects old shares, verifies ownership, completes required paperwork and regulatory filings, and delivers the new shares or cash to investors; its efficiency and accuracy affect how quickly and safely investors receive the value they're owed.
convertible securities financial
"options, warrants and convertible securities of every kind"
Convertible securities are bonds or preferred shares that can be exchanged for a company’s common stock at a predetermined price or under specified conditions. They matter because they combine the steadiness of a loan or fixed dividend with the potential upside of ownership; like a safety‑net that carries a one‑time ticket to become a shareholder, they affect expected returns and can dilute existing stock if converted.

SAN DIEGO, July 20, 2026 (GLOBE NEWSWIRE) -- Calidi Biotherapeutics, Inc. (“Calidi” or the “Company”) (NYSE American: CLDI), a biotechnology company pioneering the development of targeted genetic medicine, announced today that it will effect a reverse stock split of its outstanding shares of common stock at a ratio of 1-for-16 (the “Reverse Stock Split”). The Company’s common stock is expected to commence trading on a split-adjusted basis when the NYSE American market opens on July 31, 2026 under the existing symbol of “CLDI.” The new CUSIP number for the Company’s common stock following the Reverse Stock Split will be 320703 507.

The decision to implement this stock split reflects the Company’s aim to optimize market dynamics, broaden investor appeal and accessibility, and align the stock’s trading conditions with the best interests of its investors. The Reverse Stock Split was approved by the Company's stockholders at its annual general meeting of stockholders held on June 12, 2026. On July 15, 2026, the Company's Board of Directors approved the Reverse Stock Split at the ratio of 1-for-16.

Following the effectiveness of the Reverse Stock Split, every sixteen (16) pre-split shares of outstanding common stock will become one (1) share of common stock. Stockholders of record who would otherwise be entitled to receive a fractional share will automatically be entitled to the rounding up of the fractional share to the nearest whole share. The Company does not intend to round up fractional shares at the beneficial level and will instead round any such fractional shares up at the participant level. Proportionate adjustments will be made to (i) shares of common stock issuable upon exercise or conversion of all issued and outstanding options, warrants and convertible securities of every kind, in accordance with the terms of each instrument, and (ii) shares outstanding and authorized for issuance under the Company’s equity incentive plan and the employee stock purchase plan, both as amended. The Reverse Stock Split will not affect the par value of the common stock, nor the number of authorized but unissued shares of common stock, nor the Company’s authorized preferred stock.

Information for Calidi Stockholders

Upon the effectiveness of the Reverse Stock Split, every sixteen (16) shares of common stock owned prior to the split will be consolidated and reclassified into one (1) share of common stock. The Company has appointed Equiniti Trust Company, LLC as the exchange agent to facilitate the Reverse Stock Split process.

Registered stockholders with shares held in book-entry form do not need to take any action to receive post-split shares. Those holding shares through brokerage accounts or “in street name” will see their holdings automatically adjusted to reflect the Reverse Stock Split, in line with individual broker processes, without needing to take further action. Stockholders with shares in certificate form will receive instructions from Equiniti on the procedure for exchanging their certificates, as applicable, shortly after the effective date of the Reverse Stock Split.
