Key Terms

credit agreement financial
A credit agreement is a written loan contract between a borrower and a bank or other lender that lays out how much money can be borrowed, the interest rate, repayment schedule, fees, and the rules the borrower must follow. For investors, it matters because those terms affect a company’s cash costs, borrowing flexibility and risk of default — similar to how a mortgage’s rules determine a homeowner’s monthly budget and freedom to make changes.
financial covenants financial
Financial covenants are rules written into loan or bond agreements that require a company to keep certain financial measures within agreed limits—examples include minimum cash, maximum debt levels, or minimum profit margins. They act like guardrails for lenders: breaking a covenant can force renegotiation, trigger penalties or default, and quickly affect a company’s available cash and stock value, so investors watch them as early warning signs of financial stress.
form 8-k regulatory
A Form 8-K is a report that companies file with the government to share important news quickly, such as changes in leadership, major business deals, or financial updates. It matters because it helps investors stay informed about significant events that could affect the company's value or stock price.
basis points financial
Basis points are a way to measure small changes in interest rates or percentages, where one basis point equals 0.01%. For example, if a loan's interest rate increases by 50 basis points, it's gone up by 0.50%. They help people understand tiny differences in rates that can add up over time, making financial comparisons clearer.
s-3 shelf registration statement regulatory
A Form S-3 shelf registration statement is a pre-approved filing with the U.S. Securities and Exchange Commission that lets a qualified public company register new securities in advance and sell them later without repeating the full approval process. For investors, it matters because it gives the company quick access to raise cash when needed—like having a pre-approved credit line—so it can act fast but may also lead to dilution if many new shares are issued.
at-the-market (atm) sales agreement financial
An at-the-market (ATM) sales agreement lets a company raise cash by selling new shares directly into the open market at current trading prices through a broker, rather than selling a big block in one go. For investors, it matters because it can dilute existing holdings gradually and affect supply and price volatility, while giving the company a flexible, on‑demand way to fund operations or growth without a large underwriting fee.
restricted stock units financial
Restricted stock units are a type of company reward where employees are promised shares of stock, but they only fully own these shares after meeting certain conditions, like staying with the company for a set time. They matter because they can become valuable assets and are often used to motivate employees to help the company succeed.

EVERETT, Wash.--(BUSINESS WIRE)-- Funko, Inc. (Nasdaq: FNKO), a leading pop culture lifestyle brand, today announced that it has successfully amended and extended its existing credit agreement, originally dated September 17, 2021.

The amendment extends the maturity date of the loans under the company’s credit agreement from September 17, 2026 to December 31, 2027 and waives and/or modifies certain financial covenants, in exchange for, among other things, revisions to pricing terms.

Funko’s Chief Financial Officer, Yves Le Pendeven said, “This agreement provides us with additional financial strength and flexibility and, importantly, time for our growth initiatives to take hold and gain traction. We’re thrilled to continue building on the positive momentum we’ve generated with our partners and retailers during this year’s Toy Fair season. We appreciate the strong support and commitment of our banking partners.”

JPMorgan Chase Bank, N.A., serves as administrative agent for the credit agreement. Moelis & Company LLC serves as a financial adviser to the company.

Additional details regarding the amended credit agreement are available in the company’s current report on Form 8-K filed today with the Securities and Exchange Commission.
