An effective Form F-3 shelf dated Dec 12, 2025 registers up to 3,179,723 ADSs for resale upon exercise of Series A and Series C warrants. The company would receive only nominal proceeds from Series A at $0.02 per ADS and approximately $2.8 million from full Series C warrant exercise at $2.7125 per ADS, with potential additional dilution from these warrants and equity plans.

Analysis

The stock dropped -25.4% in the session following this news. A negative reaction despite positive technical and commercialization progress in Bordeaux would fit the stock’s recent pattern, where multiple favorable V2X and smart‑city announcements saw flat or declining prices. With shares trading well below the 6.61 200‑day MA and 83.41% under the 52‑week high, sentiment had already been weak. The Form F-3 registration for warrant‑related resale and potential dilution could also have magnified risk perceptions.

3d perception systems, vehicle-to-everything (v2x), collision-prevention, software development kit, +4 more
8 terms
3d perception systems technical
"Foresight Autonomous Holdings Ltd. ..., an innovator in 3D perception systems, announced..."
3D perception systems are sensor and software setups that let machines “see” the shape, distance and motion of objects in three dimensions, similar to how human eyes and brain judge depth and movement. Investors watch them because they enable technologies like self-driving cars, industrial robots, augmented reality and advanced medical imaging — products that can open large markets or cut costs by automating tasks and improving safety.
vehicle-to-everything (v2x) technical
"Eye-Net’s vehicle-to-everything (“V2X”) collision-prevention technology in a live..."
Vehicle-to-everything (V2X) is a system that lets cars and other vehicles communicate wirelessly with other vehicles, road infrastructure, pedestrians’ devices and the broader network, like a traffic-aware messaging system. For investors it matters because V2X can reduce accidents, improve traffic flow and unlock new software, sensor and data services, creating revenue opportunities for automakers, suppliers and telecom providers while also exposing firms to regulatory, infrastructure and cybersecurity risks.
collision-prevention technical
"SafeCycloMove “Collision Prevention” project in the city of Bordeaux, France."
Collision-prevention describes technologies and systems designed to detect impending crashes and automatically warn operators or take corrective action—like braking or steering—to avoid or lessen impact. For investors, it matters because these systems influence product safety ratings, regulatory approval, liability exposure and consumer acceptance; stronger collision-prevention can lower accident costs and boost market value much like a reliable brake improves overall vehicle safety.
software development kit technical
"Eye-Net’s Software development kit was integrated into several different applications..."
A software development kit (SDK) is a prepared set of code, tools and instructions that lets other developers build apps or features that work with a company’s product or platform — like giving builders a branded toolbox and blueprint. Investors care because a widely used SDK can grow a product’s ecosystem, speed adoption, create ongoing revenue or lock in customers, and signal whether third parties find the platform easy and valuable to work with.
ultra-low latency technical
"including positioning accuracy, ultra-low latency, stable real-time communication..."
Ultra-low latency means reducing the time it takes for market data or an order to travel between systems and be acted on to the smallest possible fraction of a second. For investors, lower delay can mean faster trade execution, smaller price slippage and the ability to capture fleeting price differences—like a sprinter beating others to the finish line—so firms with ultra-low latency systems can gain a measurable edge in competitive trading environments.
real-time communication technical
"including positioning accuracy, ultra-low latency, stable real-time communication..."
Real-time communication is the immediate exchange of information between people or systems with almost no delay, like a live conversation rather than a voicemail. For investors it matters because instant updates — such as market data, executive comments, or operational alerts — can change buying and selling decisions quickly, similar to seeing a live scoreboard that alters how you bet during a game.
artificial intelligence (ai) technical
"By leveraging cutting-edge artificial intelligence (AI) technology, advanced analytics..."
Artificial intelligence (AI) is the development of computer systems that can perform tasks typically requiring human intelligence, such as understanding language, recognizing patterns, and making decisions. For investors, AI can enhance how businesses analyze data, automate processes, and innovate, potentially leading to increased efficiency and new opportunities in the market.
cellular networks technical
"and existing cellular networks, Eye-Net’s innovative solution suite delivers..."
Cellular networks are the systems of radio-based transmitters, towers and switching equipment that let mobile devices send and receive voice, data and messages by handing connections off across small geographic “cells,” like a series of linked local roads for wireless traffic. Investors watch them because their coverage, speed and capacity determine how many customers a carrier can serve, what services can be offered, and how much companies must spend on upgrades—factors that directly affect revenue, costs and growth potential.

Following a very successful collaboration, the parties are in active commercial discussions to pursue joint commercialization of the solution

Ness Ziona, Israel, March 13, 2026 (GLOBE NEWSWIRE) -- Foresight Autonomous Holdings Ltd. (Nasdaq and TASE: FRSX) (“Foresight” or the “Company”), an innovator in 3D perception systems, announced that its majority-owned subsidiary, Eye-Net Mobile Ltd. (“Eye-Net”), together with Renault Group, Orange S.A. (“Orange”) and other participants, recently announced the successful completion of a large-scale live trial of the SafeCycloMove “Collision Prevention” project in the city of Bordeaux, France. The initiative is a part of Eye-Net’s ongoing collaboration with Software République to advance smart mobility innovation and support efficient urban transportation in France and across Europe.

The live trial demonstrated positive technical performance across all key parameters, including positioning accuracy, ultra-low latency, stable real-time communication, and full scalability under heavy load. These results confirm the real-world readiness of Eye-Net’s vehicle-to-everything (“V2X”) collision-prevention technology in a live public-transportation environment involving buses and cyclists.

Led by the Lab TBMouv, Bordeaux Métropole and Keolis Bordeaux Métropole Mobilités, during the trial, Eye-Net’s Software development kit was integrated into several different applications at the same time, including an app by Orange, Keolis’ TBM app for cyclists, and the Atos app installed inside buses, all in collaboration with Renault Group, Allianz, Atos SE and the Bordeaux INP. The trial took place across Bordeaux’s public transportation network. Eye-Net’s alerting system was integrated into the TBM Mobility App, a public transit navigation platform, enabling real-time data exchange between buses and cyclists to help prevent collisions with vulnerable road users, particularly in areas with obstructed visibility.

The trial evaluated the performance and reliability of cooperative collision-prevention alerts, collected feedback from real users, and assessed technical readiness and user acceptance to support broader deployment across transportation networks.
