Flotek Industries (NYSE: FTK) provided an update on its role in the Emergency Temporary Power Generation Puerto Rico project (PREPA Contract) and reaffirmed its raised full-year 2026 guidance. The company continues to target $340–$350 million in total revenue and $47–$51 million in Adjusted EBITDA, excluding any potential contribution from the PREPA Contract.

Flotek entered a 10-year agreement to supply power-generation equipment and its proprietary PWRtek systems for a proposed 400-megawatt project at the Aguirre Power Plant, assuming defined project responsibilities on July 31, 2026. The Financial Oversight and Management Board for Puerto Rico voted to direct PREPA to terminate the contract, and on August 17, 2026, PREPA ordered all consortium parties, including Flotek, to immediately halt project work while it evaluates these developments. PREPA has not yet issued a formal termination notice to Flotek. The company emphasized that timing and scope of its participation depend on resolution of the PREPA Contract, financing and bonding, regulatory approvals and project deployment, and noted that guidance does not add back an estimated $9 million in 2026 non-cash contract-asset amortization.

Key Terms

4 terms
adjusted ebitda financial
"The updated outlook targets total revenue of $340 million to $350 million and Adjusted EBITDA"
Adjusted EBITDA is a way companies measure how much money they make from their core operations, like running a business, by removing certain costs or income that aren’t part of regular business activities. It helps investors see how well a company is doing without distractions from unusual expenses or gains, making it easier to compare companies or track performance over time.
non-gaap financial measure financial
"We are unable to reconcile this forward-looking non-GAAP financial measure"
A non-GAAP financial measure is a way companies present their financial results that excludes certain expenses or income to show how they believe their core business is performing. It matters because it can give a clearer picture of how the company is really doing, but it can also be used to make results look better than they actually are.
form 8-k regulatory
"The Company has filed a Current Report on Form 8-K today"
A Form 8-K is a report that companies file with the government to share important news quickly, such as changes in leadership, major business deals, or financial updates. It matters because it helps investors stay informed about significant events that could affect the company's value or stock price.
asset based loan financial
"interest costs related to fluctuations in borrowings under the Company's asset based loan"
A loan that is secured by a company’s tangible or financial assets—such as inventory, accounts receivable, equipment, or real estate—rather than by the borrower’s credit alone. Think of it like borrowing against the value of items you own: the lender can seize or sell those assets if payments are missed. Investors watch asset-based loans because they affect a firm’s liquidity, leverage and the priority of creditors, which can change the risk profile and potential recovery in a default.

HOUSTON, Aug. 18, 2026 /PRNewswire/ -- Flotek Industries, Inc. ("Flotek" or the "Company") (NYSE: FTK) today provided an update regarding its previously announced participation in the Emergency Temporary Power Generation Puerto Rico project ("PREPA Contract"). This update does not change the Company's previously issued 2026 financial guidance, which did not include any potential contribution from the PREPA Contract.

Flotek Industries, Inc.

As previously disclosed, on August 4, 2026, the Company raised its full-year 2026 financial guidance following record second-quarter performance. The updated outlook targets total revenue of $340 million to $350 million and Adjusted EBITDA(1) of $47 million to $51 million, excluding any potential contributions from the PREPA Contract.

As previously disclosed on August 3, 2026, Flotek entered into a 10-year agreement to provide power-generation equipment and its proprietary PWRtek gas-conditioning, distribution and real-time monitoring systems in support of the proposed 400-megawatt project at the Aguirre Power Plant. The Company has filed a Current Report on Form 8-K today with the Securities and Exchange Commission providing a factual update on the current status of the PREPA Contract in light of the developments further discussed below.

Flotek joined the project after the original procurement and execution of the PREPA Contract between the Puerto Rico Electric Power Authority ("PREPA") and the initially selected consortium. Before Flotek assumed its defined project responsibilities, the Company was advised that questions regarding the authorization of certain signatures associated with the PREPA Contract had been raised and had been fully vetted through the procurement process. PREPA and the Third-Party Procurement Office subsequently reviewed Flotek's qualifications, approved its participation and authorized the substitution through which Flotek assumed the applicable project responsibilities on July 31, 2026.

The Financial Oversight and Management Board for Puerto Rico (the "Oversight Board") has announced that its members have voted to direct PREPA to terminate the PREPA Contract. On August 17, 2026, PREPA issued a directive to all consortium parties, including the Company, to immediately hold all work related to the development of the project pending PREPA's evaluation of these developments. In addition, on August 17, 2026, a firm with an admitted short interest position in the Company published a report making allegations about the Company's business that we believe was intended to drive down the market price of the Company's common stock. As of the date of this release, PREPA has not delivered a formal notice of termination of the PREPA Contract to the Company.

The timing and ultimate scope of Flotek's participation remain subject to resolution of the PREPA Contract matter, satisfaction of applicable contractual conditions, financing and bonding requirements, governmental and regulatory approvals, and the project proceeding to deployment. No assurance can be given that the project will proceed as originally contemplated, that the work stoppage will be lifted, that the Oversight Board's revocation will be reversed or modified, or that the Company will realize any or all of the expected revenues under the PREPA Contract.

  1. We are unable to reconcile this forward-looking non-GAAP financial measure to the most directly comparable GAAP financial measure without unreasonable efforts, as we are unable to predict with a reasonable degree of certainty the impact of certain items that would be expected to impact the GAAP financial measure, including, among other items, certain stock-based compensation costs and interest costs related to fluctuations in borrowings under the Company's asset based loan. These items do not impact the non-GAAP financial measure. Guidance does not add back non-cash amortization of contract assets estimated to total approximately $9 million during full-year 2026.

FAQ

What 2026 financial guidance did Flotek Industries (NYSE: FTK) reaffirm on August 18, 2026?

Flotek reaffirmed 2026 guidance for total revenue of $340–$350 million and Adjusted EBITDA of $47–$51 million. According to Flotek, these targets exclude any potential contribution from the PREPA Contract and do not add back about $9 million of non-cash contract-asset amortization.

How does the Puerto Rico PREPA power project affect Flotek’s 2026 outlook (FTK)?

The PREPA project is not included in Flotek’s 2026 guidance. According to Flotek, revenue and Adjusted EBITDA targets for 2026 exclude any potential PREPA Contract contribution because project timing and scope remain uncertain and subject to multiple conditions and approvals.

What is the status of Flotek’s PREPA Contract for the 400-megawatt Aguirre power project?

The Financial Oversight and Management Board voted to direct PREPA to terminate the contract, and PREPA ordered work to halt. According to Flotek, PREPA has not yet issued a formal termination notice and the project’s future remains uncertain and conditional.

What are the key terms of Flotek’s 10-year agreement in the Puerto Rico power project?

Flotek agreed to supply power-generation equipment and its proprietary PWRtek gas-conditioning, distribution and real-time monitoring systems. According to Flotek, the 10-year agreement supports a proposed 400-megawatt project at the Aguirre Power Plant, subject to contract resolution and project deployment.

What risks did Flotek highlight regarding potential revenue from the PREPA Contract (FTK)?

Flotek stated there is no assurance the project will proceed as originally contemplated or that expected revenues will be realized. According to Flotek, work is on hold and outcomes depend on contract resolution, financing, bonding, approvals and lifting of the work stoppage.

Why can’t Flotek reconcile its 2026 Adjusted EBITDA guidance to GAAP net income?

Flotek said it cannot reasonably predict certain items affecting GAAP results, including stock-based compensation and interest from borrowing fluctuations. According to Flotek, these items do not impact Adjusted EBITDA, and guidance also excludes about $9 million of non-cash contract-asset amortization.
