Sentiment and the balance of points

Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Hyperscale Data (NYSE American: GPUS) reduced the permitted size of its at-the-market stock offering by $200 million through an amended sales agreement. The amendment cuts the aggregate sales limit from $300 million to $100 million, including shares already sold, under its agreement with sales agent Spartan Capital Securities. An at-the-market offering sells shares into the trading market. The company has sold 121,827,841 Class A common shares, raising approximately $49.8 million in gross proceeds, or approximately $0.41 per share.

The company said its current capital plans do not require the additional capacity. It plans to build out its Michigan AI data center to initially support 20 megawatts of critical compute capacity for its neocloud customer and supplement buildout funding with debt. Preliminary estimates indicate the facility will support $100 million to $150 million in project debt financing.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

"amended the At-the-Market ("ATM") Issuance Sales Agreement"
"At-the-market" is a method for companies to sell new shares of stock directly into the open market over time, rather than all at once. It allows companies to raise money gradually, similar to selling slices of a pie instead of the entire pie at once, which can help manage the sale's impact on the stock price. This approach gives investors a steady supply of shares while providing companies with flexible funding options.

LAS VEGAS, Oct. 12, 2026 /PRNewswire/ -- Hyperscale Data, Inc. (NYSE American: GPUS), an artificial intelligence ("AI") data center company ("Hyperscale Data" or the "Company"), today announced that it has amended the At-the-Market ("ATM") Issuance Sales Agreement (the "Agreement"), dated June 18, 2026, by and between the Company and Spartan Capital Securities, LLC, as sales agent (the "Agent"), reducing the aggregate amount that may be sold pursuant to the Agreement from Three Hundred Million Dollars ($300,000,000) in shares of the Company's Class A common stock, par value $0.001 per share (the "Common Stock") to One Hundred Million Dollars ($100,000,000), including the shares of Common Stock that have been sold pursuant to the Agreement through an amendment to the Agreement (the "Amendment"). The Company has sold 121,827,841 shares of Common Stock and raised approximately $49.8 million in gross proceeds, or approximately $0.41 per share, pursuant to the ATM.

Hyperscale Data

"Based on our current capital plans, we do not believe the additional $200 million of ATM capacity is currently necessary," said Will Horne, Chief Executive Officer of Hyperscale Data. "Reducing the size of the ATM reflects our commitment to disciplined capital management while preserving financial flexibility to support our AI data center strategy. We believe that our equity is significantly undervalued and this $200 million reduction will limit the dilution to our equity and is in the best interests of our stockholders. Our focus remains on deploying capital prudently and building long-term value through the buildout of our Michigan AI data center (the "Facility") to initially support the 20 megawatts of critical compute capacity of our neocloud customer. It is our intention to augment the Facility buildout costs with debt financing and preliminary estimates on the existing buildout indicate that the Facility will support project debt financing between $100 million to $150 million."

The Company may evaluate capital markets options in the future as appropriate and in the best interests of the Company and its stockholders.

About Hyperscale Data, Inc.

Hyperscale Data currently expects the divestiture of ACG (the "Divestiture") to occur in 2027. Upon the occurrence of the Divestiture, the Company would be an owner and operator of data centers to support high-performance computing services, as well as a holder of the digital assets and the third wholly owned subsidiary of the Company, Omnipresent Robotics, LLC. Until the Divestiture occurs, the Company will continue to provide, through ACG and its wholly and majority-owned subsidiaries and strategic investments, mission-critical products that support a diverse range of industries, including an AI software platform, equipment rental services, defense/aerospace, industrial, automotive and hotel operations. In addition, ACG is actively engaged in private credit and structured finance through Ault Lending, LLC, a licensed lending subsidiary. The Divestiture will occur through the voluntary exchange of the Series F Preferred Stock for shares of Class A Common Stock and Class B Common Stock of ACG (collectively, the "ACG Shares"). The Company reminds its stockholders that only those holders of the Series F Preferred Stock who agree to surrender such shares, and do not properly withdraw such surrender, in the exchange offer through which the Divestiture will occur, will be entitled to receive the ACG Shares and consequently be shareholders of ACG upon the occurrence of the Divestiture.
