"In connection with the Separation, the Company has planned a direct listing"
A direct listing is a way for a company to become publicly available for trading without issuing new shares or raising additional money beforehand. This process can offer a simpler and faster way for a company to go public, giving investors quicker access to buy and sell shares.

stock dividend financial
"the Board has approved a stock dividend pursuant to which HCTI will distribute"
A stock dividend is when a company gives its existing shareholders extra shares instead of cash. It’s like receiving more pieces of the same pie rather than a bigger piece of money, which can increase the number of shares you own but usually doesn’t change the total value of your investment right away. Investors care about it because it can signal the company's growth and affect the stock’s price.
registration statement regulatory
"review by the U.S. Securities and Exchange Commission of a registration statement"
A registration statement is a formal document that companies file with a government agency to offer new shares of stock to the public. It provides essential information about the company's finances, operations, and risks, helping investors make informed decisions. Think of it as a detailed product description that ensures transparency and trust before buying into a company.
