Rhea-AI Filing Summary

Healthcare Triangle, Inc. completed a 1-for-20 reverse stock split of its issued and outstanding common stock effective October 26, 2026. Issued and outstanding shares decreased from 17,730,008 to 886,587. Each 20 shares became one share. No fractional shares were issued; holders otherwise entitled to a fractional share automatically received an additional fraction to round up to the next whole share at the participant level. The split did not change authorized shares or stockholders’ percentage ownership, except for fractional interests, and warrants, options and convertible securities were proportionally adjusted.

The common stock began split-adjusted trading on the Nasdaq Capital Market on October 26, 2026, under HCTI. The split is part of the company’s plan to regain compliance with Nasdaq’s $1.00 minimum bid price requirement. Healthcare Triangle received a Nasdaq Staff Delisting Determination on October 1, 2026, and requested a hearing on October 8, which stayed the trading suspension and Form 25-NSE filing pending the panel’s decision. The hearing is scheduled for November 5, 2026. The company said there can be no assurance the panel will grant continued listing or that it will regain or maintain compliance.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

reverse stock split technical
"effected a one-for-twenty (1:20) reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.
fractional shares technical
"No fractional shares were issued"
Fractional shares are portions of a whole share of a stock or fund, allowing investors to own less than one full unit. They make it possible to invest a specific dollar amount rather than buy whole shares, like buying a slice of a pizza instead of the entire pie. For investors this lowers the cost barrier, helps with diversification, and lets you reinvest dividends or purchase expensive stocks in small, precise amounts.
minimum bid price requirement regulatory
"the $1.00 minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
Nasdaq Hearings Panel regulatory
"requested a hearing before a Nasdaq Hearings Panel"
A Nasdaq hearings panel is a group of experts that reviews cases when a company's stock listing is at risk of being removed from the exchange. They evaluate whether the company has met certain standards and determine if it can keep trading on Nasdaq. This process matters to investors because it can affect a company's ability to raise money and maintain credibility in the market.

On October 26, 2026, Healthcare Triangle, Inc. (the “Company”) effected a one-for-twenty (1:20) reverse stock split of all issued and outstanding shares of the Company’s common stock, par value $0.00001 per share (the “Common Stock”) effective as of 12:01 a.m. Eastern Time on October 26, 2026 (the “Reverse Stock Split”), vide a Certificate of Amendment to the Amended Certificate of Incorporation of Healthcare Triangle, Inc. (the “Certificate of Amendment”) filed with the Secretary of State of the State of Delaware, and deemed effective on October 26, 2026 at 12:01 a.m. Eastern Time. The Reverse Stock Split was intended to bring the Company into compliance with the $1.00 minimum bid price requirement for continued listing on the Nasdaq Capital Market, as required by Nasdaq Listing Rule 5550(a)(2).

As previously disclosed in the Company’s Current Report on Form 8-K filed with the Securities and Exchange Commission on October 2, 2026, on October 1, 2026, the Company received a Staff Delisting Determination from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”). On October 8, 2026, the Company timely requested a hearing before a Nasdaq Hearings Panel (the “Panel”) to appeal the Staff Delisting Determination, which request stayed the suspension of trading of the Company’s securities and the filing of a Form 25-NSE pending the Panel’s decision. The hearing is scheduled for November 5, 2026. The Reverse Stock Split is part of the Company’s plan to regain compliance with Nasdaq’s continued listing requirements, which the Company intends to present to the Panel. There can be no assurance that the Panel will grant the Company’s request for continued listing or that the Company will be able to regain or maintain compliance with Nasdaq’s continued listing requirements.

As a result of the Reverse Stock Split, every twenty (20) shares of issued and outstanding Common Stock combined into one (1) validly issued, fully paid and nonassessable share of Common Stock. The Reverse Stock Split uniformly affected all issued and outstanding shares of Common Stock and did not alter any stockholder’s percentage ownership interest in the Company, except to the extent that the Reverse Stock Split resulted in fractional interests. No fractional shares were issued in connection with the Reverse Stock Split. Stockholders who otherwise were entitled to receive fractional shares of Common Stock were automatically entitled to receive an additional fraction of a share of Common Stock to round up to the next whole share, at a participant level. Proportional adjustments have also been made to the Company’s outstanding warrants, stock options, and convertible securities, in each case, in accordance with the terms thereof.

The Reverse Stock Split reduced the number of shares of Common Stock issued and outstanding from 17,730,008 to 886,587 shares of Common Stock. The number of authorized shares of Common Stock did not change by the Reverse Stock Split.

The Company’s transfer agent, VStock Transfer, LLC, acted as the exchange agent for the Reverse Stock Split. Stockholders who hold their shares in brokerage accounts or “street name” are not required to take any action to effect the exchange of their shares.

The Common Stock started trading on a split-adjusted basis on the Nasdaq Capital Market at the market open on October 26, 2026. The trading symbol for the Common Stock remains “HCTI.” Following the Reverse Stock Split, the CUSIP for the Company’s Common Stock is 42227W 504.

The description of the Certificate of Amendment is qualified in its entirety by reference to the text of the Certificate of Amendment, which is filed as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
