Patterson-UTI Energy Reports Financial Results for the Quarter Ended September 30, 2026
Fourth-quarter expectations include higher drilling and completion adjusted gross profit, but a 5–10% sequential decline in Drilling Products.
Sentiment and the balance of points
Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.
Rhea-AI Summary
Patterson-UTI Energy (PTEN) returned to profit in the third quarter of 2026, reporting $28 million attributable to common stockholders. Revenue rose 9% sequentially to $1.3 billion, and diluted earnings were $0.07 per share versus a $0.05 loss in the second quarter. Adjusted EBITDA, a non-GAAP earnings measure, was $264 million.
Completion pricing improved, while Drilling Products revenue rose 21% sequentially. Patterson-UTI expects fourth-quarter adjusted gross profit of $150 million in Drilling Services and $140 million in Completion Services, but a 5–10% sequential decline in Drilling Products. Rig reactivations and the Colombia wind-down will bring additional costs. Nine-month operating cash flow fell to $420.876 million from $563.693 million a year earlier. A quarterly dividend of $0.10 per share is payable December 15, 2026, to holders of record December 1.
How this balance works
Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.
It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.
Rhea-AI Sentiment measures something else, the tone of the wording.

Management Commentary
"We are benefiting from increased U.S. onshore drilling and completion demand, which is supporting stronger pricing and returns," said Andy Hendricks, Chief Executive Officer. "Our teams executed well during the quarter, and investments in our fleet and digital and automation capabilities are delivering differentiated operational performance for our customers. As these capabilities continue to gain momentum and industry demand strengthens, we expect further improvements in financial performance, and believe we are well positioned to improve our market position."
"The commodity price environment continues to support higher customer budgets, and our discussions indicate the likelihood for additional rig reactivations and increased completion demand in 2027," continued Mr. Hendricks. "In Drilling Services, customer programs are increasingly requiring upgraded rigs with advanced digital and automation capabilities and larger structures designed to drill deeper wells and longer laterals more efficiently. Demand for these capabilities is supporting strong pricing for our highest-specification rigs. In Completion Services, pricing momentum remains positive, particularly for natural gas-powered assets, which provides a substantial fuel-cost advantage over diesel equipment. Natural gas powered frac equipment remains in very short supply, and further pricing improvement will be necessary to support the investment required to meet industry demand. These market conditions should allow us to create additional value for our shareholders."
"We generated strong free cash flow during the quarter, reinforcing our confidence in our outlook," said Andy Smith, Chief Financial Officer. "We expect free cash flow to remain strong in the fourth quarter and increase meaningfully in 2027 compared with 2026. During the third quarter, we returned approximately

U.S. Contract Drilling operating days totaled 9,249 in the third quarter, with an average of 101 rigs operating. Activity increased throughout the quarter, and we exited the period with 104 rigs operating. Demand was particularly strong for rigs returning to service following structural upgrades, supporting premium pricing for our highest specification rigs. Growth was concentrated in oil-producing basins, particularly the Rockies and Permian, while natural gas activity remained steady compared with the beginning of the third quarter. Our Directional Drilling business also benefited from increased demand and greater well complexity, with results outpacing the overall industry drilling activity with stronger margins.

Completion Services results improved sequentially, supported by a mid-single-digit pricing increase compared with the second quarter. Total completion activity declined modestly as several fleets experienced elevated non-productive time late in the quarter, primarily due to temporary sand availability constraints in South Texas and trucking delays in the Permian Basin. Excluding these short-term disruptions, fleetwide utilization remained very strong, with positive pricing momentum continuing throughout the quarter and into the fourth quarter. Demand was particularly robust for equipment capable of using natural gas as a fuel. By the end of 2026, approximately

Outlook
In Drilling Services, we expect to operate an average of approximately 104 rigs in the United States during the fourth quarter and exit 2026 above that level, with additional rig reactivations anticipated in the first quarter of 2027. Results should benefit from continued pricing momentum, including higher dayrates across all rig classes and the deployment of upgraded rigs at dayrates above our current average. We expect to incur reactivation costs during the quarter as we prepare additional rigs for reactivation late in the fourth quarter and in early 2027, and we anticipate additional costs as we wind-down our operations in Colombia. - Adjusted gross profit, which is considered a non-GAAP financial measure, is defined as revenues less direct operating costs (excluding depreciation, depletion, amortization and impairment expense). See Non-GAAP Financial Measures below for a reconciliation of GAAP gross profit to adjusted gross profit by segment.
- Operational data relates to our contract drilling business. A rig is considered to be operating if it is earning revenue pursuant to a contract on a given day.
- Other includes our oilfield rentals business, prior to its divestiture in April 2025, and oil and natural gas working interests.

- Certain Colombia contract drilling exit costs represent inventory and other asset write-downs recorded in direct operating expenses within the consolidated statements of operations. These costs were excluded from Adjusted EBITDA as they relate to our decision to exit our Colombia contract drilling operations and are not considered representative of ongoing operating performance.
- Noncontrolling investment write-down represents an impairment charge of certain minority equity investments. The charge was excluded from Adjusted EBITDA as it represents a non-operating item.
- Legal accruals and settlements represent net expenses (income) arising from certain significant legal matters, including settlement activity and reserve adjustments related to prior-year claims. Unlike routine legal costs incurred in the ordinary course of business, these infrequent items are excluded from Adjusted EBITDA because management does not consider them representative of our current period operating performance.
- Adjusted EBITDA is not defined by accounting principles generally accepted in the United States of America ("GAAP"). We define Adjusted EBITDA as net income (loss) plus income tax expense (benefit), net interest expense, depreciation, depletion, amortization and impairment expense, certain exit costs, noncontrolling investment write-down, certain significant legal accruals and settlements, impairment of goodwill, certain gains or losses on asset disposals and merger and integration expense. We present Adjusted EBITDA as a supplemental disclosure because we believe it provides, to both management and investors, additional information with respect to the performance of our fundamental business activities and a comparison of the results of our operations from period to period and against our peers without regard to our financing methods or capital structure. We exclude the items listed above from net income (loss) in arriving at Adjusted EBITDA because these amounts can vary substantially from company to company within our industry depending upon accounting methods and book values of assets, capital structures and the method by which the assets were acquired. Adjusted EBITDA should not be construed as an alternative to the GAAP measure of net income (loss). Our computations of Adjusted EBITDA may not be the same as similarly titled measures of other companies.

- Adjusted gross profit is considered a non-GAAP financial measure. We define "Adjusted gross profit" as revenues less direct operating costs (excluding depreciation, depletion, amortization and impairment expense, which does not include impairment of goodwill). Adjusted gross profit is included as a supplemental disclosure because it is a useful indicator of our operating performance.
