Integrated Media Technology (NASDAQ: IMTE) received a delisting determination letter from Nasdaq on Oct 31, 2025 after failing to timely file its Form 20-F for year ended Dec 31, 2024 in breach of Listing Rule 5250(c)(1).

Nasdaq indicated IMTE's common stock would be suspended and delisted at the opening of business on Nov 10, 2025 unless the company timely requests a hearing before the Nasdaq Hearings Panel. IMTE said it intends to request a hearing, which automatically stays suspension/delisting for 15 days from the hearing request, subject to the Panel's decision on any extended stay. Nasdaq had previously granted an exception until Oct 29, 2025, which the Staff determined was not met.

Insights

Nasdaq issued a delisting determination for IMTE; the company will seek a hearing to stay suspension.

IMTE received a Determination Letter from Nasdaq for failure to file its Form 20-F for the year ended December 31, 2024, and Nasdaq says the company faces suspension and delisting at the open of business on November 10, 2025 unless it timely requests a hearing. The Staff previously granted an exception until October 29, 2025 (granted May 8, 2025), and concluded the company did not meet the Exception because the Delinquent Filings were not submitted during the extended period.

The immediate business mechanism is procedural: a timely hearing request automatically stays suspension for 15 days while the Nasdaq Hearings Panel considers an extended stay. The practical consequence is continued uncertainty for trading and reporting until the Panel rules; factual outcomes hinge solely on whether the company files the required Form 20-F and whether the Panel grants an extended stay.

Key dependencies and risks include the company meeting Nasdaq filing obligations before any Panel deadline and the Panel’s decision to extend the stay; failure on either front would likely lead to suspension and delisting. Watch for the company’s hearing request filing (which should occur before November 10, 2025), any announcement of an extended stay decision within the 15-calendar-day window after the hearing-request deadline, and the actual filing of the Form 20-F; those items will resolve compliance status within days to a few weeks.

NEW YORK, Oct. 31, 2025 /PRNewswire/ -- Integrated Media Technology Limited (NASDAQ: IMTE) ("IMTE" or the "Company"), an Australia company, today announced that it has received a delisting determination letter (the "Determination Letter") from the Listing Qualifications Staff (the "Staff") of the Nasdaq Stock Market LLC ("Nasdaq") indicating that, unless the Company timely requests a hearing before the Nasdaq Hearings Panel (the "Panel"), the Company's common stock would be subject to suspension and delisting from the Nasdaq Capital Market at the opening of business on November 10, 2025 due to the Company's non-compliance with Nasdaq's filing requirements set forth in Listing Rule 5250(c)(1) (the "Listing Rule") for its failure to timely file its Form 20F for the year ended December 31, 2024. The Listing Rule requires listed companies to timely file all required periodic financial reports with the Securities and Exchange Commission (the "SEC").

As previously disclosed, on May 8, 2025, Staff granted the Company an exception until October 29, 2025 to regain compliance with the Listing Rule (the "Exception"). Upon further review, Staff determined that the Company did not meet the terms of the Exception. Specifically, the Company failed to file the Delinquent Filings during the extended period.

The Company intends to timely request a hearing before the Panel. The hearing request will result in a stay of any suspension or delisting action for a period of 15 days from the date of the request, subject to the Panel's further review and grant of an extended stay. The Panel will review the request for an extended stay and notify the Company of its conclusion as soon as is practicable but in any event no later than 15 calendar days following the deadline to request the hearing.
