SAN JOSE, Calif.--(BUSINESS WIRE)--
Momentus Inc. (NASDAQ: MNTS) (“Momentus” or the “Company”) a leading U.S. commercial space firm specializing in satellite solutions, in-space transportation, and orbital infrastructure, today announced that it has entered into a securities purchase agreement with a new fundamental institutional investor for the purchase and sale of 1,333,334 shares of its common stock (or common stock equivalents in lieu thereof) at a purchase price of $3.75 per share in a private placement priced at-the-market under Nasdaq rules. The gross proceeds from the offering are expected to be approximately $5 million, before deducting placement agent fees and other estimated offering expenses.
The closing of the offering is expected to occur on or about April 15, 2026, subject to the satisfaction of customary closing conditions. The Company intends to use the net proceeds from the offering for working capital and other general corporate purposes.
A.G.P./Alliance Global Partners is acting as sole placement agent for the offering.
