OpenText (OTEX) reduced its cash tender offer cap for its 3.875% senior notes due 2028 to $300 million on September 25, 2026.

The previous cap was $450 million in aggregate principal amount. The withdrawal and expiration deadlines are now 5:00 p.m., New York City time, on September 30, 2026, rather than September 29. The price determination date moves to 3:00 p.m. that same day. Settlement for notes tendered by expiration and accepted for purchase is expected on October 2, 2026.

OpenText intends to fund purchases with cash on hand and proceeds from its previously priced concurrent senior secured notes offering. The offer’s other terms, including its financing condition, remain unchanged.

5 terms
cash tender offer financial
"amended certain terms of its previously announced cash tender offer"
A cash tender offer is a public proposal in which an individual or group offers to buy a set number of a company's shares directly from shareholders for a specified cash price during a limited time. It matters to investors because it gives a clear, immediate chance to sell shares at a known price — like a store offering to buy back items at a posted rate — and can affect the stock’s market price, ownership control and liquidity.
senior secured notes financial
"proceeds from the previously announced and priced concurrent senior secured notes offering"
Senior secured notes are loans a company sells to investors that are backed by specific assets and given first priority for repayment if the company defaults. Because they have a claim on collateral and are paid before other debts, they usually offer lower risk and correspondingly lower interest than unsecured debt; investors use them to judge how safe repayment and recovery of principal might be, like holding a mortgage instead of an unsecured credit card balance.
t+2 technical
"the second business day after the Expiration Date ("T+2")"
t+2 is the standard settlement rule that means a securities trade is finalized two business days after the trade date; the buyer must deliver funds and the seller must deliver the shares within that window. Think of it like ordering an item that is paid for at checkout but is officially delivered two days later—investors need to track this timing for cash availability, margin requirements, corporate actions, and to avoid settlement failures or unexpected exposure.
rule 144a regulatory
"offered in the United States pursuant to Rule 144A and Regulation S"
Rule 144A is a regulation that makes it easier for companies to sell private bonds to large investors without going through all the usual rules that apply to public sales. It matters because it helps companies raise money more quickly and privately, often attracting big investors looking for special deals.
regulation s regulatory
"offered in the United States pursuant to Rule 144A and Regulation S"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.
