Nauticus Robotics (KITT) entered a non-binding letter of intent on September 25, 2026, for a proposed equity investment of up to $50 million.

The contemplated private placement is with a strategic investor and is intended to support the company's short- and long-term commercial objectives. The investor is not obligated to provide funding, and the transaction may not be completed. Depending on the final terms, an investment could dilute existing shareholders or change control of Nauticus. The board is evaluating the proposal and considering whether to engage an independent financial advisor.

"private placement equity investment of up to $50 million"
A private placement is a sale of securities directly to a selected group of investors, typically institutions or accredited investors, instead of through a public offering. It lets a company raise money faster and with fewer regulatory steps; for existing shareholders it matters because the newly issued shares, often sold at a discount, increase the share count and can dilute their ownership.
