CPI Announces Proposed Secondary Public Offering of Common Stock by Major Stockholder

DENVER--(BUSINESS WIRE)-- CPI Card Group Inc. (Nasdaq: PMTS) (“CPI” or the “Company”), a payments technology leader providing a comprehensive range of physical and digital payment solutions, today announced that certain stockholders affiliated with Parallel49 Equity (the “selling stockholders”) have commenced an underwritten secondary public offering of 2,337,323 shares of the Company’s common stock. In addition, the selling stockholders expect to grant the underwriters a 30-day option to purchase up to an additional 350,598 shares of common stock. The offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed or as to the actual size or terms of the offering.

The selling stockholders will receive all proceeds from the offering. The Company is not offering any shares of common stock in the offering and will not receive any proceeds from the sale of common stock by the selling stockholders.
