The Human Resources and Compensation Committee of the Board approved the following employment inducement awards to Mr. Lamba on October 30, 2025: (i) an initial restricted stock award to be granted on November 10, 2025 for such number of shares as will be determined by dividing
So long as Mr. Lamba’s employment continues from the grant date until the applicable vesting date or as may be otherwise provided under the terms of the applicable award agreements: (i) the restricted stock awards will vest in equal installments on each of the first, second, and third anniversaries of the grant date (in the case of the 2025 award) or the Company’s fiscal year-end date (in the case of the award to be granted in 2026); and (ii) the performance restricted stock unit award will vest, if at all, on December 31, 2028, based upon the achievement of performance criteria established by the Human Resources and Compensation Committee prior to the grant date.
