(“Rubico” or the “Company”) (Nasdaq: RUBI), a global provider of shipping transportation services specializing in the ownership of vessels, today announced the pricing of its public offering of 5,263,160 units, each consisting of one share of the Company’s common stock (or pre-funded warrants in lieu thereof) and 1.5 Class C Warrants to purchase shares of common stock, at a public offering price of $0.95 per unit. Each Class C Warrant is immediately exercisable for one share of common stock at an exercise price of $0.95 per share and expires five years after the issuance date.

Gross proceeds to the Company, before deducting placement agent’s fees and other offering expenses, are expected to be approximately $5.0 million. The offering is expected to close on or about May 21, 2026, subject to the satisfaction of customary closing conditions.
