Key Terms

U3O8, V2O5, unpatented mining claims, share purchase warrants, +4 more
8 terms
U3O8 technical
"13 returned uranium values in excess of 1.0% U3O8 with 12 of these samples"
U3O8 is the chemical name for a stable form of uranium oxide commonly called “yellowcake,” the concentrated powder produced after uranium ore is processed. Investors track U3O8 because it represents the raw material that is turned into nuclear fuel; its supply, demand and price act like a commodity indicator that can move the value of mining companies, utilities and firms tied to the nuclear fuel chain. Think of it as the crude oil equivalent for nuclear power — a basic feedstock whose availability and cost affect an entire industry.
V2O5 technical
"12 of these samples returning V2O5 values ranging from 0.56 to more than 5.0%"
V2O5 is the chemical formula for vanadium pentoxide, a hard, yellowish compound used as a raw material in metal alloys, catalysts and certain battery and energy-storage components. Investors care about it because changes in its supply, demand or price can affect the costs and profitability of mining, steelmaking and battery-related companies—much like fuel prices influence transportation firms—and therefore can move the value of related stocks.
unpatented mining claims technical
"projects cover approximately 3900 acres of unpatented mining claims with historic"
A claim to minerals on public land where the holder has the right to explore and extract resources but does not own the surface or the underlying land title. Like renting a plot to dig for treasure while the government still owns the ground, these claims give producers potential access to valuable ore but carry extra risks — they can require permits, be contested or lost, and often complicate financing and company valuation for investors.
share purchase warrants financial
"and a half of one share purchase warrants (each whole such warrant a "Urano Warrant")"
A share purchase warrant is a tradable certificate that gives its holder the right to buy a company's stock at a set price within a specified time window. Think of it like a coupon that lets you purchase shares later at a fixed rate; for investors it offers leveraged upside if the stock rises, but can also dilute existing owners when exercised and affects the company’s future share count and value.
stock options financial
"Outstanding stock options of Pegasus will on closing of the Proposed Transaction"
Stock options are agreements that give a person the right to buy or sell a company's stock at a specific price within a certain time frame. They are often used as a reward or incentive, similar to a coupon that can be used later if the stock price rises, allowing the holder to make a profit.
plan of arrangement regulatory
"The Proposed Transaction will be structured as a plan of arrangement or other structure"
A plan of arrangement is a formal, court-approved agreement that reorganizes ownership or assets of a company—such as merging businesses, exchanging shares for cash or other securities, or splitting off parts of the company. Investors should care because it can change the value, number, and rights of their holdings and is often binding once approved by both shareholders and a court, offering more legal certainty than a simple vote. Think of it as a legally supervised recipe for how a company will be reshaped and who ends up with what.
NI 43-101 regulatory
"a Qualified Person under National Instrument 43-101, who has prepared"
A Canadian regulatory standard that sets the rules for how mining and exploration companies must report mineral resources and reserves, requiring technical reports prepared or signed off by an independent, certified expert. It matters to investors because it creates a consistent, transparent “inspection report” for mining projects, making it easier to compare prospects, judge the reliability of claims, and assess geological and financial risk before investing.
Qualified Person regulatory
"and a Qualified Person under National Instrument 43-101, who has prepared"
A qualified person is someone with specialized knowledge, experience, and training in a particular field, allowing them to accurately assess and verify information or work. Their expertise helps ensure that reports, evaluations, or decisions are trustworthy and meet required standards. For investors, a qualified person provides confidence that the information they rely on is credible and properly validated.

Downdip extensions of the known historic mineralization remain untested. Drill permits have been authorized for both Jupiter and Energy Sands.

Pegasus will be entitled to nominate one director to the board of Urano on closing, which is anticipated to be Christian Timmins, a current director and Chief Executive Officer of Pegasus. The remainder of the current board and management of Pegasus will resign on closing.

The completion of the Proposed Transaction is subject to a number of terms and conditions, including and without limitation to the following: negotiation and execution of the Definitive Agreement; there being no material adverse changes in respect of either Urano or Pegasus; the parties obtaining all necessary consents, orders, regulatory, stock exchange and shareholder approvals; completion of customary due diligence by each party of the other party; and other standard conditions of closing for a transaction in the nature of the Proposed Transaction. It is not anticipated that Urano shareholder approval of the Proposed Transaction will be required.
