Universal Safety Products (NYSE American: UUU) has received a notice of noncompliance from NYSE Regulation on July 16, 2025, due to failing to timely file its Annual Report on Form 10-K for the year ended March 31, 2025. The company, which imports and distributes home safety devices, has been granted a six-month grace period until January 15, 2026, to file the delayed Form 10-K and regain compliance with NYSE American listing standards.

While there is no immediate impact on UUU's stock listing or trading, the Exchange may grant an additional six-month extension based on specific circumstances. However, NYSE Regulation maintains the right to initiate suspension and delisting proceedings at any time. The company expects to file the Form 10-K within the initial six-month period, though this cannot be guaranteed.

Insights

UUU faces NYSE delisting risk due to delayed 10-K filing, with a 6-month compliance window but no guarantee of resolution.

Universal Safety Products (ticker: UUU) has received a noncompliance notice from NYSE American due to failure to file its annual 10-K report that was due July 15. This is a serious regulatory issue that triggers specific Exchange procedures outlined in Section 1007 of the NYSE American Company Guide.

While there's no immediate impact on UUU's listing status, the company now operates under a defined remediation timeline. The NYSE has granted a six-month cure period (until January 15, 2026) to file the delinquent report. If UUU fails to meet this deadline, the Exchange may - at its sole discretion - grant up to an additional six months for compliance.

However, investors should recognize several concerning elements: First, the Exchange reserves the right to commence delisting proceedings at any time if circumstances warrant, regardless of the cure period. Second, while management states they "expect" to file within the six-month window, they explicitly acknowledge "there can be no assurance" this will happen - a warning sign that suggests potential underlying issues beyond a simple filing delay.

Delayed financial filings often indicate more substantial problems - possibly accounting irregularities, internal control weaknesses, or financial distress requiring additional scrutiny. Without timely financial data, investors face significant information asymmetry when valuing UUU shares.

OWINGS MILLS, Md., July 21, 2025 (GLOBE NEWSWIRE) -- Universal Safety Products, Inc. (NYSE American: UUU) announced today that on July 16, 2025, the Company received a letter from NYSE Regulation stating that the Company is not in compliance with the continued listing standards of NYSE American LLC (the “Exchange”) due to the Company’s failure to timely file its Annual Report on Form 10-K for the year ended March 31, 2025 with the Securities and Exchange Commission (the “SEC”). The letter also states that the Company’s failure to timely file the Form 10-K subjects the Company to the procedures and requirements set forth in Section 1007 of the NYSE American Company Guide (the “Company Guide”). The receipt of the letter from NYSE Regulation has no immediate effect on the listing or trading of the Company’s common stock on the Exchange.

NYSE Regulation informed the Company that, under Exchange rules, the Company has six months from the Form 10-K filing due date of July 15, 2025, to regain compliance with the Exchange listing standards by filing the Form 10-K with the SEC. NYSE Regulation further noted that, if the Company fails to file the Form 10-K within the six-month period, the Exchange may grant, at its sole discretion, an extension of up to six additional months for the Company to regain compliance, depending on the Company’s specific circumstances.   The NYSE Regulation letter also notes that the Exchange may nevertheless commence suspension and delisting proceedings at any time if it deems that the circumstances warrant.

The Company currently expects to file the Form 10-K within the six-month period granted by the NYSE Regulation letter; however, there can be no assurance that the Form 10-K will be filed within such period.
