3 terms
nomination and compensation committee financial
"the re-election of the members of the Nomination and Compensation Committee"
A nomination and compensation committee is a group of independent board members responsible for choosing and evaluating company directors and setting pay, benefits and incentive plans for senior executives. Acting like a hiring and salary-review panel for the top team, it shapes who leads the company and how they are rewarded, which directly affects corporate strategy, risk-taking and long-term shareholder value—so investors watch it for governance quality and alignment of interests.
statutory auditor financial
"the re-election of the members of the Nomination and Compensation Committee, the Company’s statutory auditor BDO SA"
A statutory auditor is an independent, legally required accountant who examines a company’s financial records and issues an official opinion on whether the financial statements give a true and fair view. Investors rely on this check as a trusted third-party stamp—like a certified inspection—because it reduces the chance that errors, omissions or rule-breaking will mislead people making investment decisions.
independent proxy financial
"BDO SA, and Anwaltskanzlei Keller AG as independent proxy; and all compensation-related proposals"
An independent proxy is a neutral person or third-party firm appointed to collect and cast shareholders’ votes at a corporate meeting when owners cannot attend in person. It matters to investors because it helps ensure votes are handled fairly and free from insider influence; think of it as a trusted messenger who follows your instructions so your voice counts in decisions that can affect company strategy and share value.
