How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Filing Explained

Abbott recorded a $670 million charge for agreements to resolve NEC claims; the filing says losses from remaining NEC matters cannot be reasonably estimated.

At September 30, 2026, Abbott reported cash and equivalents of $4,052 million and long-term debt of $29,451 million, compared with $8,522 million and $9,896 million, respectively, at December 31, 2025. This comparison shows lower reported cash alongside higher long-term debt at quarter-end.

Abbott recorded a third-quarter charge of approximately $670 million related to agreements to resolve the Gill case and claims brought on behalf of approximately 2,000 additional infants; the filing describes the agreements as a compromise of disputed claims, not an admission of liability.

Separately, Abbott reported reaching a September 2026 agreement to resolve DOJ investigations and related complaints for approximately $385 million, plus attorneys’ fees and accrued interest.

For remaining NEC-related matters, Abbott said it could not reasonably estimate possible losses and had recorded no additional reserves.

remaining performance obligations financial
"remaining performance obligations that are unsatisfied"
Remaining performance obligations are the work a company still needs to complete for its customers, like finishing a service or delivering a product. It’s important because it shows how much future income the company has coming in from current agreements, giving a clearer picture of its ongoing business.
cash flow hedges financial
"designated as cash flow hedges"
A cash flow hedge is an accounting label companies use when they enter financial contracts—like currency or interest-rate agreements—to protect expected future cash payments or receipts from unpredictable moves. For investors, it signals that the company is trying to smooth out future cash variability (think of locking in a price to avoid surprises), which can reduce reported profit swings but also means the company has exposure to derivative instruments and their associated risks.
measurement period adjustments financial
"recorded measurement period adjustments"
contingent consideration financial
"fair value of contingent consideration"
Contingent consideration is an additional payment agreed when one company buys another that will be paid later only if specific future targets are met, such as revenue, profit, or regulatory milestones. It matters to investors because it shifts risk between buyer and seller and affects the acquiring company's future cash flow and reported value — like promising a bonus after results are proven.

Note 1 — Basis of Presentation
The accompanying unaudited, condensed consolidated financial statements have been prepared pursuant to rules and regulations of the Securities and Exchange Commission and, therefore, do not include all information and footnote disclosures normally included in audited financial statements. However, in the opinion of management, all adjustments (which include only normal adjustments) necessary to present fairly the results of operations, financial position, and cash flows have been made. These statements should be read in conjunction with the financial statements included in Abbott’s Annual Report on Form 10-K for the year ended December 31, 2025. The condensed consolidated financial statements include the accounts of the parent company, subsidiaries, and any variable interest entities for which Abbott is the primary beneficiary, after elimination of intercompany transactions.

Note 2 — New Accounting Standards
Recent Accounting Standards Not Yet Adopted
In November 2024, the Financial Accounting Standards Board (FASB) issued Accounting Standards Update (ASU) 2024-03, Income Statement (Subtopic 220-40): Reporting Comprehensive Income - Expense Disaggregation Disclosures, which requires an entity to disclose on an annual and interim basis, disaggregated information about specific income statement expense categories. The guidance should be applied prospectively with the option to apply the standard retrospectively. The standard becomes effective for Abbott for full year 2027 reporting. Abbott is currently evaluating the impact of this new standard on its consolidated financial statements.

Notes:
Abbott's Amplatzer Amulet Left Atrial Appendage Occluder device and related accessories were transferred from Structural Heart to Electrophysiology on January 1, 2026. As a result, $55 million of sales in the third quarter of 2025 and $156 million of sales in the first nine months of 2025 were moved from Structural Heart to Electrophysiology.
Beginning in 2026, Abbott aggregated its previously reported Rapid Diagnostics, Molecular Diagnostics, and Point of Care businesses into the Rapid and Molecular Diagnostics business.
On March 23, 2026, Abbott completed the acquisition of Exact Sciences Corporation (Exact Sciences). Following the acquisition, the sales of Exact Sciences are presented as Cancer Diagnostics.

Note 3 — Revenue (Continued)
Remaining Performance Obligations
As of September 30, 2026, the estimated revenue expected to be recognized in the future related to performance obligations that are unsatisfied (or partially unsatisfied) was approximately $6.2 billion in the Diagnostic Products segment, $480 million in the Medical Devices segment, and $240 million in the Established Pharmaceutical Products segment. Abbott expects to recognize revenue on approximately 52 percent of these remaining performance obligations over the next 24 months, approximately 18 percent over the subsequent 12 months, and the remainder thereafter.
These performance obligations primarily reflect the future sale of products in contracts with minimum purchase obligations, extended warranty or service obligations related to previously sold equipment, and remote monitoring services related to previously implanted devices. Abbott has applied the practical expedient described in FASB Accounting Standards Codification (ASC) 606-10-50-14 and has not included remaining performance obligations related to contracts with original expected durations of one year or less in the amounts above.
Other Contract Assets and Liabilities
Abbott discloses Trade receivables separately in the Condensed Consolidated Balance Sheet at the net amount expected to be collected. Contract assets primarily relate to Abbott’s conditional right to consideration for work completed but not billed at the reporting date. Contract assets at the beginning and the end of the period, as well as the changes in the balance, were not significant.
Contract liabilities primarily relate to payments received from customers in advance of performance under the contract. Abbott’s contract liabilities arise primarily in the Medical Devices segment when payment is received upfront for various multi-period extended service arrangements.
Changes in the contract liabilities during the period are as follows:

(in millions)
Contract Liabilities:
Balance at December 31, 2025$633
Unearned revenue from cash received during the period394
Revenue recognized related to contract liability balance(358)
Balance at September 30, 2026$669

Note 4 — Supplemental Financial Information
Shares of unvested restricted stock that contain non-forfeitable rights to dividends are treated as participating securities and are included in the computation of earnings per share under the two-class method. Under the two-class method, net earnings are allocated between common shares and participating securities. Net earnings allocated to common shares for the three months ended September 30, 2026, and 2025, were $0.9 billion and $1.6 billion, respectively, and for the nine months ended September 30, 2026, and 2025, were $2.9 billion and $4.7 billion, respectively.
Other, net in Net Cash From Operating Activities in the Condensed Consolidated Statement of Cash Flows for the first nine months of 2026 includes the payment of cash taxes of $1.3 billion. The first nine months of 2025 included $256 million of pension contributions and the payment of cash taxes of $1.5 billion.

Note 4 — Supplemental Financial Information (Continued)
The following summarizes the activity for the first nine months of 2026 related to the allowance for doubtful accounts as of September 30, 2026:

Balance at December 31, 2025$290

Balance at September 30, 2026$326
The allowance for doubtful accounts reflects the current estimate of credit losses expected to be incurred over the life of the accounts receivable. Abbott considers various factors in establishing, monitoring, and adjusting its allowance for doubtful accounts, including the aging of the accounts and aging trends, the historical level of charge-offs, and specific exposures related to particular customers. Abbott also monitors other risk factors and forward-looking information, such as country risk, when determining credit limits for customers and establishing adequate allowances.

2025
Long-term Investments:
Equity securities$811 $597
Other288 321
Total$1,099 $918
The increase in Abbott’s long-term investments as of September 30, 2026, compared to December 31, 2025, primarily reflects non-marketable securities acquired in the Exact Sciences acquisition and other investment activity during the period.
Abbott’s equity securities as of September 30, 2026, include $318 million of investments in mutual funds that are held in a rabbi trust. These investments, which are specifically designated as available for the purpose of paying benefits under a deferred compensation plan, are not available for general corporate purposes and are subject to creditor claims in the event of insolvency.
Abbott holds certain investments as of September 30, 2026, including investments accounted for under the equity method with a carrying value of $173 million and other equity investments with a carrying value of $238 million that do not have a readily determinable fair value.

Note 6 — Business Acquisition
On March 23, 2026, Abbott completed the acquisition of Exact Sciences for approximately $20.6 billion. The acquisition was funded primarily through the issuance of $20.0 billion of long-term debt in March 2026, with the remainder funded with cash on hand. Under the terms of the agreement, Abbott paid $105 per common share in cash. As part of the acquisition, Abbott assumed approximately $2.8 billion of Exact Sciences’ debt, nearly all of which was repaid. The acquisition of Exact Sciences has established Abbott's position in the cancer diagnostics market and expands its portfolio to include products such as Cologuard®, Oncotype DX®, and Cancerguard®.
The preliminary allocation of the fair value of the Exact Sciences acquisition is shown in the table below. During the third quarter of 2026, Abbott recorded measurement period adjustments, including a $3.2 billion increase in acquired intangible assets with a corresponding reduction to goodwill, which resulted in approximately $100 million of additional amortization expense recognized in the third quarter. Allocation of the purchase price of the acquisition will be finalized when the valuation of assets and liabilities is completed. The differences between the preliminary and final allocation could be material.
(in billions)
Acquired intangible assets, non-deductible$16.0
Goodwill, non-deductible8.9
Acquired net tangible assets0.4
Deferred income taxes recorded at acquisition(2.7)
Net debt(2.0)
Total preliminary allocation of fair value$20.6
The goodwill is primarily attributable to future growth opportunities, assembled workforce, potential future technologies, and other intangible assets that do not qualify for separate recognition, as well as expected synergies from combining operations. The acquired net tangible assets consist primarily of property and equipment, trade accounts receivable, trade accounts payable, other current liabilities, and other non-current liabilities.
If the acquisition had occurred as of the beginning of 2025, unaudited pro forma consolidated net sales would have been approximately $12.2 billion and $35.2 billion for the three and nine months ended September 30, 2025, respectively. Unaudited pro forma earnings before taxes for the three months ended September 30, 2025, would have been approximately $1.6 billion, reflecting interest expense of $0.2 billion and amortization expense related to acquired intangible assets of $0.4 billion. Unaudited pro forma earnings before taxes for the nine months ended September 30, 2025, would have been approximately $3.7 billion, reflecting transaction-related expenses of $0.5 billion, interest expense of $0.7 billion, and amortization expense related to acquired intangible assets of $1.1 billion. Unaudited pro forma consolidated net sales would have been approximately $13.0 billion and $37.5 billion for the three and nine months ended September 30, 2026, respectively. Unaudited pro forma earnings before taxes would have been approximately $1.4 billion for the three months ended September 30, 2026. For the nine months ended September 30, 2026, unaudited pro forma earnings before taxes would have been approximately $4.1 billion, after the effect of interest expense of $0.2 billion, amortization expense related to acquired intangible assets of $0.3 billion, and excluding transaction-related expenses of $0.5 billion that were directly attributable to the acquisition. The unaudited pro forma information is not necessarily indicative of the consolidated results of operations that would have been realized had the Exact Sciences acquisition been completed as of the beginning of 2025, nor is it intended to be indicative of future results of operations of the combined entity.
In the first nine months of 2026, Abbott's condensed consolidated results include $2.0 billion of net sales related to Exact Sciences. Earnings of Exact Sciences included in Abbott's condensed consolidated financial statements since the acquisition date are not material to Abbott's consolidated net earnings.

Note 7 — Goodwill and Intangible Assets
The total amount of goodwill reported was $32.6 billion at September 30, 2026, and $24.0 billion at December 31, 2025. Goodwill increased by $8.9 billion in the first nine months of 2026 due to the completion of the Exact Sciences acquisition. Foreign currency translation adjustments decreased goodwill by $0.3 billion in the first nine months of 2026. The amount of goodwill related to reportable segments at September 30, 2026, was $2.7 billion for the Established Pharmaceutical Products segment, $0.3 billion for the Nutritional Products segment, $12.5 billion for the Diagnostic Products segment, and $17.2 billion for the Medical Devices segment. The Diagnostic Products segment includes the amount of goodwill related to the Exact Sciences acquisition. There were no reductions of goodwill relating to impairments in the first nine months of 2026.
The gross amount of amortizable intangible assets, primarily product rights and technology, was $43.5 billion as of September 30, 2026, and $27.6 billion as of December 31, 2025. The gross amount of amortizable intangible assets increased by $16.0 billion in the first nine months of 2026 due to the completion of the Exact Sciences acquisition. Accumulated amortization was $25.1 billion and $23.3 billion as of September 30, 2026, and December 31, 2025, respectively. Abbott’s estimated annual amortization expense for intangible assets is approximately $3.0 billion in 2026, $2.7 billion in 2027, $2.1 billion in 2028, $2.1 billion in 2029, and $1.9 billion in 2030.
Indefinite-lived intangible assets, which relate to in-process research and development (IPR&D), were $1.2 billion as of September 30, 2026, and December 31, 2025.

Note 8 — Restructuring Plans
In 2025, Abbott management approved plans to streamline operations in order to reduce costs and improve efficiencies in its diagnostics and medical devices businesses. In addition, Abbott recognized asset impairment charges of $25 million related to these restructuring plans in the first nine months of 2025. The following summarizes the activity related to these restructuring actions and the status of the related accruals as of September 30, 2026:

On September 27, 2026, Abbott repaid the €1.14 billion outstanding principal amount on its 1.500% Notes upon maturity. The repayment equated to approximately $1.3 billion. On September 15, 2025, Abbott repaid the $500 million outstanding principal amount of its 3.875% Notes upon maturity. On March 17, 2025, Abbott repaid the $1.0 billion outstanding principal amount of its 2.95% Notes upon maturity.

Note 11 — Financial Instruments, Derivatives and Fair Value Measures
Certain Abbott foreign subsidiaries enter into foreign currency forward exchange contracts to manage exposures to changes in foreign exchange rates, primarily for anticipated intercompany purchases by those subsidiaries whose functional currencies are not the U.S. dollar. These contracts, with gross notional amounts totaling $8.2 billion at September 30, 2026, and $7.4 billion at December 31, 2025, are designated as cash flow hedges of the variability of the cash flows due to changes in foreign exchange rates and are recorded at fair value. Accumulated gains and losses as of September 30, 2026, will be included in Cost of products sold at the time the products are sold, generally through the next twelve to eighteen months.
Abbott enters into foreign currency forward exchange contracts to manage currency exposures for foreign currency denominated third-party trade payables and receivables, and for intercompany loans and trade accounts payable where the receivable or payable is denominated in a currency other than the functional currency of the entity. For intercompany loans, the contracts require Abbott to sell or buy foreign currencies, primarily European currencies, in exchange for primarily U.S. dollars and other European currencies. For intercompany and trade payables and receivables, the currency exposures are primarily the U.S. dollar and European currencies. At September 30, 2026, and December 31, 2025, Abbott held gross notional amounts of $12.8 billion and $13.1 billion, respectively, of such foreign currency forward exchange contracts.
Abbott has designated a yen-denominated, 5-year term loan of $584 million and $589 million as of September 30, 2026, and December 31, 2025, respectively, as a hedge of the net investment in certain foreign subsidiaries. The change in the value of the debt, which is due to changes in foreign exchange rates, is recorded in Accumulated other comprehensive income (loss), net of tax.

Note 11 — Financial Instruments, Derivatives and Fair Value Measures (Continued)
Abbott is a party to interest rate hedge contracts to manage its exposure to changes in the fair value of fixed-rate debt. These contracts are designated as fair value hedges of the variability of the fair value of fixed-rate debt due to changes in the long-term benchmark interest rates. The effect of the hedge is to change a fixed-rate interest obligation to a variable rate for that portion of the debt. Abbott records the contracts at fair value and adjusts the carrying amount of the fixed-rate debt by an offsetting amount. At September 30, 2026, and December 31, 2025, Abbott had interest rate hedge contracts with a notional amount totaling $4.2 billion and $1.2 billion, respectively. The increase from December 31, 2025, was due to additional interest rate hedge contracts associated with fixed-rate debt issued as part of the Exact Sciences acquisition.

The fair value of foreign currency forward exchange contracts is determined using a market approach, which utilizes values for comparable derivative instruments. The fair value of debt was determined based on the face value of the debt adjusted for the fair value of the interest rate swaps, which is based on a discounted cash flow analysis using significant other observable inputs. The fair value of contingent consideration is determined using valuation techniques that incorporate significant unobservable inputs and management estimates regarding the probability and timing of future payments. The increase in the amount of contingent consideration from December 31, 2025, reflects contingent consideration assumed with the acquisition of Exact Sciences.

Note 12 — Litigation and Environmental Matters
Abbott has been identified as a potentially responsible party for investigation and cleanup costs at a number of locations in the United States and Puerto Rico under federal and state remediation laws and is investigating potential contamination at a number of company-owned locations. Abbott has recorded an estimated cleanup cost for each site for which management believes Abbott has a probable loss exposure. No individual site cleanup exposure is expected to exceed $4 million, and the aggregate cleanup exposure is not expected to exceed $10 million.
Abbott has been named as a defendant in a number of lawsuits alleging that its preterm infant formula and human milk fortifier products that contain cow’s milk ingredients cause an intestinal disease known as necrotizing enterocolitis (NEC) and inadequately warn about the risk of NEC. These lawsuits claim that certain preterm infants suffered injury or death as a result of contracting NEC. Several of these matters have progressed to a decision, with varying outcomes. In the first three federal Multidistrict Litigation (MDL) “bellwether” cases before the U.S. District Court for the Northern District of Illinois, Abbott prevailed on summary judgment. Outcomes in the state court cases have varied, ranging from a summary judgment ruling in Abbott’s favor to a plaintiff verdict awarding $495 million in damages (the "Gill case"). Several of these cases are at various stages of appeal. During the third quarter of 2026, Abbott recorded a charge of approximately $670 million related to agreements to resolve the Gill case and the NEC claims brought on behalf of approximately 2,000 additional infants. These agreements are a compromise of disputed claims and not in any way an admission of liability. Abbott stands by its products and the information it provided about them. Given the uncertainty as to the possible outcome of the remaining NEC-related matters, Abbott is unable to reasonably estimate a range of possible loss related to these matters and, therefore, no additional reserves have been recorded.
Abbott was a defendant in a civil qui tam lawsuit related to its U.S. manufacturing of powdered infant formula products. In that matter, the U.S. Department of Justice (DOJ) and several states had partially intervened, alleging violations of certain federal and state laws, including the Federal False Claims Act. In September 2026, Abbott reached an agreement to resolve the DOJ investigations and the aforementioned complaints, pursuant to which Abbott paid approximately $385 million, plus attorneys' fees and accrued interest, to resolve all claims. The settlement does not represent any finding of fault or liability, and no evidence was found that Abbott infant formula products caused the illnesses or deaths that prompted Abbott’s voluntary recall in 2022.
Abbott is involved in various claims and legal proceedings. Abbott estimates the range of possible loss for all of its various legal proceedings and environmental exposures to be from approximately $430 million to $450 million. The recorded accrual balance at September 30, 2026, for these proceedings and exposures was approximately $435 million. This accrual represents management’s best estimate of probable loss, as defined by FASB ASC No. 450, “Contingencies.” Within the next year, legal proceedings may occur that could result in a change in the estimated loss accrued by Abbott. While it is not feasible to predict the outcome of all such proceedings and exposures with certainty, management believes that their ultimate disposition should not have a material adverse effect on Abbott’s financial position, cash flows, or results of operations, except for the matters discussed in the second paragraph of this note, the resolution of which could be material to Abbott’s financial position, cash flows, or results of operations.

Note 13 — Post-Employment Benefits
Retirement plans consist of defined benefit, defined contribution, and medical and dental plans. Net periodic benefit costs, other than service costs, are recognized in the Other (income) expense, net line of the Condensed Consolidated Statement of Earnings. Net costs recognized for Abbott’s major defined benefit plans and post-employment medical and dental benefit plans are as follows:

Abbott funds its domestic defined benefit plans according to U.S. Internal Revenue Service (IRS) funding limitations. International pension plans are funded according to similar regulations. In the first nine months of 2026 and 2025, $110 million and $75 million were contributed, respectively, to the post-employment medical and dental plans. In the first nine months of 2025, $256 million was contributed to defined benefit plans.
Note 14 — Taxes on Earnings
Taxes on earnings reflect the estimated annual effective rates and include charges for interest and penalties. In the first nine months of 2026 and 2025, taxes on earnings included $28 million and $91 million, respectively, in excess tax benefits associated with share-based compensation. In the first nine months of 2026 and 2025, taxes on earnings included approximately $540 million and $460 million, respectively, of tax expense related to a deferred tax asset that was recognized as a significant non-cash tax benefit in a prior year. In the first nine months of 2026 and 2025, taxes on earnings also included approximately $95 million of net tax expense and $90 million of net tax benefit, respectively, primarily as the result of the resolution of various tax positions related to prior years.
In September 2023, Abbott received a Statutory Notice of Deficiency (SNOD) from the IRS for the 2019 Federal tax year in the amount of $417 million. The primary adjustments proposed in the SNOD relate to the reallocation of income between Abbott’s U.S. entities and its foreign affiliates. Abbott believes that the income reallocation adjustments proposed in the SNOD are without merit, in part because certain adjustments contradict methods that were agreed to with the IRS in prior audit periods. The SNOD also contains other proposed adjustments that Abbott believes are erroneous and unsupported. Abbott filed a petition with the U.S. Tax Court contesting the SNOD in December 2023.
In June 2024, Abbott received a SNOD from the IRS for the 2017 and 2018 Federal tax years in the amount of $192 million. The matters proposed in the 2017/2018 SNOD are substantially similar to the income allocation adjustments included in the 2019 SNOD. Abbott filed a petition in September 2024 with the U.S. Tax Court contesting the 2017/2018 SNOD in a manner consistent with its petition for the 2019 SNOD.

Note 14 — Taxes on Earnings (Continued)
In October 2024, Abbott received a SNOD from the IRS for the 2020 Federal tax year assessing an additional $443 million of income tax. The primary adjustments proposed in the SNOD are substantially similar to the income allocation adjustments included in the 2017/2018 and 2019 SNODs. Abbott believes that the income reallocation adjustments proposed in the SNOD are without merit. The SNOD also contains other proposed adjustments and omissions that Abbott believes are erroneous and unsupported. In addition to the tax assessment for the 2020 tax year, the 2020 SNOD also contested a deduction for which an estimated $440 million cash tax benefit would be available in a different taxable year as allowed under applicable U.S. tax law. Abbott filed a petition with the U.S. Tax Court contesting the SNOD in December 2024.
Abbott and the IRS are in active discussions regarding several of the disputed items contained in the 2017 – 2020 SNODs.
In July 2024, Abbott received a $413 million tax assessment from the Malaysian tax authorities for the 2023 tax year. The assessment applies a property capital gains tax on the value of the shares associated with the intercompany sale of an affiliate. Abbott believes the assessment of the Malaysian tax authority to be without merit. In October 2025, the Penang High Court upheld the assessment of the Malaysian tax authority. In October 2025, Abbott filed an appeal with the Malaysian Court of Appeals.
There are numerous other income tax jurisdictions for which tax returns are not yet settled, none of which Abbott expects to be individually significant. Abbott intends to vigorously defend its filing positions in all jurisdictions in which it has unresolved tax matters through ongoing discussions with taxing administrations and/or through litigation as necessary. Abbott reserves for uncertain tax positions related to unresolved tax matters where Abbott’s tax filing position does not meet the standard for recognition of an income tax benefit. Abbott continues to believe that the amount of its recorded reserves for uncertain tax positions is appropriate. Reserves for interest and penalties are not significant.
The Organization for Economic Cooperation & Development (OECD) has proposed a two-pillared plan for a revised international tax system. Pillar 1 proposes to reallocate taxing rights among the jurisdictions in which in-scope multinational corporations operate. Pillar 2 proposes to assess a 15 percent minimum tax on the earnings of in-scope multinational corporations on a country-by-country basis. Numerous countries have enacted legislation to adopt the Pillar 2 model rules. On January 5, 2026, the OECD released administrative guidance that, when enacted, exempts U.S.-parented groups from the Pillar 2 minimum tax. Abbott continues to monitor legislative developments and assess any potential impacts on Abbott's operations for both the Pillar 1 and Pillar 2 proposals.

Abbott’s principal business is the discovery, development, manufacture, and sale of a broad portfolio of healthcare products. Abbott’s products are generally sold directly to retailers, wholesalers, consumers, hospitals, healthcare facilities, laboratories, health systems, and government agencies throughout the world. On March 23, 2026, Abbott completed its acquisition of Exact Sciences. From the acquisition date, Abbott's results include Exact Sciences' results, which are reported within the Diagnostic Products segment as Cancer Diagnostics.
Abbott’s reportable segments are as follows:
Established Pharmaceutical Products — International sales of a broad line of branded generic pharmaceutical and biologic products.
Nutritional Products — Worldwide sales of a broad line of adult and pediatric nutritional products.
Diagnostic Products — Worldwide sales of diagnostic systems, tests, and automated solutions. For segment reporting purposes, the Core Laboratory Diagnostics, Rapid and Molecular Diagnostics, and Cancer Diagnostics businesses are aggregated and reported as the Diagnostic Products segment.
Medical Devices — Worldwide sales of rhythm management, electrophysiology, heart failure, vascular, structural heart, neuromodulation, and diabetes care products. For segment reporting purposes, the Rhythm Management, Electrophysiology, Heart Failure, Vascular, Structural Heart, Neuromodulation, and Diabetes Care businesses are aggregated and reported as the Medical Devices segment.
Abbott’s underlying accounting records are maintained on a legal entity basis for government and public reporting requirements. Segment disclosures are on a performance basis consistent with internal management reporting. The chief operating decision maker (CODM) at Abbott is the Chief Executive Officer. The CODM primarily considers sales and operating margin to assess the performance of segments and to allocate resources, where segment operating margin profitability includes cost of products sold and operating expenses. The cost of some corporate functions and the cost of certain employee benefits are charged to segments at predetermined rates that approximate cost. Remaining costs, if any, are not allocated to segments. In addition, intangible asset amortization and certain legal settlements are not allocated to operating segments, and intangible assets and goodwill are not included in the measure of each segment’s assets.

Note 16 — Separation of Abbott's Global Nutrition Business
In October 2026, Abbott announced its intention to separate its Nutrition business into an independent, publicly traded company. The new company's business will include the Nutritional Products segment, which includes a broad portfolio of adult and pediatric nutritional products, including the Similac®, PediaSure®, Pedialyte®, Glucerna®, and Ensure® brands. Abbott intends to separate the business through distribution of shares of the independent Nutrition company to Abbott shareholders. The transaction is intended to qualify as a tax-free separation for U.S. federal income tax purposes. Abbott expects to complete the transaction by the end of 2027, subject to customary conditions, including regulatory approvals, the effectiveness of a registration statement on Form 10 and final approval by the Abbott board of directors.

Financial Review — Results of Operations
Abbott’s revenues are derived primarily from the sale of a broad portfolio of healthcare products under short-term receivable arrangements. Patent protection and licenses, technological and performance features, and inclusion of Abbott’s products under a contract most significantly impact which products are sold; price controls, competition, and rebates most significantly impact the net selling prices of products; and foreign currency translation impacts the measurement of net sales and costs. Abbott’s primary products are medical devices, diagnostic testing products, nutritional products, and branded generic pharmaceuticals.

Table of Contents
The 14.8 percent increase in total net sales during the third quarter of 2026, excluding the impact of foreign exchange, was driven by the acquisition of Exact Sciences Corporation (Exact Sciences) and high single-digit growth in Medical Devices and Established Pharmaceutical Products. The Exact Sciences acquisition was completed on March 23, 2026, and its results are reported within the Diagnostic Products segment as Cancer Diagnostics from the date of acquisition. On a reported basis, net sales were unfavorably impacted by foreign exchange as the relatively stronger U.S. dollar decreased total international sales by 0.6 percent and total sales by 0.3 percent.
The 10.5 percent increase in total net sales during the first nine months of 2026, excluding the impact of foreign exchange, reflected higher sales in Diagnostic Products, Medical Devices, and Established Pharmaceutical Products, partially offset by lower sales in Nutritional Products. Sales of Diagnostic Products primarily increased as a result of the acquisition of Exact Sciences, while growth in Medical Devices and Established Pharmaceutical Products reflected higher sales of new and existing products. Abbott’s net sales were favorably impacted by changes in foreign exchange rates as the relatively weaker U.S. dollar increased total international sales by 2.3 percent and total sales by 1.4 percent.

Abbott's Amplatzer Amulet Left Atrial Appendage Occluder device and related accessories were transferred from Structural Heart to Electrophysiology on January 1, 2026. As a result, $156 million of sales in the first nine months of 2025 were moved from Structural Heart to Electrophysiology.
Beginning in 2026, Abbott aggregated its previously reported Rapid Diagnostics, Molecular Diagnostics, and Point of Care businesses into the Rapid and Molecular Diagnostics business.
On March 23, 2026, Abbott completed the acquisition of Exact Sciences. Following the acquisition, the sales of Exact Sciences are presented as Cancer Diagnostics.

Table of Contents
In the first nine months of 2026, total Established Pharmaceutical Products sales, excluding the impact of foreign exchange, increased 8.7 percent. Excluding the favorable effect of foreign exchange, sales in Key Emerging Markets for Established Pharmaceutical Products increased 10.4 percent in the first nine months of 2026, led by double-digit growth in several countries across the Latin America and Asia Pacific regions. Other Emerging Markets, excluding the effect of foreign exchange, increased 3.6 percent in the first nine months of 2026.
Excluding the impact of foreign exchange, total Nutritional Products sales in the first nine months of 2026 decreased 2.1 percent, reflecting lower sales volumes across the adult nutritional and U.S. pediatric product portfolios.
In the first nine months of 2026, Diagnostic Products sales increased 30.8 percent, excluding the impact of foreign exchange. The inclusion of Exact Sciences and growth in Core Laboratory were partially offset by a decline in Rapid and Molecular Diagnostics. From the acquisition date of March 23, 2026, Diagnostic Products results included approximately $2.0 billion of sales from Exact Sciences, which are reported as Cancer Diagnostics.
In Core Laboratory, sales increased 4.0 percent in the first nine months of 2026, excluding the impact of foreign exchange, reflecting continued growth of diagnostic test sales on the Alinity® platform across the U.S. and international markets, including Latin America and Europe, partially offset by lower sales in China due to continued challenging market conditions. In Rapid and Molecular Diagnostics, sales decreased 5.4 percent in the first nine months of 2026, excluding the impact of foreign exchange, primarily reflecting lower demand for respiratory virus tests.
Excluding the impact of foreign exchange, total Medical Devices sales increased 7.8 percent in the first nine months of 2026, reflecting double‑digit growth in Electrophysiology and Rhythm Management, as well as high single-digit growth in Heart Failure and Diabetes Care. Diabetes Care sales increased 7.7 percent, excluding the impact of foreign exchange, driven by continued growth in Abbott’s continuous glucose monitoring (CGM) systems in the U.S. and internationally. CGM systems sales totaled $6.2 billion and $5.6 billion in the first nine months of 2026 and 2025, respectively, and increased 8.3 percent, excluding the impact of foreign exchange.
In the first nine months of 2026, Electrophysiology sales increased 13.8 percent, excluding the impact of foreign exchange, primarily reflecting increased sales of ablation catheters and related portfolio products. In Rhythm Management, sales increased 10.6 percent, excluding the impact of foreign exchange, primarily due to growth in Aveir® leadless pacemakers. In Heart Failure, sales increased 8.9 percent, excluding the impact of foreign exchange, primarily reflecting growth across the portfolio of ventricular assist devices and related accessories. In Vascular, sales increased 5.2 percent, excluding the impact of foreign exchange, primarily reflecting growth in endovascular products.
Abbott received several significant product approvals and launched new products in 2026. In May 2026, Abbott announced it secured CE Mark and in August 2026, Abbott announced U.S. Food and Drug Administration (FDA) approval for Libre® Duo, its dual glucose-ketone biowearable sensor. In August 2026, Abbott received CE Mark for its Amulet 360™ Left Atrial Appendage (LAA) Occluder, a device designed to reduce the risk of stroke in patients with atrial fibrillation (AFib). In August 2026, Abbott announced the launch of Similac® 360 Total Care® Made With Whole Milk, in the U.S., a commercially sterile, ready-to-feed liquid infant formula made with whole milk. In September 2026, Abbott announced FDA approval for its TactiFlex™ Duo Ablation Catheter, Sensor Enabled™, which delivers both pulsed field ablation (PFA) and radiofrequency (RF) energy to treat patients with AFib. In September 2026, Abbott launched SimpleScreen™ CRC, an FDA approved blood-based colorectal cancer screening test for adults age 45 and older who are at average risk for the disease.
The gross profit margin percentage was 50.3 percent and 51.7 percent for the third quarter and first nine months of 2026, respectively, compared to 51.7 percent and 52.4 percent for the third quarter and first nine months of 2025. The decrease in the third quarter and the first nine months of 2026 primarily reflects higher intangible amortization expense related to the Exact Sciences acquisition, as well as the unfavorable impact of higher costs and foreign exchange. These factors were partially offset by favorable business mix, including the addition of Exact Sciences, and continued margin improvement initiatives.
Research and development (R&D) expenses increased $154 million to $920 million, or 20.1 percent, in the third quarter of 2026 compared to the prior year, and increased $372 million to $2.6 billion, or 16.9 percent, in the first nine months of 2026 compared to the prior year. The increase in R&D expenses in the third quarter and the first nine months of 2026 primarily reflects the addition of the Exact Sciences business, as well as continued investment in development programs across multiple businesses.
Selling, general, and administrative (SG&A) expenses increased $1.2 billion to $4.3 billion in the third quarter, or 39.8 percent, and increased $2.8 billion to $12.0 billion, or 30.7 percent, in the first nine months of 2026. The increase primarily reflects the addition of the Exact Sciences business and related integration expenses, charges related to recent legal settlements, increased selling and marketing spend to drive growth across various businesses, and the unfavorable impact of foreign exchange.

Business Acquisition
Other (Income) Expense, net

Other (income) expense, net was income of $164 million in the third quarter of 2026, compared to income of $150 million in the third quarter of 2025, and income of $457 million in the first nine months of 2026, compared to income of $414 million in the first nine months of 2025. The higher income in the third quarter of 2026 primarily reflected income associated with the non-service cost components of net pension and post-retirement medical benefit costs. The higher income in the first nine months of 2026 primarily reflected higher income associated with the non-service cost components of net pension and post-retirement medical benefit costs and unfavorable fair value adjustments of contingent consideration liabilities in the prior year that did not reoccur.

Table of Contents
Interest Expense, net
Interest expense, net increased by $253 million to $297 million in the third quarter of 2026 and increased by $521 million to $664 million in the first nine months of 2026. In the third quarter and the first nine months of 2026, interest expense increased primarily due to interest on debt incurred related to the acquisition of Exact Sciences.

Taxes on Earnings

Separation of Abbott's Global Nutrition Business
In October 2026, Abbott announced its intention to separate its Nutrition business into an independent, publicly traded company. The new company's business will include the Nutritional Products segment, which includes a broad portfolio of adult and pediatric nutritional products, including the Similac®, PediaSure®, Pedialyte®, Glucerna®, and Ensure® brands. Abbott intends to separate the business through distribution of shares of the independent Nutrition company to Abbott shareholders. The transaction is intended to qualify as a tax-free separation for U.S. federal income tax purposes. Abbott expects to complete the transaction by the end of 2027, subject to customary conditions, including regulatory approvals, the effectiveness of a registration statement on Form 10, and final approval by the Abbott board of directors.
Liquidity and Capital Resources
The decrease in cash and cash equivalents from $8.5 billion at December 31, 2025, to $4.1 billion at September 30, 2026, primarily reflects the use of cash to fund the cash portion of the acquisition of Exact Sciences and repay the $2.8 billion of debt assumed in the acquisition, and fund payments related to dividends, legal settlements, share repurchases, and capital expenditures in the first nine months of 2026, partially offset by cash generated from operations.
Working capital was $7.3 billion at September 30, 2026, and $9.5 billion at December 31, 2025. The decrease in working capital in 2026 primarily reflects the reduction in cash, partially offset by increases in trade receivables and inventories and a decrease in the current portion of long-term debt.
In the Condensed Consolidated Statement of Cash Flows, Net cash from operating activities for the first nine months of 2026 totaled $5.5 billion, a decrease of approximately $700 million from the prior year. Cash flow from operating activities decreased during the period, primarily due to legal settlement payments, higher inventory levels, and cash payments related to the settlement of equity awards associated with the Exact Sciences acquisition. These factors were partially offset by lower pension contributions and lower cash taxes paid. In the first nine months of 2026, Net cash from operating activities included the payment of cash taxes of $1.3 billion. Net cash from operating activities in the first nine months of 2025 included pension contributions of $256 million and cash tax payments of $1.5 billion.
At September 30, 2026, Abbott’s long-term debt rating was A+ by S&P Global Ratings and Aa3 by Moody’s Investors Service. Abbott expects to maintain an investment grade rating.
As part of the acquisition, Abbott assumed approximately $2.8 billion of Exact Sciences’ debt, nearly all of which has been repaid.
In the first nine months of 2026, Abbott repurchased approximately 11.6 million of its common shares for $1.0 billion. As of September 30, 2026, $5.6 billion remains available for repurchase under the share repurchase program authorized by the board of directors in October 2024.
In each of the first three quarters of 2026, Abbott declared a quarterly dividend of $0.63 per share on its common shares, which represents an increase of 6.8 percent over the $0.59 per share dividend declared in each of the first three quarters of 2025.

Legislative Issues

Abbott’s primary markets are highly competitive and subject to substantial government regulations throughout the world. Abbott expects debate to continue over the availability, method of delivery, and payment for healthcare products and services. It is not possible to predict the extent to which Abbott or the healthcare industry in general might be adversely affected by these factors in the future. A more complete discussion of these factors is contained in Item 1, Business, and Item 1A, Risk Factors, in our Annual Report on Form 10-K for the year ended December 31, 2025.

Boudreau, evaluated the effectiveness of Abbott Laboratories’ disclosure controls and procedures as of the end of the period covered by this report, and concluded that Abbott Laboratories’ disclosure controls and procedures were effective to ensure that information Abbott is required to disclose in the reports that it files or submits with the Securities and Exchange Commission (the “Commission”) under the Securities Exchange Act of 1934 (the “Exchange Act”) is recorded, processed, summarized, and reported, within the time periods specified in the Commission’s rules and forms, and to ensure that information required to be disclosed by Abbott in the reports that it files or submits under the Exchange Act is accumulated and communicated to Abbott’s management, including its principal executive officer and principal financial officer, as appropriate to allow timely decisions regarding required disclosure.

(b)Changes in internal control over financial reporting. During the quarter ended September 30, 2026, there were no changes in Abbott’s internal control over financial reporting (as defined in Rule 13a-15(f) under the Exchange Act) that have materially affected, or are reasonably likely to materially affect, Abbott’s internal control over financial reporting.

PART II. OTHER INFORMATION

Item 1.     Legal Proceedings

Abbott is involved in various claims, legal proceedings and investigations as described in its Annual Report on Form 10-K for the fiscal year ended December 31, 2025 (the “2025 10-K”), its Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2026, and under Item 8.01 of its Current Report on Form 8-K filed on August 20, 2026, including those described below (as of September 30, 2026, except where noted below). While it is not feasible to predict the outcome of such pending claims, proceedings, and investigations with certainty, management is of the opinion that their ultimate resolution should not have a material adverse effect on Abbott's financial position, cash flows, or results of operations.

In the 2025 10-K, Abbott reported that the United States Department of Justice (DOJ), through the United States Attorney’s Office for the Western District of Michigan, was conducting an investigation related to Abbott’s manufacturing of powdered infant formula, and that the DOJ intervened, in part, in a civil qui tam lawsuit previously filed under seal against Abbott by three private individuals in the U.S. District Court for the Western District of Michigan. The qui tam lawsuit related to Abbott’s U.S. manufacturing of powdered infant formula products. The Attorneys General of several states filed a consolidated complaint-in-intervention in the same lawsuit. In September 2026, Abbott reached an agreement to resolve the DOJ investigations and the aforementioned complaints, pursuant to which Abbott agreed to pay approximately $385 million, plus attorneys’ fees and accrued interest, to resolve all claims. The settlement does not represent any finding of fault or liability, and no evidence was found that Abbott infant formula products caused the illnesses or deaths that prompted Abbott’s voluntary recall in 2022.
