Rhea-AI Filing Summary

ACNB Corporation reported record third-quarter 2026 net income of $15.727 million and diluted earnings per share of $1.55, compared with $14.870 million and $1.42 in the third quarter of 2025. Net interest income was $34.775 million, and fully taxable equivalent net interest margin was 4.56%, up from 4.27% a year earlier. Acquisition-accounting adjustments on loans and deposits had an accretion impact of $1.6 million during the quarter.

At September 30, 2026, total loans, net of unearned income, were $2,406.511 million and deposits were $2,508.963 million. The allowance for credit losses was $24.976 million, an increase of $970,000 from June 30, 2026; ACNB attributed the increase primarily to a specific allowance for one commercial and industrial relationship and said it did not believe it indicated general weakness in the portfolio. Nonperforming loans were 0.45% of total loans, versus 0.43% a year earlier. ACNB repurchased 11,288 shares in open-market transactions at a weighted average price of $65.01 per share, with 242,404 shares remaining in its current plan. It paid a regular quarterly dividend of $0.42 per share, up from $0.34 a year earlier.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

Fully taxable equivalent financial
"Fully taxable equivalent (“FTE”) net interest margin"
A fully taxable equivalent converts a tax-free yield into the pretax yield you would need from a taxable investment to get the same after-tax return, using an investor’s marginal tax rate. Think of it like inflating a discounted price to the full sticker price so you can compare items side‑by‑side; investors use it to fairly compare tax-exempt securities with taxable alternatives and choose the better after-tax income.
accretion impact of acquisition accounting adjustments financial
"accretion impact of acquisition accounting adjustments on loans and deposits"
Allowance for credit losses financial
"The allowance for credit losses was $25.0 million"
Allowance for credit losses is a reserve set aside by a financial institution to cover potential losses from borrowers who may not repay their loans. It acts like a safety net, helping the institution prepare for loans that might turn sour. For investors, it signals how cautious the institution is about the quality of its loans and potential risks to its financial health.
non-performing loans financial
"Total non-performing loans to total loans, net of unearned income"
Loans on a bank’s books where the borrower has stopped making scheduled payments for a prolonged period (commonly about 90 days), so the lender no longer expects full repayment on time. Think of them as overdue IOUs that may never be paid back; a rising level of such loans weakens a lender’s earnings and balance sheet, signals greater credit risk in the economy, and can hurt investors through lower dividends, loan losses, or declines in the lender’s stock value.
Tangible book value per share financial
"Tangible book value per share was $33.26"
Tangible book value per share is the company's total physical and financial assets minus its liabilities and intangible items (like goodwill and brand value), divided by the number of outstanding shares. It gives investors a conservative, per‑share estimate of what would remain if the business sold only its hard assets and paid its debts—useful for judging whether a stock is priced above or below its underlying, tangible worth, like valuing a property by its bricks and cash rather than its reputation.

Helt, ACNB Corporation President and Chief Executive Officer. “During the quarter, we achieved modest loan growth, saw solid core funding growth that allowed us to pay off some brokered deposits, and continued to demonstrate resilient asset quality performance. While we experienced an isolated credit issue during the quarter, our overall credit metrics remain sound and consistent with our long-standing conservative risk management culture. These results highlight the dedication of our employees, the trust of our customers, and the strength of a relationship-based banking model that continues to create value for our shareholders.” Mr. Helt continued, “As we look ahead, we remain well positioned to capitalize on growth opportunities while maintaining the financial strength and discipline that have defined our Company for nearly 170 years.” Net Interest Income and Margin Net interest income for the three months ended September 30, 2026 totaled $34.8 million, an increase of $773 thousand from the three months ended June 30, 2026 and an increase of $2.6 million from the three months ended September 30, 2025. • The allowance for credit losses was $25.0 million, an increase of $970 thousand. The increase was driven primarily by a specific allowance allocation on a relationship in the commercial and industrial portfolio and, to a lesser extent, loan growth; the bank does not believe the increase is indicative of a general weakness in the overall loan portfolio but rather the increase is driven primarily by an isolated credit issue specific to an individual borrower • Total non-performing loans to total loans, net of unearned income were 0.45% compared to 0.41% driven primarily by the migration of four loans to three unrelated borrowers totaling $1.4 million to nonaccrual partially offset by paydowns of $657 thousand September 30, 2026 compared to September 30, 2025 • The increase in total loans of $69.9 million was driven primarily by commercial real estate growth of $60.6 million concentrated in farmland ($45.2 million), multi-family ($22.3 million), owner-occupied balances ($23.3 million) and 1-4 family ($9.2 million), partially offset by a decline in non-owner occupied balances ($34.0 million) • The allowance for credit losses increased by $1.3 million. • The decrease in money market balances was driven primarily by attrition of higher cost money market deposits from the Acquisition Borrowings Total borrowings were $331.4 million at September 30, 2026, an increase of $8.3 million and a decrease of $4.4 million compared to June 30, 2026 and September 30, 2025, respectively. The increase compared to June 30, 2026 was due to seasonal increases in repurchase agreement balances and greater balances on accounts collateralizing derivative contracts given the recent rise in market rates. The decrease compared to September 30, 2025 was a result of lower securities sold under repurchase agreements partially offset by higher balances on accounts collateralizing derivative contracts. Stockholders’ Equity Total stockholders’ equity was $420.5 million at September 30, 2026 compared to $423.3 million at June 30, 2026 and $408.6 million at September 30, 2025. The decrease at September 30, 2026 compared to June 30, 2026 was driven primarily by a $15.4 million unrealized loss on investment securities, dividends paid of $4.3 million, partially offset by net income of $15.7 million. The increase at September 30, 2026 compared to September 30, 2025 was driven primarily by growth in retained earnings partially offset by changes in unrealized losses in available for sale investment securities. Tangible book value1 per share was $33.26, $33.42 and $30.87 at September 30, 2026, June 30, 2026 and September 30, 2025, respectively.
