Rhea-AI Filing Summary

AGM Group Holdings, Inc. received Nasdaq notice on October 9, 2026, that its Class A ordinary shares had closed below $1.00 per share for 30 consecutive business days, from August 27 through October 8, 2026. Nasdaq stated that the notice does not immediately delist the shares, which continue to trade under AGMH.

The company has 180 calendar days, through April 7, 2027, to regain compliance. A closing bid of at least $1.00 for 10 consecutive business days during that period can restore compliance, subject to Nasdaq’s discretion to require a longer period.

Filing Explained

If AGM misses the April 7, 2027 cure deadline, it may qualify for another 180 days only by meeting other Nasdaq listing standards and giving written cure notice; a reverse split is one possible cure, reducing shares and raising the per-share price proportionally without changing company value.

Minimum bid price $1.00 per share Nasdaq minimum bid-price requirement
Below-minimum period 30 consecutive business days August 27 through October 8, 2026
Compliance period 180 calendar days Through April 7, 2027
Compliance test 10 consecutive business days Closing bid of at least $1.00 per share
Potential additional compliance period 180 calendar days May be available if the stated listing requirements are met
minimum bid price requirement regulatory
"did not meet the minimum bid price requirement"
A minimum bid price requirement is a rule that a stock must trade above a set price for a specified period to stay listed on an exchange. It matters to investors because falling below that threshold can trigger warnings or removal from the exchange, which can cut liquidity, reduce visibility, and often lead to sharper declines in share value—think of it like a venue’s minimum dress code that, if not met, can bar a performer from the stage.
Compliance Period regulatory
"has a compliance period of one hundred eighty (180) calendar days"
A compliance period is a defined stretch of time during which a company must meet specific legal, regulatory, or contractual rules and reporting requirements. Think of it like a scheduled inspection window or a homework deadline: failing to satisfy the rules within that window can trigger fines, restrictions, or extra oversight, so investors watch compliance periods as signals of near-term legal risk, potential costs, and impacts on a company’s operations or cash flow.
continued listing requirement regulatory
"meet the continued listing requirement for market value of publicly held shares"
Rules a stock exchange sets that a publicly traded company must follow to keep its shares listed, such as minimum share price, market value, shareholder equity, and timely financial reporting. These rules matter to investors because failing them can lead to removal from the exchange, which can make shares harder to buy or sell and often lowers their value — like a club with membership requirements where losing eligibility restricts access and signals trouble.
initial listing standards regulatory
"all other initial listing standards for The Nasdaq Capital Market"
reverse stock split regulatory
"including by effecting a reverse stock split, if necessary"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.

How long does AGMH have to regain Nasdaq’s $1.00 bid-price compliance?

AGM Group Holdings, Inc. has until April 7, 2027, a 180-calendar-day compliance period, to regain Nasdaq’s minimum bid-price compliance.
