(NASDAQ: AGMH, “AGM Group” or the “Company”), an integrated technology company specializing in the assembling and sales of high-performance hardware and computing equipment, today announced the closing of its previously announced private placement of Class A ordinary shares, par value US$0.05 per share, at a purchase price of US$0.6305 per share (the "Private Placement").

Pursuant to the share purchase agreement, dated September 17, 2026 (the "Purchase Agreement"), entered into with an investor (the "Purchaser"), the Company agreed to issue and sell the Shares for aggregate gross proceeds of up to US$11.0 million. The closing of the US$11.0 million Private Placement occurred on October 5, 2026.
