Rhea-AI Filing Summary

Alpha Compute Corp approved an amendment to its Amended and Restated 2021 Equity Incentive Plan on September 30, 2026, setting the New Share Allocation at 1,070,127 shares and authorizing the Company to file a Form S-8 registering up to 1,070,127 shares issuable under the amended plan.

Within the allocation, 387,727 shares are reserved for awards meeting at least two of three criteria: time-based vesting, share price milestone vesting, and, for options, an exercise price that is a multiple of the grant-date share price. The Board may increase the Share Limit, excluding the Special Share Allocation, each calendar year on a cumulative basis by up to 4% of aggregate shares then outstanding.

Filing Explained

For cumulative annual increases of up to four percent of then-outstanding shares, added shares cannot be issued as incentive stock options without shareholder approval.

In its September 30, 2026 approval, the board made specified unused, forfeited, repurchased, or tax-withheld shares available in addition to the 1,070,127-share allocation, so the plan pool can support issuance beyond that allocation, and if issued, those shares would increase the share count and reduce existing holders’ percentage ownership, absent offsetting changes.

Shares later forfeited or otherwise returned from a special-allocation award stay in that allocation.

Incentive stock options are a type of employee stock option that gives eligible workers the right to buy company shares at a fixed price later on, often below future market value. They matter to investors because they align employee incentives with company performance, can dilute existing ownership when exercised, and create potential tax advantages for option holders if certain holding-time rules are met — think of them as a coupon to buy stock at today’s price with extra tax rules attached.
