Rhea-AI Filing Summary

Annovis Bio, Inc. priced a public offering of 19,000,000 common shares and, for certain investors instead of common stock, pre-funded warrants to purchase up to 2,000,000 shares, with accompanying warrants to purchase up to 21,000,000 shares. Each common share with an accompanying warrant is priced at $1.00; each one-share pre-funded warrant with an accompanying warrant is priced at $0.9999. Pre-funded warrants have a $0.0001-per-share exercise price. Accompanying warrants are exercisable immediately at $1.00 per share and expire five years after issuance.

The company expects approximately $21.0 million in gross proceeds before underwriting discounts, commissions and offering expenses, excluding potential proceeds from warrant exercises. Net proceeds are planned for continued buntanetap clinical development in Alzheimer’s and Parkinson’s disease studies, working capital and general corporate purposes. Closing is expected on or about November 6, 2026, subject to customary closing conditions. A director is purchasing 5,000,000 shares and accompanying warrants for $5,000,000 at the same package price as other investors.

Filing Explained

The warrants have holder-level exercise limits: exercise is blocked if it would put a holder and affiliates above 4.99% ownership (or 9.99% if elected). A holder can raise the limit by notice, but the increase takes effect only after 61 days and is capped at 19.99% (or 9.99%, if elected).

Item 1.01 Entry into a Material Definitive Agreement Business
The company signed a significant contract such as a merger agreement, credit facility, or major partnership.
Item 7.01 Regulation FD Disclosure Disclosure
Material non-public information disclosed under Regulation Fair Disclosure, often investor presentations or guidance.
Item 9.01 Financial Statements and Exhibits Exhibits
Financial statements, pro forma financial information, or exhibit attachments filed with this report.
Expected gross proceeds Approximately $21.0 million Before underwriting discounts, commissions and offering expenses; excludes potential proceeds from exercise of accompanying warrants
Common shares 19,000,000 shares Public offering
Pre-funded warrant shares Up to 2,000,000 shares Pre-funded warrants offered in lieu of common stock to certain investors
Accompanying warrant shares Up to 21,000,000 shares Shares issuable upon exercise of accompanying warrants
Common share and accompanying warrant price $1.00 per share-and-warrant package Combined offering price
Pre-funded warrant and accompanying warrant price $0.9999 per one-share-and-warrant package Combined offering price
Warrant exercise prices $1.00 per share for accompanying warrants; $0.0001 per share for pre-funded warrants Exercise prices stated for the two warrant types
Director’s offering purchase $5,000,000 for 5,000,000 shares and accompanying warrants At the same price per share and accompanying warrant as other investors
Pre-Funded Warrants technical
"Pre-Funded Warrants will be exercisable immediately upon issuance"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
Accompanying Warrants technical
"Each Accompanying Warrant will be exercisable for one share"
Securities called accompanying warrants are options issued together with another financing instrument—often bonds or preferred shares—that give the holder the right to buy common stock at a set price for a limited time. Think of them like detachable coupons included with a loan that can be redeemed later for stock; they matter to investors because they can dilute existing ownership if exercised and add potential upside tied to the issuer’s future share price.
beneficial ownership limitation regulatory
"beneficial ownership limitation, which may not exceed 19.99%"
A beneficial ownership limitation is a rule that caps the percentage of a company’s shares an investor can be treated as owning or controlling for voting, regulatory or tax purposes. It matters to investors because it can restrict how many shares a person or group can buy or vote, affect takeover chances, and influence share liquidity and value — like a speed limit that prevents any single driver from taking over the whole road.
gross proceeds financial
"gross proceeds to the Company from the Offering are expected to be approximately $21.0 million"
The total amount of cash a company receives from a financing event or sale before any fees, expenses, taxes or deductions are taken out. Investors watch gross proceeds because it shows the raw scale of new capital being raised—think of it as the paycheck amount before withholdings—which helps assess how much funding is available for operations, growth, debt payoff or how much shareholder dilution might occur once costs are removed.
shelf registration statement regulatory
"pursuant to the Company’s effective shelf registration statement on Form S-3"
A shelf registration statement is a document a company files with regulators that allows it to sell shares or bonds quickly when it’s a good time to raise money. It’s like having a pre-approved plan ready so the company can act fast without going through lengthy paperwork each time they want to sell, making fundraising more flexible.

Item 1.01 Entry into a Material Definitive Agreement.

On November 5, 2026, Annovis Bio, Inc. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”), dated as of November 5, 2026, with Canaccord Genuity LLC, as underwriter (the “Underwriter”), pursuant to which the Company agreed to issue and sell, in a public offering (the “Offering”) (i) an aggregate of 19,000,000 shares of common stock (the “Shares”), $0.0001 par value per share (the “Common Stock”), of the Company and, in lieu of Common Stock to certain investors, pre-funded warrants (the "Pre-Funded Warrants") to purchase up to 2,000,000 shares of Common Stock, and (ii) accompanying warrants to purchase up to 21,000,000 shares of Common Stock (the “Accompanying Warrants” and together with the Pre-Funded Warrants, the “Warrants” and the shares of Common Stock issuable upon exercise of the Warrants, the “Warrant Shares”). The combined offering price of each Share and Accompanying Warrant is $1.00, and the combined offering price of each Pre-Funded Warrant to purchase one share of Common Stock and Accompanying Warrant is $0.9999, which equals the combined offering price per Share and Accompanying Warrant, less the $0.0001 per share exercise price of each Pre-Funded Warrant. Each Accompanying Warrant will be exercisable for one share of Common Stock at an exercise price of $1.00 per share of Common Stock, will be exercisable immediately upon issuance and will expire five years after the date of issuance. The Pre-Funded Warrants will be exercisable immediately upon issuance and may be exercised at any time until all of the Pre-Funded Warrants are exercised in full. The gross proceeds to the Company from the Offering are expected to be approximately $21.0 million, before deducting underwriting discounts and commissions and offering expenses payable by the Company.

A holder will not have the right to exercise any portion of the Warrants if the holder (together with its affiliates) would beneficially own in excess of 4.99% (or, at the election of the holder, 9.99%) of the number of shares of Common Stock outstanding immediately after giving effect to the exercise, as such percentage ownership is determined in accordance with the terms of the applicable Warrants. However, upon notice from the holder to the Company, the holder may increase the beneficial ownership limitation, which may not exceed 19.99% (or, at the election of the holder, 9.99%) of the number of shares of Common Stock outstanding immediately after giving effect to the exercise, as such percentage ownership is determined in accordance with the terms of the applicable Warrants, provided that any increase in the beneficial ownership limitation will not take effect until 61 days following notice to the Company.

One of the Company’s directors is participating in the Offering. Such director is purchasing an aggregate of 5,000,000 Shares and Accompanying Warrants, for an aggregate purchase price of $5,000,000. The purchase price per Share and Accompanying Warrant for such Company insider is the same as being paid by other investors in the Offering.

The Offering is expected to close on or about November 6, 2026, subject to the satisfaction of customary closing conditions. The Company currently plans to use the net proceeds from the Offering for the continued clinical development of the Company’s lead compound Buntanetap in clinical studies for Alzheimer’s disease and Parkinson’s disease, and for working capital and general corporate purposes.

The Underwriting Agreement contains customary representations, warranties and agreements by the Company, customary conditions to closing, indemnification obligations of the Company, including for liabilities arising under the Securities Act of 1933, as amended (the “Securities Act”), other obligations of the parties and termination provisions. The representations, warranties and covenants contained in the Underwriting Agreement were made only for the purposes of such agreement and as of the specific dates, were solely for the benefit of the parties to such agreement and may be subject to limitations agreed upon by the contracting parties.

The Offering was made pursuant to the Company’s effective shelf registration statement on Form S-3, as amended (File No. 333-276814), which was declared effective on February 12, 2024, and a related base prospectus and prospectus supplement thereunder dated November 5, 2026.
