Aurelion said the investment supports its digital gold strategy and related technology and risk-management infrastructure. Regulation S regulatory
"exemption ... afforded by Regulation S"
Regulation S is a set of rules that allows companies to sell securities (like shares or bonds) to investors outside the United States without having to follow all U.S. securities laws. It matters because it makes it easier for companies to raise money from international investors while still complying with U.S. regulations.
private investment in public equity (PIPE) financial
"US$100 million private investment in public equity (PIPE)"
A private investment in public equity (PIPE) is when a publicly traded company sells new shares or instruments that can become shares directly to a small group of private investors instead of through the open market. Think of it like a company taking a private loan from a few investors rather than holding a big public sale; it raises cash fast but can dilute existing owners and signal either financial need or strong backing by informed investors.
senior debt facility financial
"a US$50 million senior debt facility"
A senior debt facility is a major loan or credit line that has first claim on a company’s cash and assets if the company can’t pay its bills. Investors care because this priority makes senior debt less risky than other loans or bonds, affecting the company’s borrowing cost and how losses are shared in distress — like a first mortgage that gets paid before other claims.
pre-funded warrants financial
"outstanding shares/pre-funded warrants"
Pre-funded warrants are financial instruments that give investors the right to purchase a company's stock at a set price, but with most or all of the purchase price paid upfront. They function like a coupon or gift card for stock, allowing investors to buy shares later at a fixed price, which can be beneficial if they want to avoid future price increases. This makes them important for investors seeking flexibility and certainty in their investment plans.
tokenized gold technical
"digital gold infrastructure around tokenized gold"
Digital tokens that represent ownership of physical gold held in secure storage, recorded on a secure digital ledger so each token acts like a digital receipt for a specific amount of metal. Investors use tokenized gold to buy, sell, or hold small fractions of gold more easily and cheaply than buying bars or coins, but they take on different custody and counterparty risks tied to the issuer and where the metal is stored.

h.Governing Law; Arbitration. All questions concerning the construction, validity, enforcement and interpretation of this Agreement shall be governed by and construed in accordance with the laws of the State of New York without giving effect to any choice or conflict of law provision or rule thereof. Any dispute, controversy or claim arising out of or relating to this Agreement, or the interpretation, breach, termination or validity hereof, shall be submitted to arbitration upon the request of any party with notice to the other party. The arbitration shall be conducted in Hong Kong under the auspices of the Hong Kong International Arbitration Centre (“HKIAC”) in accordance with the HKIAC Administered Arbitration Rules then in effect, which rules are deemed to be incorporated by reference into this Section 7(h). There shall be three (3) arbitrators. The complainant and the respondent to such dispute shall each select one arbitrator within thirty (30) days after giving or receiving the demand for arbitration.
