Rhea-AI Sentiment reads the wording of the document, how positive or negative its language is on a 1 to 5 scale. The balance of points shown with the takes weighs what the document actually discloses, so the two can disagree, for example when a trial that missed its main goal is described in upbeat language.

Rhea-AI Filing Summary

Aya Gold & Silver Inc. entered into a term sheet with Sama Resources Inc. for the proposed sale of the Azegour project in Morocco. Under the proposed terms, consideration would consist entirely of Sama common shares representing up to 19.11% of Sama’s issued and outstanding shares following issuance; Aya expects to hold up to that percentage after closing.

Sama would acquire a newly incorporated, wholly owned Aya subsidiary that, through its subsidiaries, would hold the project’s mining titles and related assets, including two mining licenses and two exploration permits. Before closing, Aya would arrange for the titles to be transferred to the relevant subsidiary. The terms also call for a license to intellectual property associated with the surrounding region, including exploration information and data, plus legal, financial, management and geological support for one year after closing. The transaction remains subject to execution of a definitive agreement and applicable regulatory approvals.

Potential post-issuance ownership Up to 19.11% Sama issued and outstanding shares following issuance
Mining licenses 2 licenses Included among the Azegour project assets
Exploration permits 2 permits Included among the Azegour project assets
Transitional support 1 year Following closing
Distance from Marrakech 80 kilometers South-southwest of Marrakech
brownfield technical
"a brownfield, polymetallic copper-tungsten-molybdenum project"
A brownfield is a property or site that has been previously developed or used—often with existing buildings, infrastructure, or environmental contamination—and is being reused, redeveloped, or expanded rather than built on from scratch. For investors it matters because brownfields can offer cost and time savings compared with starting new (like renovating an old house versus building one), but they also carry risks such as cleanup obligations, regulatory delays, and hidden expenses that affect returns and timelines.
polymetallic technical
"polymetallic copper-tungsten-molybdenum (Cu-W-Mo) project"
Polymetallic describes a rock, ore deposit, or mine that contains several different commercially valuable metals together, such as copper, zinc, lead, gold or silver. For investors it matters because a polymetallic deposit can spread revenue across multiple metal markets—like a fruit basket with different fruits—reducing dependence on one commodity’s price but often adding processing complexity and varying costs and risks.
mining titles technical
"the mining titles and related assets comprising the Azegour project"
Mining titles are the legal rights, licenses, or permits that allow a person or company to explore for, develop, and extract minerals from a defined area of land or seabed. Think of them like a deed or lease specifically for the buried resources under a property: they determine who can take and sell the minerals, for how long, and under what conditions. For investors, mining titles matter because they govern access to the resource being valued and carry legal, regulatory, and operational risks that affect a project’s potential revenue and lifespan.
issued and outstanding shares financial
"Sama’s issued and outstanding shares following issuance"
The total number of shares a company has issued and that are currently held by investors, excluding any shares the company has bought back and kept in its treasury. Investors use this count like the number of slices in a pie to calculate market value per share, ownership percentages and per-share metrics such as earnings per share, so it directly affects how the company’s value and each shareholder’s stake are measured.

Montreal, Quebec, November 5, 2026 - Aya Gold & Silver Inc. (TSX: AYA; NASDAQ: AYA) (“Aya” or the “Company”) is pleased to announce that it has entered into a term sheet with Sama Resources Inc. (“Sama”) (TSXV: SME) regarding the proposed sale of its Azegour project in Morocco (“Azegour” or the “Project”) in exchange for common shares of Sama (the “Transaction”). Azegour is a brownfield, polymetallic copper-tungsten-molybdenum (Cu-W-Mo) project located in the Western High Atlas of Morocco, 80 kilometers south-southwest of Marrakech.
The Transaction would streamline Aya’s project portfolio. Upon closing, Aya expects to hold up to 19.11% of Sama’s issued and outstanding shares.
“As we continue to build our portfolio in Morocco and expand our footprint, we are taking a disciplined approach to portfolio management,” said Benoit La Salle, President & CEO. "The proposed sale of Azegour allows us to focus on our core priorities, while maintaining exposure to Azegour’s future potential through our shareholding in Sama.”
Transaction
Under the proposed terms, Sama would acquire a newly incorporated wholly owned subsidiary of Aya which, through its subsidiaries, would hold the mining titles and related assets comprising the Azegour project, including two mining licenses and two exploration permits. Prior to closing, Aya would arrange for the transfer of the mining titles to the relevant subsidiary. Aya would also grant Sama a license to the intellectual property associated with the surrounding geographic region, including relevant exploration information and data, and provide transitional legal, financial, management and geological support for one year following closing.
The consideration would be payable entirely in common shares of Sama, with the number of shares representing up to 19.11% of Sama’s issued and outstanding shares following issuance.
The Transaction remains subject to certain conditions, including the execution of a definitive agreement and receipt of applicable regulatory approvals.
