Rhea-AI Filing Summary

Bio Green Med Solution, Inc. (BGMS) received a Nasdaq notice after its common stock’s closing bid price failed to meet the $1.00 per share minimum for 30 consecutive business days. The notice starts an automatic 180-calendar-day compliance period ending April 27, 2027; BGMS remains listed and trading during that period. To regain compliance, the closing bid must be at or above $1.00 per share for a minimum of 10 consecutive business days before the deadline. If BGMS does not meet the requirement, including within any extension Nasdaq may grant, Nasdaq will notify the company that its stock is subject to delisting; BGMS may appeal that determination to a hearings panel.

Separately, BGMS and Future NRG Sdn. Bhd. entered into a Business Combination Agreement under which, subject to satisfaction or waiver of its conditions, Future NRG’s shareholders would exchange all of their ordinary shares for BGMS common stock, making Future NRG a wholly owned subsidiary. BGMS’s effective Form S-4 includes a stockholder proposal for a reverse split at a ratio the board would determine within a range of not less than 1:4 and not more than 1:16. The company says it may consider a reverse split as part of the transaction closing. It cautions that stockholders may not approve the proposal and that compliance is not assured.

How this balance works

Rhea-AI gives every point it takes from this document a weight. Minor counts 1, Moderate 3 and Major 9, so one Major point outweighs several Minor ones. The bar adds up the weights on each side, and when neither side holds more than 65% of the total the balance reads Mixed.

It reads the document as published, with the same rules for every company, and it does not look at what the market expected or at how the stock traded, so a point can be objectively good on a day the stock falls.

Rhea-AI Sentiment measures something else, the tone of the wording.

minimum bid price regulatory
"did not meet the minimum bid price of $1.00 per share"
The minimum bid price is the lowest share price that a market, regulator, or specific offering will accept for a trade, listing, or auction—think of it as a reserve or floor that a stock must meet to qualify for certain actions. It matters to investors because falling below that floor can limit trading options, trigger compliance measures or delisting risks, and affect liquidity and the perceived value of a holding, much like a reserve price in an auction sets the baseline for a sale.
automatic 180 calendar-day grace period regulatory
"initiating an automatic 180 calendar-day grace period"
Business Combination Agreement technical
"entered into a Business Combination Agreement"
A business combination agreement is a detailed contract that lays out the terms for two companies to join together—covering price, how ownership will be split, the steps needed to close the deal, and what each side promises to do or avoid before closing. For investors it matters because the agreement determines potential changes in value, control, timing, and risk exposure—think of it like the playbook for a merger that shows who wins, who pays, and what could still derail the plan.
reverse stock split technical
"to effect a reverse stock split"
A reverse stock split reduces a company's number of outstanding shares while raising the price per share proportionally, so the total value of each investor's holding is unchanged; a 1-for-10 split turns 100 shares worth $1 each into 10 shares worth $10 each. Companies often do this to regain compliance with an exchange's minimum price rule or to attract investors who avoid very low-priced stocks.

FAQ

AI-generated questions and answers. How Rhea-AI works. Not financial advice.

What is BGMS’s Nasdaq minimum-bid deadline?

BGMS has until April 27, 2027, to regain compliance with Nasdaq’s $1.00 per share minimum bid-price requirement. The notice provides an automatic 180 calendar-day compliance period, and compliance requires the closing bid to be at or above $1.00 per share for a minimum of 10 consecutive business days before that date.

What reverse stock split is BGMS proposing?

The stockholder proposal would authorize a reverse split at a ratio to be determined by BGMS’s board within a range of not less than 1:4 and not more than 1:16. BGMS says it may consider a reverse split as part of the transaction closing, and the proposal is subject to stockholder approval.

On October 29, 2026, Bio Green Med Solution, Inc. (the “Company”) received a written notice (the “Nasdaq Notice”) from the Nasdaq Stock Market LLC (“Nasdaq”) notifying the Company that, based upon the closing bid price of the Company’s common stock, par value $0.001 per share, (the “Common Stock”) for the last 30 consecutive business days, the Common Stock did not meet the minimum bid price of $1.00 per share required by Nasdaq Listing Rule 5550(a)(2), initiating an automatic 180 calendar-day grace period for the Company to regain compliance.

The notice has no immediate effect on the listing or trading of the Company’s Common Stock, and the Common Stock will continue to trade on The Nasdaq Stock Market under the symbol “BGMS.” In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has a period of 180 calendar days from the date of the notification, or until April 27, 2027, to achieve compliance with the minimum bid price requirement. The Company will regain compliance with the minimum bid price requirement if at any time before April 27, 2027, the bid price for the Company’s Common Stock closes at or above $1.00 per share for a minimum of 10 consecutive business days.

If the Company does not regain compliance within the allotted compliance period, including any extensions that may be granted by Nasdaq, Nasdaq will provide notice that the Common Stock will be subject to delisting from The Nasdaq Capital Market. At such time, the Company may appeal the delisting determination to a hearings panel.

On June 4, 2026, the Company, Future NRG Sdn. Bhd., a Malaysia private limited company (“FNRG”) and each of the shareholders of FNRG (the “Selling Shareholders”), entered into a Business Combination Agreement (the “BCA”), pursuant to which, among other matters, and subject to the satisfaction or waiver of the conditions set forth in the BCA, the Selling Shareholders will voluntarily exchange all of their ordinary shares in FNRG for Common Stock, resulting in FNRG becoming a wholly owned subsidiary of the Company (the “Transaction”). In connection with the Transaction, the Company will seek the approval of its stockholders of, among other things, (a) the BCA and the transactions contemplated thereby and against any competing proposals being considered at the meeting, and (b) if deemed necessary by the Company and FNRG, an amendment to the Company’s certificate of incorporation to effect a reverse stock split of all outstanding shares of the Common Stock.

On June 26, 2026, the Company filed a registration statement on Form S-4 (with accompanying prospectus and proxy statement), which was declared effective by the Securities and Exchange Commission on October 8, 2026 (the “Form S-4”), which included a stockholder proposal, amongst others, to approve an amendment to the amended and restated certificate of incorporation of the Company to effect a reverse stock split of the issued and outstanding shares of Common Stock, at a reverse stock split ratio to be determined by the board of directors of the Company within a range of not less than 1:4 and not more than 1:16 (the “Reverse Split Proposal”).

The Company intends to continue to monitor the bid price levels for the Common Stock and will consider appropriate alternatives to achieve compliance within the initial 180 calendar-day compliance period, including, among other things, a potential reverse stock split, as part of the closing of the Transaction. There can be no assurance, however, that the stockholders of the Company will vote in favor of the Reverse Split Proposal or that the Company will be able to achieve compliance.
