Item 1.01 Entry into a Material Definitive Agreement Business
The company signed a significant contract such as a merger agreement, credit facility, or major partnership.
Settlement amount $825,000 Agreed settlement with Evora Partners, LLC
Attorneys’ fees reimbursement $75,000 Included in the settlement amount
Amount owed approximately $1.3 million Under a consulting agreement; reflected in accounts payable
Settlement paid $175,000 Paid by the company
Remaining settlement payments $650,000 Payable in installments through December 2026
Forbearance financial
"Settlement and Forbearance Agreement"
A temporary agreement between a borrower and lender to pause, reduce or delay loan payments when the borrower is facing financial difficulty. It matters to investors because forbearance changes expected cash flows and the risk of eventual default for loans or debt-backed assets—similar to a landlord agreeing to let a tenant skip rent for a few months; it can preserve value short-term but may signal elevated credit stress.
Guarantor financial
"BEN Capital Fund I, LLC (“Guarantor”)"
accounts payable financial
"reflected on the Company’s balance sheet under accounts payable"
Accounts payable are the short-term bills a company owes to suppliers or service providers for goods and services it has already received but not yet paid for — like a stack of IOUs from the business to its vendors. Investors watch accounts payable because rising or falling balances affect a company’s cash on hand and short-term financial health, signaling how well it can cover obligations, manage cash flow, and fund operations without borrowing.
