Rhea-AI Filing Summary

BranchOut Food Inc. (BOF) completed an underwritten public offering of 2,941,177 common shares at $1.70 per share; the offering closed October 26, 2026. All offered shares were sold by BranchOut. Gross proceeds before underwriting discounts, commissions and estimated offering expenses were expected to be approximately $5.0 million. The company received approximately $4.6 million in net proceeds after underwriting discounts and commissions, the representative’s legal fees and estimated offering expenses. Lake Street Capital Markets LLC acted as representative of the underwriters.

BranchOut intends to use the net proceeds for working capital and general corporate purposes, including operating expenses and capital expenditures. The agreement sets a 7.0% underwriting discount on gross proceeds received for the shares and provides for reimbursement of certain expenses. For the 90-day period following October 23, 2026, company officers and directors agreed not to offer, sell, transfer or otherwise dispose of common stock or related convertible, exercisable or exchangeable securities. BranchOut also agreed not to issue or announce specified share or common-stock-equivalent issuances during that period, subject to certain exempt issuances.

Filing Explained

As of June 30, 2026, cash and investments were zero; the completed share issuance dilutes holders, while the company received about $4.6 million net proceeds.

The completed offering issued new common shares, increasing the share count and reducing existing holders’ percentage ownership absent offsetting changes.

The agreement separately gave the underwriters a 30-day option to buy up to 441,176 more shares for over-allotments; this is potential additional issuance, separate from the 2,941,177 shares reported sold.

At June 30, 2026, the company reported $0 in cash and investments; at the last reported operating cash-outflow rate, that balance equaled 0 days.

underwriting discount financial
"a 7.0% underwriting discount on the gross proceeds"
The underwriting discount is the fee that investment banks or broker-dealers keep when they buy securities from an issuer and resell them to the public; it’s the difference between the price paid to the company and the public offering price, shown per share or as a percentage. It matters to investors because it reduces the cash the company actually raises and is a cost built into the deal—like a sales commission—so a larger discount can mean higher issuance costs, tighter returns for new investors, and a signal about how much effort underwriters must expend to sell the offering.
over-allotments financial
"solely to cover over-allotments"
An over-allotment is a temporary extra batch of shares that the underwriters of a stock offering are allowed to sell beyond the original amount, with the right to buy those shares back later. Think of it as spare tickets sold to meet demand and then reclaimed if needed to keep the market orderly; it helps stabilize the stock price after an offering and can affect short-term supply and potential dilution, which matters to investors tracking price and ownership stakes.
prospectus supplement regulatory
"a prospectus supplement related to the offering"
A prospectus supplement is an additional document provided alongside a company's main offering details, offering updated or extra information about a specific financial product being sold. It helps investors understand the latest terms, risks, and details of the investment, similar to how an update or revision clarifies or expands on original instructions, ensuring they have current and complete information before making a decision.
common stock equivalents financial
"shares of Common Stock or common stock equivalents"
Common stock equivalents are financial instruments that can be converted into common shares or have a similar effect on a company's stock ownership, such as stock options or convertible bonds. They matter to investors because they can increase the total number of shares outstanding, potentially diluting existing ownership and affecting the company's stock value. Recognizing these equivalents helps investors understand the true potential for future share issuance and company ownership structure.
